CONFIDENTIALITY AGREEMENT

This Confidentiality Agreement (“Agreement”) is made and entered into as of the date the last of the parties has executed this Agreement as indicated below, by and between:

(1)SHANGHAI INTERNATIONAL THEME PARK COMPANY LIMITED (上海国际主题乐

园有限公司) and SHANGHAI INTERNATIONAL THEME PARK ASSOCIATED FACILITIES COMPANY LIMITED(上海国际主题乐园配套设施有限公司)and SHANGHAI INTERNATIONAL THEME PARK AND RESORT MANAGEMENT COMPANY LIMITED(上海国际主题乐园和度假区管理有限公司)(together the “Disclosing Party” and such expressions include their respective successors and assigns), each a Chinese-foreign cooperative joint venture limited liability company organized and existing under PRC laws; and

RECITALS

(1) The Disclosing Party owns and is developing the Shanghai Disney Resort (the “Project”). The

parties desire to initiate non-binding discussions concerning a possible business relationship relating to the Project.

(2) In connection with such discussions, certain information may be revealed to Recipient.

IT IS AGREED AS FOLLOWS

1.RECIPIENT’S UNDERTAK INGS

1.1Confidential information

“Confidential Information” means any and all designs, drawings, artwork, scripts, materials, photographs, data, formulas, systems, documents, know-how, ideas, development tools, processes, techniques, trade secrets, concepts, assessments, reports, records, inventions and other information of any form and whether or not they are marked or otherwise designated as “confidential”: (i) which are provided or made available by or on behalf of the Disclosing Party or any of the Disclosing Par ty’s Related Companies, or (ii) which are acquired in connection with or as a consequence of this Agreement or performance thereof, or (iii) which concerns the business, affairs, financial situation, property, transactions or business methods of the Disclosing Party or any of the Disclosing Party’s Related Companies, or (iv) which concerns the Project;

and in each case, includes any knowledge derived therefrom and any information of any form in, or acquired in connection with, or as a consequence of, any request for proposal, request for estimate, request for quotation or invitation to bid.

For the purpose of this Section, “Disclosing Party’s Related Companies”shall mean Shanghai Shendi Construction Company Limited, Shanghai Shendi Tourism and Resort Development

Company Limited, any direct or indirect shareholder in, or parent, subsidiary, affiliated or related company of, any of the companies forming the Disclosing Party or in or of Shanghai Shendi Construction Company Limited or in or of Shanghai Shendi Tourism and Resort Development Company Limited.

Recipient agrees that the Confidential Information meets the definition of “trade secrets” under the Law of the People’s Republic of China Against Unfair Competition and the Several Regulations Concerning Prohibition of Acts of Infringement of Business Secrets(collectively “PRC Trade Secret Regulations”) and should be protected a s “trade secrets”under the PRC Trade Secret Regulations. Recipient agrees to abide by the PRC Trade Secret Regulations in the performance of this Agreement.

1.2Confidentiality Undertaking

Recipient undertakes to the Disclosing Party that it shall, and shall ensure that its parent, subsidiary, affiliated and related companies and its and their respective directors, officers, employees, agents, contractors and advisors (“Authorized Persons”) shall:

(a) keep strictly confidential and not publish or disclose or permit to be published or

disclosed, any Confidential Information;

(b) not retain or duplicate any Confidential Information unless the Disclosing Party has

provided its prior written consent and, if copies are made, mark these copies as

confidential and proprietary information of the Disclosing Party; and

(c) not use any Confidential Information except for the purpose for which it was provided.

1.3Permitted Disclosures

The restrictions and obligations of Section 1.2 above shall not apply to:

(a)the disclosure of Confidential Information which Recipient can demonstrate was in its

possession prior to the initial disclosure from the Disclosing Party or the Disclosing

Party’s Related Companies and prior to the same becoming known to Recipient as a

consequence of or in connection with this Agreement;

(b)the disclosure of Confidential Information which Recipient can demonstrate is already

known to the public (but not owing to any unauthorized disclosure or publication made

or permitted by Recipient or its Authorized Persons);

(c)the disclosure of Confidential Information by Recipient to its Authorized Persons,

provided that (i) the disclosure is done on a strict, need-to-know basis and (ii) the

Authorized Persons are informed of the confidential nature of the Confidential

Information and legally obligated to Recipient in substantially the same terms and

conditions set out in this Agreement and (iii) Recipient strictly enforces the terms and

conditions referred to in (ii) against the Authorized Persons; or

(d)the disclosure of Confidential Information ordered by any governmental authority having

jurisdiction and legal authority to compel the disclosure of such information (subject to

Section 1.4 below).

Recipient shall take all precautions necessary to ensure compliance with this Agreement.

1.4Disclosures to Governmental Entities

If Recipient is ordered by any governmental authority to disclose Confidential Information, Recipient shall give the Disclosing Party prompt written notice sufficient to allow the Disclosing Party to seek a protective order or other appropriate remedy. If such order or remedy is not available or if the Disclosing Party fails to obtain of forfeits its rights to obtain such order or remedy, Recipient shall disclose only such information to such governmental authority as is legally required and shall use reasonable efforts to incorporate any amendments to the Confidential Information as the Disclosing Party may request and to obtain confidential treatment for any Confidential Information that is so disclosed.

1.5Return of Confidential Information

Upon the Disclosing Party’s written request, Recipient agrees to, at Disclosing Party’s option, return to Disclosing Party all Confidential Information (and all copies of it) which is in Recipient’s or any of its Authorized Persons’possession, or to destroy all such Confidential Information and copies and to confirm to Disclosing Party in writing that this has been done.

1.6Public Announcements

Without prejudice to Section 1.2 above, Recipient shall not, without the Disclosing Party’s prior written consent, issue or authorize the dissemination of any publicity, news story or other public announcement relating to the Confidential Information, this Agreement or any communications with the Disclosing Party or any proposed business relationship relating to the Project.

1.7Benefit

Recipient shall not use Confidential Information for its own benefit or the benefit of any third party or for any purpose which is inconsistent with the interests of the Disclosing Party.

Recipient shall not reverse engineer, decompile or dissemble any Confidential Information.

1.8Recipient’s Disclosure

Recipient agrees that any suggestions, ideas, information, documents or things which it discloses to the Disclosing Party shall not be subject to any obligation of confidentiality by the Disclosing Party and the Disclosing Party shall not be liable for any use or disclosure thereof, unless there is

a prior written agreement to the contrary between the parties.

1.9Ownership of Confidential Information

Recipient agrees that, as between the parties, all copyright and other intellectual property and industrial and proprietary rights and all other rights in or with respect to the Confidential Information shall be and shall remain the absolute and exclusive property of the Disclosing Party.

Recipient shall have no rights, by license or otherwise, to use the Confidential Information except as expressly provided in this Agreement.

As between the parties, any information, ideas, concepts, plans or other intangibles (collectively, the “Intangibles”) that may be conceived or developed during or as a result of discussions,

meetings or other communication between the parties, with respect to the Confidential Information or any other matter, shall be the sole property of the Disclosing Party without further consideration or compensation. Recipient hereby assigns to the Disclosing Party all rights with respect to the Intangibles (including all patent rights, copyright and other intellectual property and industrial and proprietary rights) and undertakes to execute, and to procure each Authorized Person to execute, at Recipient’s cost, all such documents as the Di sclosing Party may require for the purpose of perfecting the assignment.

Recipient acknowledges that the Disclosing Party shall have the right to use and exploit the Intangibles in any manner determined by the Disclosing Party in its sole discretion, and Recipient shall not assert against the Disclosing Party’s or any person allowed by the Disclosing Party to use or exploit the Intangibles any claim based on plagiarism, infringement, confidential relationship, implied contract, unfair competition or otherwise arising out of any use or exploitation of the Intangibles.

Recipient further agrees that, as between the parties, all plans, drawings, specifications, ideas, concepts, models, studies, documents, things, or other work product produced by Recipient in connection with its use of the Confidential Information pursuant to this Agreement, whether created by Recipient or its Authorized Persons shall be deemed to be Confidential Information and shall remain the property of the Disclosing Party and shall be kept confidential by Recipient subject to the terms of this Agreement.

1.10No Representation

Recipient acknowledges that neither the Disclosing Party nor any person on behalf of the Disclosing Party has made or hereby makes any representation or warranty, express or implied, as to the accuracy, completeness or other characteristics of any Confidential Information and shall have no liability to the Recipient, any Authorized Persons, or to any other person in relation to any Confidential Information or any use of any Confidential Information.

1.11Non-Binding Discussions

Other than the agreements expressly set forth in this Agreement, the parties acknowledge that (a) signing this Agreement, (b) disclosing by the Disclosing Party and Recipient receiving Confidential Information, and (c) holding discussions or making statements with respect to any potential business relationship, shall not constitute or imply any other commitment, restriction, obligation, or intent by the Disclosing Party or Recipient regarding any business relationship or proposed business relationship involving the Project or otherwise.

1.12Disney Name

Recipient shall acquire no right under this Agreement to use, and shall not use, the name “The Walt Disney Company”, “Shanghai International Theme Park Company Limited”, “Shanghai International Theme Park Associated Facilities Company Limited”, “Shanghai International Theme Park and Resort Management Company Limited”, “Shanghai Disney Resort”, “Shanghai Disneyland”, “Disney”, “ABC”, “ESPN”, “Pixar” or “Marvel” o r, in each case, the Chinese equivalents (either alone or in conjunction with or as a part of any other word or name) or any fanciful characters or designs or marks owned by or licensed to Disney Enterprises, Inc. or any of its direct or indirect parent, related, affiliated or subsidiary companies (i) in any advertising, publicity or promotion (including the Internet), (ii) in any of Recipient’s in-house publications,

(iii) to express or imply any endorsement of the Recipient or the Recipient’s products or services, or (iv) in any other manner or for any other purpose whatsoever, whether or not similar to the uses specifically prohibited in this Section 1.12.

1.13Notification Obligation

In the event Recipient becomes aware of any misappropriation or misuse by any person of any Confidential Information, Recipient shall immediately advise the Disclosing Party in writing and, in the event of any legal action being brought by the Disclosing Party in connection with the misappropriation or misuse, Recipient shall cooperate with the Disclosing Party and provide the Disclosing Party with such assistance as may be reasonably necessary to enable the Disclosing Party to successfully prosecute such legal action.

2.1Governing Law

This Agree ment shall be governed by and construed in accordance with the laws of the People’s Republic of China.

2.2Dispute Resolution

The parties agree that each and every dispute, difference, controversy or claim of any kind whatsoever arising under, out of or in connection with this Agreement or the breach, termination or invalidity of this Agreement (“Dispute”) shall be finally resolved in accordance with the provisions of this Section 2.2. Any Dispute which is not resolved amicably by the parties within fourteen (14) days of notice by one party to the other party requesting that amicable settlement is attempted shall be referred to the China International Economic and Trade Arbitration Commission (“CIETAC”) Beijing for final resolution by arbitration under the CI ETAC Arbitration Rules, adopted on February 3, 2012 (the “CIETAC Rules”), as modified by this Section 2.2. The Summary Procedure provisions of the CIETAC Rules shall not apply.

The arbitral tribunal shall consist of three (3) arbitrators, and each party shall appoint one (1) arbitrator. The third arbitrator shall be appointed by the two (2) arbitrators so appointed, provided that if no agreement is reached as to the identity of the third arbitrator within twenty

(20) days of appointment of the second arbitrator, the third arbitrator shall be appointed in

accordance with the CIETAC Rules. Any arbitrator may be appointed from outside of CIETAC’s panel of arbitrators. Article 27(3) of the CIETAC Rules shall not apply.

The place of arbitration shall be Shanghai. The languages of the arbitration shall be English and Chinese and a party which provides or relies on oral or documentary evidence in English or Chinese shall provide interpretation or translation into the other language.

The arbitration tribunal shall have the power to order reasonable discovery, including: the identification and deposition of witnesses of opinion (i.e., expert witnesses) and witnesses of fact, the production of documents, including the exchange of any documents with a specific bearing on the interpretation of this Agreement and any party’s performance under this Agreement, and the production of any exhibits upon which any party intends to rely at the arbitration. A party may not rely at the arbitration hearing on any witness which it has not

previously identified to the other parties, or any document or exhibit which it has not previously produced to the other parties.

The award of the arbitral tribunal shall be final and binding on the parties and each party undertakes to carry out the award without any delay. Each party shall bear all of its own expenses, costs and legal fees individually incurred in connection with the arbitration, save only to the extent the arbitration tribunal orders otherwise.

A request for specific performance or injunctions in accordance with Section 4.8 below shall not

be deemed to be or construed as incompatible with, or a waiver of, this agreement to arbitrate.

The relevant court, arbitration tribunal, administrative or regulatory body shall have the authority to make such orders as it may deem just and fair.

3.NOTICES

Notices required or permitted to be given under this Agreement shall be in writing and shall be delivered or sent to a party by mail, facsimile to be confirmed by mail or by personal delivery and shall be deemed given when received by the addressee. Notices shall be addressed as follows or to such other address as either party may direct by written notice given to the other party in accordance with this Section 3.

Notwithstanding the foregoing, any notice sent to the last designated address of a party shall not be deemed ineffective if actual delivery cannot be made due to an unnoticed change of address of such party or refusal of such party to accept delivery of the notice.

4.MISCELLANEOUS

4.1Assignment

Recipient shall not assign or transfer all or any of its rights, benefits or obligations under this Agreement, without the prior written consent of the Disclosing Party.

Each entity comprising the Disclosing Party may assign or transfer to any person all or any of its rights, benefits and obligations under this Agreement. Any such assignment or transfer shall not require Recipient’s consent. Recipient agrees to faithfully perform its obligations under this Agreement for assignees and transferees and to forthwith execute all documentation as the Disclosing Party may require to effect any assignment or transfer under this Section 4.1.

Shanghai International Theme Park and Resort Management Company Limited may act for the Disclosing Party for all purposes of this Agreement.

4.2Effectiveness and Amendment

This Agreement shall become effective on __________________________[Insert date]. This Agreement may be modified or amended only in writing executed by both parties.

4.3Cumulative Obligations

Recipient’s obligations hereunder are in addition to, and not exclusive of, any and all of its other obligations and duties to the other party, whether express, implied, in fact or in law.

4.4Invalidity

If any provision of this Agreement shall in whole or in part be or become illegal, invalid or unenforceable in any respect that shall not affect the legality, validity or enforceability of any other provision of this Agreement.

Without limiting the foregoing, if at any time any provision of this Agreement shall in whole or in part be or become to any extent illegal, invalid or unenforceable in any respect under the laws of any jurisdiction, that illegality, invalidity or unenforceability shall not affect or impair (i) the legality, validity or enforceability of any other provision of this Agreement under the laws of such jurisdiction; or (ii) the legality, validity or enforceability of that or any other provision of this Agreement under the laws of any other jurisdiction.

4.5No Waiver

No failure or delay by a party to require strict compliance with any provision of this Agreement or to exercise any right or remedy provided by law or under this Agreement shall impair, or be construed as a waiver of, such provision, right or remedy. Any waiver by a party of any right or remedy provided by law or under this Agreement shall not be effective unless it is in writing. No single or partial exercise of any right or remedy provided by applicable law or under this Agreement by a party shall preclude any other or further exercise of such right or remedy or any other right or remedy.

4.6Entire Agreement

This Agreement constitutes the whole and only agreement between the parties in relation to the subject matter of this Agreement and supersedes and extinguishes any previous contract, agreement, undertaking, representation, warranty, promise, assurance, arrangement and understanding whatsoever between the parties in relation to the subject matter of this Agreement.

Each party acknowledges that in entering into this Agreement it has not relied on any contract, agreement, undertaking, representation, warranty, promise, assurance, arrangement or understanding made or given by or with any other party or any other person, at any time prior to the date of this Agreement which is not expressly set out in this Agreement, and except in the case of fraud, each party shall have no liability to the other arising out of or in connection with the same.

4.7Fair Contract and Acceptance of Commercial Risks

This Agreement shall be interpreted without regard to which party initiated the drafting process for or drafted this Agreement or proposed or drafted particular language and shall not be construed for or against any party by reason of the same.

4.8Specific Performance

The parties hereto acknowledge that any breach or violation of this Agreement may be difficult to calculate in pecuniary damages and that monetary damages would not be an adequate remedy for such breach or violation. The Disclosing Party shall have the right to an injunction or specific performance or other relief available under applicable law under this Agreement, enjoining any breach of this Agreement and enforcing specifically the terms and provisions of this Agreement without the necessity of obtaining a bond or surety. Recipient hereby waives any and all defenses it may have on the ground of lack of jurisdiction or competence of the court to grant such an injunction or specific performance and the existence of this right will not preclude the other party from pursuing any other rights or remedies that it may have at law or under this Agreement, and such remedies shall be cumulative of and in addition to, any other remedies available under applicable law.

4.9Counterparts

This Agreement may be executed in one or more counterparts, and by the parties on separate counterparts, but shall not be effective until each party has executed at least one counterpart and each such counterpart shall constitute an original of this Agreement but all the counterparts shall together constitute one and the same instrument.

4.10Authorized Persons

Recipient shall be responsible and liable under this Agreement for the acts, omissions and defaults of the Authorized Persons as fully as if they were the acts, omissions or defaults of Recipient.

4.11Interpretation

In this Agreement, unless the context otherwise requires:

(a)words and expressions in the singular shall include the plural and vice versa;

(b)reference to a person includes any company or other body corporate, any individual,

firm, government, or governmental body or agency, any state or agency of a state, or any

partnership, joint venture, enterprise, institutional unit or association (whether or not

having separate legal personality);

(c)references to “include”, “includes” and “including” shall be con strued as if followed by

the words “but without limitation”;

(d)if Recipient consists of more than one person, such persons shall be jointly and severally

liable under this Agreement.

4.12Language

This Agreement is written in both English and Chinese. In the event of any conflict, the English version of this Agreement shall prevail. All correspondence, notices, documents and communications under or relating to this Agreement shall be in English and Chinese. However, the Disclosing Party may permit or require correspondence, notices, documents or other communications as specified by the Disclosing Party to be in Chinese or English only.

甲方: 甲、乙双方在遵循平等自愿、协商一致、诚实信用的原则下,就甲方商业秘密的保密事项达成如下协议: 一、保密范围 1.本协议所称的商业秘密(以下简称为“商业秘密”)包括但不限于乙方在甲方服务期间开发、新获、使用或接触到的以下信息或其载体: ①甲方的国外进口商或出口商、国内出口供应商或进口用户的名称、联系方式、经营产品范围等客户或货源信息、价格信息、产销策略以及相关的交流信息。 ②甲方所经营商品的国内外生产、供应、销售渠道以及为完成业务所需的其他业务渠道。 ③甲方所经营商品的设计、程序、配方、工艺、制作方法等技术信息。 ④甲方的财务、人事等管理信息。 ⑤甲方依照法律规定、合同约定对外承担保密义务的事项。 ⑥甲方的其他经营信息和技术信息。 2.载体包括但不限于合同、协议、订单、样本、价目表、账簿、笔记、报告、信件、传真、图纸、说明书、操作手册等文件资料以及样品、模具、电子数据库、计算机软件、优盘、移动硬盘等书面、电子或其他存储介质。载体可以为原件或其复制品、仿制品等。 3.双方确认甲方已对商业秘密采取了合理的保密措施。

二、双方的权利和义务 1.乙方承诺以甲方名义为甲方利益正确使用商业秘密,妥善保管商业秘密,开发或新获商业秘密应及时汇报给甲方。 2.非经甲方许可,不得披露、泄露、使用、复制、拍摄、摘抄、销毁商业秘密,不得协助或者允许他人使用商业秘密,不得刺探与本职工作或本身业务无关的商业秘密,不得将商业秘密带离甲方,不得利用商业秘密为甲方之外的单位或个人(含本人)服务。 3.如果发现商业秘密被泄露或者自己过失泄露商业秘密,乙方应当采取有效措施防止泄密进一步扩大,并及时向甲方报告。 4.甲方为乙方在甲方的服务提供良好的工作平台,通过完善的分配机制激励乙方的发展。 三、脱密程序 若乙方以单方解除、终止劳动合同或以其他形式不再为甲方服务或为甲方之外的单位或个人(含本人)服务时,双方采取如下措施对乙方进行脱密: 1.乙方应以书面形式提前30日通知甲方,提前期即为脱密期限,甲方可安排乙方脱离涉密岗位。 2.乙方应向甲方交接商业秘密并承诺交接后继续遵守第二条第2款之约定,并以双方确认的交接记录为准。若乙方不向甲方交接商业秘密,乙方应依据第四条承担违约责任并赔偿甲方损失。 3.乙方在两年内不得到从事同类业务且有竞争关系的其他单位任职,不得自己或协助他人从事与甲方有竞争关系的业务,不得争抢甲方商业秘密或员工。甲方于乙方服务期间向其支付的报酬已经包括相应的补贴,甲方无需再另行重复支付。

1、甲方的生产资料、生产基础、生产情况、产品配方、产品成本、产品定价、人事记录、员工资料、客户名单、供应商名单、货源情报、市场资料、业绩评估、产销策略、销售历史、财务状况、进料渠道、设计、程序、技术文档、软件源代码、可执行程序、演示程序、测试数据、制作工艺、制作方法、工艺流程、技术资料、管理诀窍、产品开发与研究进程、招投标的标底和标书内容以及尚未经甲方正式对外公布的经营管理信息、科研成果。 2、所有在乙方受聘期间研究发明或者参与研究发明的科研或成果,以及从公司知晓、学习到的知识、了解的商业秘密及知识产权,获知或负责完成的一切与项目及公司有关的信息、资料、数据等。 3、其他经营信息、技术信息。 4、虽不符合商业秘密构成要件,但是甲方明确提出保密要求的资料或者信息,也适用本协议有关权利义务的规定。 5、本保密协议和劳动合同为甲方内部文件,乙方应妥善保管,不得泄露给第三方,离职时必须退回甲方,如有泄露按本合同泄露商业秘密的规定处理。 6、客户名单和供应商名单包含以下内容:客户名称、住所地、通信地址、电子信箱、负责人、业务联系人等。 7、《劳动合同》和本协议其他条款提及的“商业秘密”应当理解为包括本条各款所指的资料或者信息,不再另行指出。 二、保密期限 1、本协议经双方认可的保密期限为自乙方获取本协议保密范围内甲方任何信息资料等之时直至该等信息、资料为公众所知悉止,且不因乙方是否最终成为甲方受聘人员或离任、辞职、解雇等原因而终止。
