2. 独家代理权的授予

Appointment of Exclusive Agent:

甲方正式委任乙方为其在第四条所列区域的独家代理商,乙方接受甲方的委任。甲方同意不直接或间接、或与其他任何非乙方的第三方单位建立契约关系来销售附件二中的产品到代理区域。Party A hereby appoints Party B as its exclusive agent in the territory stipulated in Article 4, and at the same time, Party B accepts the appointment of Part A unanimously. Party A agrees not to enter into a contractual relationship with any third party entity in order to sell the product in the Annex Ⅱto the territory.

3. 商品和销售数量:

3.1 指附带有附件一列明的商标并在附件二中具体列出的产品

Products shall mean the product shown in Annex 2 with the trademark exactly mentioned Annex 1 herein.

3.2 销售数量:甲方要求乙方代理销售的数量。本合同有效期内销售数量不低于。

5.1 价格:甲方同意给予乙方相关系列产品最优惠的人民币价格(或每种产品的详细价格表,见附件三)

Prices: Party A agrees to provide Party B the most favorable price for the produced produces.(Annex Ⅲ)

5.2付款方式:双方都同意的付款方式(或双方具体进行约定),如付款使用电汇T/T、信用证(或其他方式),由乙方开出,以甲方为受益人。信用证须在装运日期前天到达甲方。

Terms of payment: by the terms agreed and accepted by each both parties.(Payment shall be confirmed by both parties),for example T/T 、irrevocable L/C opened by the party B in favor of party A , which shall reach party A days before the date of shipment. )

7. 商情报告

Market Report

为使甲方充分了解现行市场情况,乙方承担至少每季度一次或在必要时随时向甲方提供市场报告,内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。

In order to keep Party A well informed of the prevailing market conditions, Party B should

undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.

根据乙方的销售活动和市场运作活动计划,甲方可提供协助,包括样本设计,宣传资料设计,电子版样本。

Concerned advertisement material for party B including supplying catalogues design, leaflets design, electronic edition catalogues.

9.技术支持和培训条款:

Technology support and training terms:

9.1技术资料支持:甲方应向乙方提供较为详细和精准的图册和电子版。

Technical Support : party A provides party B a more detail and accurate books and electronic editions.

9.2技术培训:甲方有对乙方售后技术人员来国内进行指导及培训的义务。

Technical training:party A has the obligations to guide and train party B’s after-sale technical personnel.
