DEFINITIONS：定义
In this Agreement unless the context otherwise requires:
在此协议中除非有其它要求：
1. "adb" means air dried basis.
“adb”是指空干基；
2. "arb" means as received basis.
“arb”是指收到基；
3 "Cargo" means cargo of approximately 2 x 60,000MT +/-10% steam coal;
“Cargo”是指货物每船装运约60,000MT +/-10%的动力煤；
4. "Coal" means steam coal produced by the Seller from East Kalimantan.
“Coal”是指卖方产的东加里曼丹动力煤；
5. GEOSERVICES means China Certification & Inspection (Group),.Ltd. or its affiliated companies
6. “Trial Shipment” means 2 (two) Vessels of 60,000MT( +/-10% )as per seller’s option.
7. “CFR” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time.
“CFR”含义等同于（随时修正的）INCOTERMS2000确定的相同术语的含义；
8. "Loading Port" means the vessel anchorage at, South Kalimantan, Indonesia, or such other port as
the parties may agree to in writing.
“装货港”是指船只停泊锚地，即印尼东加里曼丹或由双方书面同意的其他港口；
9．“Discharge Port” means South China 1 SBSP in the People’s Republic of China, as may be designated by Buyer.
“卸货港口”是指由买方指定的中国营口鲅鱼圈码头；
10. "Kcal/Kg" means kilocalories of energy per kilogram of coal.
“Kcal/Kg”是指每公斤煤炭的发热量；
11. When calculating any price or adjusted price, or component thereof, the results of such
calculation shall be rounded to the nearest cent and on half of a cent shall be rounded up. When calculating any tonnage, the results of such calculation shall be rounded to the nearest Kilogram and one Kilogram of a kilogram shall be rounded up.
当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五入，并且0.5美分应当四舍五入到1美分；
当计算任何吨数时，这类计算的结果应当按照最接近的公斤数四舍五入，并且0.5公斤应当四舍五入到1公斤；
12. "US$" means (unless otherwise specified) the currency of the United States of America.
“US$”是指美元（除非有其他规定）；
13. "Party" or "Parties" means Seller or Buyer or Both.
“Party”或者“Parties”是指卖方或买方或双方；
14. “Metric Tonne” or “MT” or “Tonne” shall mean 1,000 kilograms
“公吨” 或“MT” 或“吨” 是指1000公斤；
15. “Base Price” means the base price for Coal fixed from time to time in accordance with Clause 3.1,
3.2 and 3.3
“基准价格”是指按照本合同第3.1、3.2和3.3款随时确定的煤炭底价；
16. Delivery time at the Discharging Port means the first day when ship sail to discharge port .
在卸货港交货时间意为船到达卸货港的第一天；
17．Unless the context otherwise requires, the singular shall including the plural and vice versa.
除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然；
Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in accordance with the terms and conditions set out below. The Seller and Buyer mutually agree as follows:
买卖双方均同意根据如下条款和条件购销煤炭：
1. QUANTITY数量：
Seller agrees to sell and Buyer agrees to purchase total Trial Shipment Quantity of approximately
2 x 60,000 MT +/-10% as per seller’s option.
卖方同意卖，买方同意买大约总合同数量为2 x 60,000MT的动力煤+/-10%卖方决定。
2. DELIVERY出货
2.1 The first delivery at the Discharging Port shall be made within 45 (forty five) days upon Buyer
open the Letter of Credit. The next delivery will be 30 (thirty) days. Partial Shipments is not
allowed and Transhipment is not allowed.
买方开出信用证后的45 天内货运至卸货港。不允许分批和转运。
2.2 The Trial Shipment will be 2 x 60,000 MT +/-10% as per seller’s option.
数量为60,000MT +/-10%由卖方决定.
3. PRICE价格
3.1 The base price is US$ 51.- (fifty one) per MT CFR FO South China 1 SBSP.
Total amount: US$ 6,120,000.-(+/-10%)
基准价格为每吨51 美金CFR FO South China 1 SBSP
合同总金额：US$6,120,000.-(+/-10%)
The Base Price shall be adjusted in accordance with Clause 4.2.
基准价格按照本合同第4.2款予以调整。
