Party A’s premises (hereinafter referred to as the “Premises”) are located at --- Road; total built-up area is ---- sqm. Please refer to Annex 1 for the plan of the Premises.该厂房应已具备所有必要的硬件设施（包括水管道，电线及电话线）以供乙方使用。
The Premises shall be equipped with all the necessary hardware facilities (including water pipes, power lines and phone lines) installed inside the premise to be used for Party B.甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人,并且厂房在发生任何抵押或者其他类型的担保时，乙方在本协议下的权利权益不受到任何损害。
Party A represents and warrants to Party B and New Co that it is the sole legal owner of the Premises and that, in the event of a mortgage or any other similar guarantees in connection with the Premises taking place, Party B’s rights and interests pursuant to th is agreement shall not be damaged in any manner whatsoever.第二条厂房的用途Chapter 2 Use of the Premises该厂房用途为工业厂房，乙方不得任意改变厂房用途。
The Premises should be used for industrial purpose. Party B should not change the use of the Premises at its own will.第三条租赁期限Chapter 3 Lease Period租赁期限为---年，自新公司获得营业执照或项目批准证书之日起计算。
The duration of the lease period shall be ---- years, starting from the day of issuance of New Company business license or Certificate of Approval.第四条租金Chapter 4 Rental4.1 该厂房第一到三年的租金为人民币12元/平方米/月，计人民币__________元/月，人民币__________元/季，人民币__________元/年。
之后，每三年商定的递增不得超过___%。
For the first three years during the lease term, the rental of the Premises is RMB12/sqm/month. The total rental is RMB_________/month, RMB_________/quarter and RMB__________/year. The period from ___________ to ___________, shall be rental-free.第五条付款方式Chapter 5 Payment Terms租金按季结算，在租赁期内由乙方于每季的第壹周交付甲方，先交后租。

Party A shall issue the official rental invoice to Party B within 7 days after the payment of the rental.The bank account for the rental payment is: _______________________.户名：______________________Name of beneficiary: _______________________________开户银行：______________________Opening bank: __________________________________第六条保证金Chapter 6 Security Deposit本合同签订后的7个工作日内，乙方应当向甲方支付总额相当于3个月租金额的保证金，即人民币--------。
Within 7 working days upon the signing of this Contract, Party B shall pay to Party A a sum of three months’ rental as the security deposit, that is RMB------。
乙方向甲方缴纳的保证金应作为其履行本合同所规定义务的担保。
如果乙方的行为违反合同规定的义务或者导致对厂房的损害，甲方有权从保证金中扣除相应数量的金额作为补偿。
在合同终止日期后30天内，甲方在从保证金中扣除乙方违反任何合同义务应承担的的补偿、赔偿或违约金后应将保证金的余额无息返还给乙方。
The security deposit shall be taken as the warranty for Party B’s due performance of its obligations under this Contract. If Party B carries out activities that are against its obligations or result in any damage to the Premises, Party A is entitled to deduct corresponding amount of compensation from the deposit. Within 30 days from the expiration of the Contract, Party A shall return the balance of the security deposit to Party B without interest after making deductions from the security deposit for compensation for any breach of the contract by Party B.第七条维修养护责任Chapter 7 Maintenance Responsibilities甲方向乙方和新公司陈述和保证厂房和用于建筑的材料应符合中国有关法律法规关于消防、安全和环保事宜的所有要求。
且该厂房已获得所有所需的政府强制性证书（包括，但不限于环保证书，防火证书及防雷证书）Party A represents and warrants to Party B and New Co that the Premises and the materials used for the construction shall comply with all the requirements of the relevant Chinese laws and regulations concerning fire, safety and environmental issues. Party A has also obtained all the required mandatory certificates by the government (including, but not limited to Environmental Protection Certificate，Fire Protection Certificate and Thunder Strike Prevention Certificate) for the Premises.租赁期间，甲方对厂房及其附属设施每隔半年检查一次，乙方予积极配合，正常的厂房维修费由乙方承担。
