The Seller will n ot con sider claims in respect of matters within resp on sibility of in sura nce compa ny or shipp ing compa ny.Should the Seller fail to make delivery on time , the buyer shall agree to postp one the delivery on the con dit on that the Seller agrees of pay a penal ty which shall bededucted by the pay ing bank at the time of payme nt. The r ate of pen alty is charged at 0.5%of the total value of the cargo whose del ivery has bee n delayed for every week , odddays less tha n a week should becoun ted as a week. But the total amount of pen alty shall not exceed 5% of t he total value ofthe cargo in volved in the late delivery .In case the Sell er fail ot make delivery 10 weeks laterthan the time of shipment stipulate d on the con tract , the Buyer shall havbe the right to can cel the con tract and the Seller shall still pay the aforesaid pen alty to the Buer without de lay.Quality / Qua ntity Discrepa ncy and Claim:In case the quality an d/or qua ntity / weight are found the Buyers to be not in conformity with the Contract after arrival of the goods at the port of destination ，the Buyers may lodge claim with the Sellers supported by surv ey report issued by an inspectionorganizaiton agreed upon by both parties with the exception ，however ，of those claims for which the insurance company and/or the shipping company are tobe held responsible. Claim for quali ty discrepancyshould be filed by the Buyers within 30 days after arrival o f the goods at the port of destination，while for quantity/weight discrepancy claim should be filed by the Buyers within 15days after arrival of the goods at port of destination. The Sellers shall ，within 30 days after receipt of the notification of the claim ，aend reply to the Buyers.索赔期限：Validity of ClaimThe Buyers have the rihgt to lodge claims for all losses sustained within 60 days after discharge of the goods at the port of destination.综合式不可抗力条款：Force MajureThe Seller shall not be held responsible for late delivery or non —delivery of the goods due to flood ，fire ，earthquake ，snowstorm ，drought ，hail storm ，hurricane ，or other eventsthat are beyond the control of the Selle r.
