甲乙双方本着“平等、自愿、诚实、信任”的原则，结成“互惠互利，共同发展”的合作关系，现达成如下协议：
1. 甲方提供客户名称和地址给乙方。.
2. 在没有甲方事先书面同意的情况下，乙方不得直接或间接与客户联系，不得直接或间接跟客讨论或协商任何商业事宜。
3. 在没有甲方事先书面同意的情况下，乙方不得将客户信息用于任何其他商业活动，不得将客户信息透露给任何第三方。
4. 本协议自双方签字、盖章后即生效，有效期为五年。
5. 本协议到期后双方如无异议，自动延续五年。
6. 修改和/或补充本协议须甲乙双方书面同意。
7. 因本协议引起或发生或与本协议有关的任何争议，由双方友好协商解决，解决不成的，任何一方有权向甲方公
司注册地的法院起诉。
8. 本协议一式两份，甲乙双方各执一份，具同等法律效力。

In case of direct inquiry by the customer,or through third companies for the above-mentioned customer,CONLAND is obliged to protect the commercial interests of .In this case,CONLAND will instruct them to contact directlyat their address indicated above.
,on the other hand,is also obliged to inform periodically CONLAND about the results of the negotiations with these customers.
Termination:
1.This agreement is automatically canceled if cannot reach 80% of predict annual demand over a periodof 12 consecutive months after the customer has been awarded with the marketing authorization for the product produced with the API in reference.
2.Otherwise,this agreement is valid during a period of 36 months from the signature day and will automatically be renewed for 12 months if not
terminated in written from 6 months prior to expiry date.
