2. 言丁K (PURCHASE ORDER)
供雁方收到言丁罩彳爰，若需WtWifi行修改，雁於5工作日内将修改内容害面回彳复探H方，修改内容经探H方碓^彳爰生效。
言丁罩生效彳爰，经I!方蝴商一致，可采取害面形式建更或取消言丁罩。
To meet the request of Buyer S distributors, Buyer may change or cancel an order, which change or cancellation will take effect when mutually agreed in writing by the Parties.
3. 僵格(PRICE)
罩僵经燮方筮核彳爰生效(即供雁方走品幸艮僵罩必方碓).
4. 走品保^(PRODUCT S WARRANTY)
走品格按照言丁罩的要求及探!?方提供的<<品冥言十割 >>、檬品、圈面技彳;mt料及相徉同走品
榇准ifi行生走,品冥量雁完全符合供雁方作出的任何明示或默示的保It要求。
The Products will comply in all respects with the specifications of the order, as well as all samples, drawings, technological data, and relevant product standards. The qualities of the Products will completely conform to the warranties made expressly or impliedly.
走品i(按照SMS方提出的包装要求或在探方未提出包装要求的情沉下，采取足以保!?￡品
不受揖害的方式ifi行包装。供雁方保品到方指定的目的港日寺走品包装完好照瑕
疵。品到建目的港彳爰，因走品包装有瑕疵辱致走品受揖害，在探睛方提供相^圈片彳爰，供

The Products will be packed and secured as specified by Buyer or, in the absence of any such specification, so as to reach Buyer undamaged and intact.
供雁方雁保品的材料、童料、IS言十、裂造、包装、榇装潢等完全遵守符合裂造地及
￡肖售地相fi法律、法猊、倏例、章等。
The design, manufacture, package, labels and marks of the Products shall comply with any and all applicable laws, ordinances, rules and regulations.
供雁方雁保品不畲侵犯任何第三方的?B寺的或潜在的卑利罹、著作罹、商棠秘密或其他
罹利。
Seller warrants that the Products will not infringe any third party 's actual or potential patents, copyrights, trade secrets or any other intellectual property rights, and Seller will undertake losses and responsibilities arising from such infringement. Buyer shall provide assistance if necessary
5. 品蒯（INSPECTION）.
座品地黑占由探方碓定（在供雁方工瘢的合理匾域或其他探方指定之地黑占> 走品只有经遏检，^合格方能交付方。品准由SHt方制定，经供方碓^彳爰#1行。
若座品经检苫食不合格，方可要求供方换it或由sot方自行重工返修，由此座生的相
徉同费用或H任（含逾期交任）由供雁方承据。
走品检^合格或特别批卒出it亚不能免除供雁方的走品保任。
因供雁方交货走品品冥不良辱致探方客户索I?费用及直接费用（^,重工S，包装费等）由供雁方^全责.
6. 交货（DELIVERY）
供雁方按照的定的交it日期、交it地黑占及方式交付it物。探方收到供雁方交付的各

方面均完全符合要求的座品的日期交货日期。探方垩寸交it日期有特殊猊定（如CTC
客户的走品以it楂送到具的害面黄料16示的H袖日期舄交it日期）的，以^特

Seller agrees to ship products to the Buyer 's designated place of delivery in time with the delivery schedules.
Seller shall be responsible for the costs and expenses under the terms of delivery. The date when Buyer receives the Products fully comply with the requirements of this Agreement shall be deemed as the real delivery date.
供雁方暹延交货的，每暹延一日雁支付探睛方^批it款籍?（的千分之如作舄的金。若探H
方因供雁方i!延交1T所受的揖失（含探方承据的垩寸其客户的任）超遏的金，供
雁方雁支付探!》方相雁的差额。
Any late delivery after the specified period will result in liquidated damages of 5% of the purchase order price per day. If Buyer suffers more losses （including any and all costs and liabilities borne by Buyer to Buyer 's customers） than the liquidated damages, Seller agrees to reimburse the balance. Buyer reserves the right to
cancel the purchase order at any time without notice if the delay exceeds two weeks for any reason. Seller shall be liable to Buyer for any damages thereby caused.
如有以下情形辱致供雁方交货暹延的，供雁方不承据上述H任：
1. 不可抗力；
2. 探睛方雁在交it日期前提供所有正碓的包装要求，探方未在猊定日寺冏内提供的。
7. 货款结算典支付（PAYMENT）
货款采用T/T雷医方式，探睛方有罹通知供雁方将供雁方雁支付探睛方的退1T金、的金、
揖害金、扣款、重工返修费用及其他费用方雁支付的it款中ifi行相雁扣除。
