liable与responsible在合同中的用法小结

liable和responsible的意思都是“有责任的”，前者常见的用法为be liable for sth和be liable to sb，意思是“对......负有责任”；虽然后者也有与之相同的用法，含义也相同，但是二者使用的语境却各有区别，以下通过两组例句加以说明：

1be liable/responsible（to sb ）for sth

例句一：

Party A will not be liable to Party B for the damages due to such expiration or termination of this Contract.

对此类合同到期或终止而造成的损失，甲方不向乙方负任何责任。

例句二：

He is responsible for the management of the company.

他负责管理公司。

分析：从例句可以看出，liable侧重的是法律上的义务，而responsible侧重的是权力，而非义务

2此外，responsible可以作定语，如a responsible person一个有责任心的人，而liable不可以。
