1.EMPLOYMENT.

1.1.POSITION.DuringtheEmploymentTerm(ashereinafterdefined)an dsubjecttothetermsandconditionssetforthherein,theCompanyagree stoemployExecutiveasitsChiefExecutiveOfficerreportingtotheBoard ofDirectorsoftheCompany.

1.2.DUTIES.Executiveshalldiligently,andtothebestofhisability,perfor mallsuchdutiesincidenttohispositionsandusehisbesteffortstopromot ethebestinterestsoftheCompany.

1.3.TIMETOBEDEVOTEDTOEMPLOYMENT.DuringtheEmploymentTer m,ExecutiveshalldevotehisfulltimeandenergytothebusinessoftheCo mpanyandshallnotbeengagedinanypetitivebusinessactivitywithoutt heexpresswrittenconsentoftheCompany.Executiveherebyrepresent sthatheisnotapartytoanyagreementwhichwouldbeanimpedimentto enteringintothisEmploymentAgreementandthatheispermittedtoent erintothisEmploymentAgreementandperformhisobligationshereund er.

PENSATIONANDBENEFITS.

2.1.ANNUALSALARY.Inconsiderationofandaspensationfortheservice sagreedtobeperformedbyExecutivehereunder,theCompanyagreesto payExecutivemencingontheEffectiveDateastartingannualbasesalary of_________dollars($_________),payableinaccordancewiththeCom pany\'sregularpayrollschedule("BaseSalary"),lessapplicablewithhold

ingsanddeductions.TheBaseSalarywillbesubjecttoincreaseatthesole discretionoftheBoardofDirectorsoftheCompany.

2.2.PERFORMANCEBONUS.Executiveshallbeentitledtobonusesinacc ordancewiththeCompanybonusplanforCompanyofficerstobeestablis hedandimplementedbytheBoardofDirectorsoftheCompanypayablei naccordancewiththeCompany\'sstandardpolicy,providedthatExecuti veshallbeentitledtoaguaranteedminimumannualbonusof$________ _(the"GuaranteedBonus")duringtheEmploymentTerm.TheCompany willdeductandwithholdfromanybonuspayabletoExecutivehereunder anyandallapplicableFederal,stateandlocalineandemploymentwithho ldingtaxesandanyotheramountsrequiredtobedeductedorwithheldby theCompanyunderapplicablestatuteorregulation.
