第四条设备质量按本合同所供设备的质量应符合生产
厂家的技术条件。如生产厂家有保证书，应用保证书加以确认。
第五条合同价格和支付条件所供设备的总额为
________________美元（cif价）。购方应在合同签定后的
________天内开立以供方为受益人的不可撤销的保兑信用证。该信用证在开立时起的________天内有效。
开证行应为______________银行或_______________的某

一切与在开证行开立信用证有关的费用由购方承担，而

第六条保证供方保证所供设备在投入使用日起的

常工作。
第七条不可抗力在发生不可抗力情况致使合同一方不能全部或部分履行本合同的义务时，按此种不可抗力情况存在的时间推迟履行合同义务。
不可抗力情况是指双方不能预见或预测的由于非常事件而出现的情况，即：影响履行所承担义务的火灾、风暴、地震和其它自然现象，以及战争、任何性质的军事行动，各国政府的封锁与制裁等。
因不可抗力情况而不能履行义务的一方，应在不可抗力情况发生和停止的20天内书面通知另一方关于其发生和停止的情况。收信人所在国邮局在收到通知函日加盖的日期作为得悉该信息的日期。
协约双方国商会出具的证明书将成为证明上述情况发生及延续时间的必要证据。
如有些情况延续3个多月，每一方都有权拒绝继续履行本合同义务，同时任何一方都无权要求对方赔偿可能发生的损失。
第八条仲裁所有可能由本合同而产生的纠纷或分歧均应由合同双方友好解决。
如果无法解决纠纷，则该纠纷应提交_______________下设外贸仲裁委员会按其业务规章审理（提交一般法院审理者除外），该委员会的决定对于双方为终审，必须执行。
第九条通知一切通知等双方均应按本合同条件以书面形式进行。
第十条语言本合同用__________语书就。供方提供英文的全部技术资料和供货单证。
第十一条其它条件自本合同签署之日起，所有在此以前的有关谈判和往来信函均告失效。

做工、选材不当而造成操作中的货物损坏，买方应立即书面通知卖方，并同时随附中国商检局出具的检验报告作为索赔依据。卖方在接到买方的索赔后，有责任立即解决相应的质量问题、全部或部分地替换货物或根据货物损坏的程度进行折价; 如果卖方在收到买方的上述索赔后一个月内未能作出答复，则视为索赔已为卖方所接受。
15.force majeure：
the sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to force majeure， which might occur during the process
of manufacturing or in the course of loading or transit. the sellers shall advise the buyers immediately of the occurrence mentioned above and
within fourteen days thereafter， the sellers shall
send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authorities where the accident occurs as evidence thereof. under such circumstances the sellers，however， are still under the obligation to take all necessary measures to hasten the delivery of the goods. in case the accident lasts for more than 10 weeks，
the buyers shall have the right to cancel the contract.
不可抗力：对于制造或装船运输过程中可能产生的不可
抗力而造成的迟交货或不能交货，卖方可以不承担责任。卖方应立即在不可抗力产生的十四日内将有关情况通知买方，并且卖方应用航空邮件将有关政府当局部门出具的证明不可抗力产生的文件寄送给买方。在此情况下，卖方仍应尽最大努力采取各种措施促使货物的发运。如果事故持续十周，买方有权取消该合同。

should the sellers fail to make delivery on time as stipulated in the contract， with exception of
force majeure causes specified in clause 15 of this contract. the buyers shall agree to postpone the
delivery on condition that the sellers agree to pay a penalty which shall be deducted by the paying bank
from the payment. the penalty， however， shall not exceed 5% of the total value of the goods involved in the late delivery. the rate of penalty is charged at 0.5% for every seven days. odd days less than seven days should be counted as seven days. in case the sellers fail to make delivery ten weeks later than the time of shipment stipulated in the contract， the buyers shall have the right to cancel the contract and the sellers， in spite the cancellation， shall still pay the aforesaid penalty to the buyers without delay.
迟交货和罚金：如果卖方未能按合同规定及时交货（除

的前提下迟交货。罚金的金额不超过迟交货的合同货物部分的价值的5%，罚金按每7日0.5%计算，少于7日的增加天数按
7日计。如果卖方未能于合同规定的交货期之后的十周内发运，买方有权取消该合同，除此之外，卖方仍要将有关罚金不加拖延地付给买方。
17.arbitration：
any dispute arising from or in connection with this contract shall be submitted to china
international economic and trade arbitration commission for arbitration which shall be conducted in accordance with the commission's arbitration rules in effect at the time of applying for arbitration. the arbitral award is final and binding upon both partied. arbitration fee shall be borne by the losing party.
仲裁：与此合同有关的争议应通过友好协商解决。如果
协商无法解决，提交中国国际经济贸易仲裁委员会进行仲裁。按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。仲裁费用由败诉方承担。
