专利技术许可证合同（中英文）LICENCE CONTRACT FOR PATENT AND TECHNOLOG Y签约时间：Sig ning Date: ____________签约地点：Sig ning Place: ___________合同编号：Con tract No.: ____________中国________ (以下简称接受方”为一方，__________ 国________ 司(以下简称许可方”为另一方：Chi na _________ (here in after referred to as Lice nsee” on the one handand________ Compa ny _________ City, ________ Country (here in after referredto as“ Lice nsor 6n) the other hand; Whereas the pate nt right of _________ is owned by Lice nsor;鉴于许可方是技术的专利持有者Whereas Licensor has the right and agreed to grant Licensee the rights to use, manu facture and sell the Con tract Products of the Pate nted Tech no logy;鉴于许可方有权，并且也同意将___________ 利技术的使用权、制造权和产品的Whereas Lice nsee hope to use the Pate nted Tech no logy of Lice nsor to manu facture and sell the Con tract Products;鉴于接受方希望利用许可方的专利技术制造和销售产品；双方授权代表通过友好协商，同意就以下条款签订本合同。
Both parties' authorized representatives, through friendly negotiation, have agreed to en ter into this Con tract un der the terms as stipulated below.第一条定义 Section 1 Definitions1.1专利技术”是指本合同附件一中所列的技术，该技术已于_______ 年____月___ 日经______ 国专利局批准，获得了专利权，其专利编号为 ____________ 。
1.1 Patented Technology means the technology which has been written in Appendix 1 to the Contract, it was approved by China Patent Office in and granted the patent right, the patent number is ______________________________ .1.2 许“可方”是指____ 国________________ 公司，或者该公司的法人代表、代理和财产继承者。
1.2 L“icensor m”eans ______ Company, ________ City, _______ Country,or the legal representative, or agency or the property successor of the Company.1.3 “接受方”是指中国________ 公司，或者该公司的法人代表、代理和财产继承者。
1.3 “ Licensee ” means China _________ Corporation, or the legal representative,or agency or the property successor of the Corporation.1.4 “合同产品”是指合同附件二中所列的产品。
1.4 “The ContracPtroducts ”mean the products stipulated in Appendix 2 to the Contract.1.5 “合同工厂”是指生产合同产品的工厂，该工厂在____ 省_______ 市，名叫_____ 工厂。
1.5 T“he Contract Factory me”ans the factory which manufactures the Contract Products, it is located in ________________ City, Province and namedas1.6 “净销售价”是指合同产品的销售发票价格扣除包装费、运输费、保险费、佣金、商业折扣、税费、外购件等费用后的余额。
1.6 “ Net Selling Pricemeans”the remaining sum which the selling commercial invoice price deducts the packing expenses, transportation expenses, insurancepremium, commissions, commercial discounts, taxes and expenses for bought out elements and parts etc.1.7“技术资料”，是指列于附件一与制造和维修合同产品有关的工程、制造及原始资料，包括与制造设备、工具和装置有关的图纸、蓝本、设计图表、材料规格、照片、影印资料和一般资料，设计及其说明书等。
但上述资料仅限于许可方拥有的资料和接受方用于本合同业务活动的资料；1.7 Technical Documents means engineering, manufacturing and originating in formatio n relati on to the manu facture and servic ing of Con tract Products, i ncludi ng draw in gs, bluepri nts, desig n sheets, material specificati ons, photographs, photocopies and gen eral data, and desig ns and specificati onsrelat ing to manu facturi ng Con tract Products, tools and fixtures, but includes, however, only such information as is available to lice nsor and applicable to the operatio ns of Lice nsee un der this Con tract which detailed as per Appe ndix 1 to the Con tract.1.8 “合同生效日”是指本合同双方有关部门的最后一方的批准日期。
1.8 “ Thecate of Coming into Force of the Contract ”means the date of ratificati on of the Con tract by the compete nt authorities of both parties, whichever comes later.第二条合同范围 Sectio n 2 Scope of the Con tract2.1接受方同意从许可方取得，许可方同意向接受方授予合同产品的设计、制造和销售的专利技术。
这种技术应与许可方最新产品的技术完全一致。
2.1 Licensee agrees to obtain from Licensor, and Licensor agrees to grant Lice nsee the pate nted tech no logy to desig n, Such Pate nted Tech no logyshall be in exact accorda nee with the tech no logy of Lice nsor latest products.2.2合同产品的名称、型号、规格和技术参数详见合同附件二。
2.2 manu facture specificati on and tech ni cal in dices of the Con tract Products are detailed in Appe ndix 2 to the Con tract.2.3许可方授予以非独占许可方式许可接受方在_____ 国设计制造合同产品，使用、销售和出口合同产品的许可权。
2.3 Lice nsor agrees to grant Lice nsee the non-exclusive lice nse and righttodesig n, manu facture, use, sell and export the Con tract Products .2.4许可方负责向接受方提供合同产品的技术资料，包括专利的名称、内容、申请情况和专利编号等，具体的资料详见本合同附件一。
2.4 Lice nsor is resp on sible for providi ng Lice nsee with the Tech ni cal Docume nts of the Con tract products, in cludi ng the mane, content, applicati on for pate nt and nu mber of the pate nt, etc., the specific docume ntati on is detailed in Appe ndix 1 to theCon tract.2.5 许可方有责任接收、安排接受方赴许可方培训的技术人员，许可方应设法使其掌握上述合同产品专利技术。
（详见本合同附件三）2.5 Licensor shall be responsible for the training of Licensee technical personnel in Licensor relevant facilities and also do its best to enable Licensee technical personnel to master the Patented Technology of the aforesaid Contract Product （details as per Appendix 3 to the Contract）.2.6 许可方负责自费派遣技术人员赴接受方进行技术服务。
