CONTRACT合同Contract No:Place(地址)：Date(日期)：The Buyer（买方）：Address（地址）：Tel(电话)：Fax（传真）：The Seller（卖方）：Address（地址）：This contract is made by and between the Buyer and the Seller,whereby the Buyer agrees to buy and the Seller agrees to sell the under mentioned commodity according to the terms and conditions stipulated below:本合同由买卖双方签订，买方同意购买，卖方同意出售下述商品，并按下列条款签订合同：MODITY,SPECIFICATIONS,QUANYITY AND PRICE商品名称、规格、数量和价格2.COUNTRY OF ORIGIN AND MANUFACTURER生产国别和制造厂3.PACKING包装To be packed in strong wooden case(s)or in carton(s),suitable for sea transportation and the change of climate.well protected against moisture and shocks.The Seller shall be liable for any rust,damage and loss attributable to inadequate packing by the Seller.包装必须坚固，并有防潮、防震措施，适于海运，由于包装不良引起生锈、损坏、丢失、其责任应由卖方承担。
4.SHIPPING MARK:The Seller shall mark on each package with fadeless paint the package number,measurement,gross/net weight and the wordings:＂KEEP AWAY FROM MOISTURE＂,＂HANDLE WITH CARE＂,＂THIS SIDE UP＂etc. and the shipping mark:卖方应在每件包装箱上用油漆刷上箱号、尺码、毛重、净重和“防潮”、“小心搬运”、“勿倒置”等字样，以及下列唛头：5.DELIVERY交货No later than4months after the Buyer’s Bank has issued the Letter of Credit.partial shipment not allowed.货物不晚于买方银行开具信用证猴4个月装运，不允许分批装运。
6.PORT OF SHIPMENT:装运口岸：PORT OF DESTINATION:目的口岸：7.INSURANCE:To be covered by the seller for110%of invoice value againstAll Risks and war risks.运输保险：由卖方负责按发票金额的110%投保一切险及战争险。
8.PAYMENT付款条件：By Letter of Credit:The Buyer shall open an irrevocable letter of Credit, within30days after the contract date,in favor of Seller,for100%total value of Contract.The L/C shall remain valid till be21days after shipment is effected.信用证：买方应于合同日后30日内开立以卖方为受益人的100%合同总额的不可撤销信用证，信用证有效期至货物发运后21天。
9.DOCUMENTS单据(1)Full set of3/3original dills of lading marked Freight Prepaid andnoting the Buyerat the destination port.(2)Signed commercial invoice in3originals3copies indicating contractnumber and shipping mark,made out in details as per this contract.(3)Packing list in triplicate issued by the manufacturer.(4)Certificate of quality and quantity in triplicate issued by themanufacturer.(5)Beneficiary’s certificate confirming one set of shipping docs has beenfaxed to the buyer with10days after the shipment date.(6)Certificate of origin in3originals and3copies issued by themanufacture.(7)The quarantine certificate of the wooden package materials,in1original and3copies,issued by the animal and plant quarantine department under the government or relative authority of the exporting country.(8)Insurance Policy in one original and one copy covering“all risks”and“war risks”.(1)全套3/3注明“运费已付”通知买方的提单。
(2)商业发票3正3副，根据本合同注明该合同号和唛头。
(3)由生产厂商出具的装箱单3份。
(4)由生产厂商出具的质量和数量证明书3份。
(5)在货物发运后10日内将装运单据传真买方的受益人证明。
(6)制造商出具的原产地证明3正3副。
(7)由出口国政府的动植物检疫部门或相关部门出具的木质包装熏蒸证明2正3副。
(8)涵盖“一切险”和“战争险”的保单一正一副。
10.SHIPPING ADVICE装运通知The Seller shall,7days before the date of shipment specified in the contract,advise the Buyer by fax of name of loading port,contract number,name of spare parts,quantity,value,member of packages, gross/net weight of each package,measurement of each package and the date of readiness at the port of shipment.The Seller shall,with10days after completion of the loading of the goods,send the B/L,invoice and Packing list to the Buyer by fax.卖方应在合同规定装期7天前传真通知买方装运港名称、合同号、品名、数量、价值、件数、每件毛/净重、尺寸及货物在装运港备期待装日期货并在物装船后10日内，用传真将提单、发票和装箱单发给买方。
11.GUARANTEEE OF QUALITY质量保证The Seller shall guarantee that the commodity hereof is made of the best materials with first class workmanship,brand new and unused,and complies in all respects with the quality and specification stipulated in the contract.卖方保证合同的货物是用最好的材料制作的，一流的工艺，新商标并未使用过，其质量和规格完全与本合同规定的相符。
The warranty period shall be6months the date of successful commissioning or12months from the date of shipment,whichever occurs first.During this time,the Seller shall replace all parts damaged and rendered useless on account of defects for which we are responsible.The Seller’s responsibility shall not cover defects resulting from wear,tear and faulty operating conditions.Furthermore,the Seller’s responsibility shall not cover defective design if made,supplied or specified by the customer and/or defects and derangements resulting from a change of the originally delivered and installed equipment to a different machine or system,effected by the customer.This warranty will only be maintainedif all inspections as listed in the Seller’s documentation are carried pensation for consequential loss are excluded.质保期应为成功调试后的6个月或装船后的12个月，以两者先到的为准。
