This Sample Manufacture Agreement (hereinafter referred to as “this Agreement”) is entered into as of ____ (hereinafter referred to as “Effective Date”), by and between ____ Company Ltd (hereinafter referred to as “Consignor”) and
____ (hereinafter referred to as “Supplier”).Consignor and Supplier shall be hereinafter respectively referred to as the “Party” or collectively referred to as the “Parties”.
本样品制作协议（以下简称“本协议”）是由____公司（以下称“委托方”）与____（以下称“供应商”）于____ 日（以下称“生效日期”）订立的。委托方和供应商在下文中分别称为“该当事方”或统称为“当事方”。
1. TERM 合同有效期
1.1 This Agreement shall be effective as of the Effective Date and shall be effective ____ for a period of one (1) year. After the expiration of the initial term, this Agreement shall be automatically renewed for successive periods of one (1) year unless one Party notifies the other Party in writing not less than ninety (90) days prior to the end of the initial or any renewal term, that this Agreement shall terminate at the end of the then current term, or unless earlier terminated in accordance with the terms and conditions of this Agreement.
本协议自生效日期起生效，有效期为一（1）年。初始期限届满后，本协议应自动续期一（1）年，除非当事方在初始有效期终止前或任何续约前不少于九十（90）天以书面形式通知另一当事方关于本协议将在当前期限末终止，或者根据本协议的条款和条件提前终止。
2. SCOPE OF AGREEMENT .协议范围
2.1 This Agreement shall be applicable to any and all manufacture business of samples between Consignor and Supplier. The Parties acknowledge that this Agreement will not constitute a commitment for Consignor to order any particular quantity of sample from Supplier.
本协议适用于委托方与供应商之间的任何样品制作业务。双方承认，本协议并不构成委托方向供应商订购任何特定数量样品的承诺。
3. PURCHASE ORDER 采购订单
3.1 Samples to be purchased by Consignor from Supplier shall be subject to separate purchase orders (hereinafter referred to as “Purchase Order”), which will specify particulars, including but not limited to price, quantity, delivery date and description of the samples. Consignor has the right to place Purchase Orders with Supplier. Supplier shall notify Consignor in writing whether or not Supplier accepts Purchase Orders within two (2) working days from the date of receipt of the Purchase Order. Provided, however that, as long as the Purchase Order complies with the terms and conditions of this Agreement, Supplier shall make its reasonable and best efforts in good faith to accept the Purchase Order. If Consignor does not receive Supplier’s reply regarding the acceptance or refusal of a Purchase Order within the said period, the Purchase Order shall be deemed to have been accepted by Supplier. The Purchase Order shall become effective upon acceptance (actual or deemed) by Supplier. Consignor shall reserve the right to vary a Purchase Order at any time before the Supplier’s confirmation of the Purchase Order without incurring any liability to Supplier. In case there are any conflicts between this Agreement and the Purchase Orders, the provisions of this Agreement shall prevail.
委托方从供应商处购买的样品应根据单独的采购订单（以下称为“采购订单”），其中将注明详细信息，包括但不限于价格、数量、交货日期和样品说明。委托方有权向供应商下订单。供应商应在收到采购订单之日起的两（2）个工作日内以书面形式通知委托方供应商是否接受采购订单。但是，只要采购订单符合本协议的条款和条件，供应商应真诚地尽其合理和最大的努力接受采购订单。如果委托方在上述期限内未收到供应商关于接受或拒收采购订单的回复，则该采购订单应视为已被供应商接受。采购订单应在供应商接受（实际或视为）后生效。委托方应保留在供应商确认采购订单之前随时更改采购订单的权利，而不会对供应商承担任何责任。如果本协议与采购订单之间有任何冲突，则以本协议的规定为准。
