Agreement Regarding Confidential Information and Proprietary Developments(ARCIPD)信息保密及职务发明协议（ARCIPD）1.In consideration for my employment by ABC Technologies(China)Co.Ltd.Xi’an Branch(my“Employer”),and the wages, compensation,benefits and other things of value that I receive,I agree to all of the following provisions.鉴于我受聘于ABC科技（中国）有限公司西安分公司（以下称为我的“用人单位”），以及我取得的工资、报酬、福利、及其它财物，本人同意以下所有条款。
2.As used herein,“ABC”means ABC Technologies,Inc.(USentity),all of its direct and indirect subsidiaries(including my Employer),and all successors in interest of each of the foregoing.本协议中，“ABC”指ABC科技有限公司（美国实体）、所有其直接与间接子公司（包括我的用人单位），及上述每家公司的权益继受人。
3.“Confidential Information”means all information which is notgenerally known to the public and to which I have access in the course of my employment.This includes,but is not limited to, trade secrets,technical information,know-how,information about ABC’s organization,staffing,finance,research and development,manufacturing(including suppliers and supplier lists)and sales and marketing(including customers and customer lists),as well as information which ABC receives from others.I will:“保密信息”指通常不为公众所知悉，在我服务于ABC期间所接触到的所有信息。
包括但不限于：商业秘密、技术信息、技术诀窍、ABC 的组织机构、员工、财务、研发、制造（包括供应商及供应商名单）以及销售和市场信息（包括客户及客户名单）、以及ABC从其他方取得的信息。
本人将：e Confidential Information only in the performance of myduties;仅将保密信息用于履行我的工作职责；b.hold Confidential information in confidence and use allreasonable precautions to ensure that Confidentialinformation is not disclosed to unauthorized persons orused in an unauthorized manner,both during and after myemployment;and对保密信息保密，并且采取一切合理的防范措施以确保密信息不被透露给未经授权的人或在未经授权的情况下使用，无论是在我的服务期内还是离职之后；并且c.will not disclose Confidential Information in or to the press ormedia(including social media)or in lectures,presentations,journal articles or other public,scientific,trade,orprofessional meetings,publications,or communicationsunless authorized to do so by my Employer.不会在媒体或向媒体（包括社交媒体）、或在讲座、演讲、报纸杂志、或其他公共、科研、贸易、或专业会议、出版物、沟通中透露保密信息，除非我的用人单位授权我这样做。
4.“Proprietary Developments”means all kinds of technical oroperational developments that are made by me,whether alone or with others,while I am employed by my Employer,and that relate to the business of ABC or are made in connection with my work done in the course of my employment.This includes,but is not limited to patents,trade secrets,copyrights,inventions, designs,mask works,and works of authorship(puter programs,and works of text,image and sound).Such Proprietary Developments are the sole property of my Employer, and I:“专有开发成果”指我在用人单位服务期间完成的，无论是独自完成还是与他人一同完成的，与ABC业务相关的或者与我服务期间的工作相关的技术或操作上的各类开发成果。
包括但不限于专利、商业秘密、著作权、发明、设计、布图设计、和原创作品（例如计算机程序、文本、图像和音像作品）。
此类专有开发成果是我的用人单位的独有财产，并且我：a.will disclose all Proprietary Developments promptly to myEmployer;将立即透露所有的职务发明给我的用人单位；b.agree to assign and do hereby assign to my Employer ALLmy rights,worldwide,to my Employer(unless instructed in writing by my Employer to assign them to another of the ABC)同意转移并在此将我在全球范围内的所有相关权利转移给我的用人单位（除非我的用人单位书面指示转移该等权利给其他ABC公司）；c.understand that my Employer may transfer and/or license itsright in the Proprietary Developments to other ABC companies or to third parties;and知道我的用人单位可能将其对此专有开发成果享有的d.will,at ABC’s expense,execute all documents and cooperatewith ABC to demonstrate and confirm my assignment to my Employer of all of my rights in and to all Proprietary Developments and to protect or enforce such Proprietary Developments.将签署所有文件，并与ABC协作完成各项手续，以表明并确认我将全部的有关专有开发成果的权利转移给我的用人单位，以保护或执行该专有开发成果，费用由ABC承担。
Such disclosures,assignments,transfers,licenses,and execution of documents and cooperation shall be without further compensation to me,except as specified to the contrary by current policies of ABC(such as the“ABC Inventor Incentive Program”regarding inventions).This Agreement does not apply to an invention for which no equipment,supplies,facilities,Confidential Information or trade secret information of ABC was used and which was developed entirely on my own time,unless(a)the invention relates(i)to the business of ABC,or(ii)to ABC’s actual or demonstrated anticipated research or development,or(b)the invention resultsfrom any work performed by me for ABC.此类披露、转移、转让、许可使用和文件的签署与协作，无须再支付我报酬，除非ABC现行政策另有具体的奖励规定（如“ABC发明者奖励计划”有关发明的规定）。
本协议不适用于在未使用ABC设备、物资、设施、保密信息或商业秘密的情况下，我完全利用自己的时间所取得的发明，但以下情况除外：（a）该发明涉及（i）ABC业务，或（ii）涉及ABC实际或明确预期开展的研究或开发；或（b）该发明源自于我为ABC所完成的任何工作。
5.I will honor all obligations with regard to ConfidentialInformation of any former employer or any third party,and will not bring any such information onto an ABC premises in any format.If needed,I will obtain permission of such former employer or third party prior to any disclosure or use.我会履行对任何前用人单位或第三方的信息保密义务，并且不会以任何形式将此类信息带入ABC的办公地点。
