飞机服务协议

AIRCRAFT SERVICE AGREEMENT飞机服务协议This agreement was made on 2019 between 该协议由以下两方签署:1. , a company incorporated under the laws of Hong Kong with limited liability and whose registered office is situateat (the ”Client“)and2. CO., LIMITED(original name:)(“Service Provider”) with registered office at;This Agreement sets out the terms and conditions upon which Service Provider will manage Client’s Aircraft described below. This Agreement consist of the Major Commercial Terms below and the General Terms and Conditions attached.此协议将根据下列条款及细则,由飞机服务公司(即有限公司)为客户管理飞机,此协议将含有“主要商务条款”以及“一般条款和条件”。

CLIENT HAS BEEN ADVISED TO, AND DID REVIEW NOT ONLY THE MAJOR COMMERICAL TERMS BUT ALSO THE GENERAL TERMS AND CONDITIONS AND ANY APPENDICES TO THIS AGREEMENT AND BY EXECUTING THIS AGREEMENT AGREES TO BE BOUND BY ALL OF THEM.客户已经了解此协议内所列明的所有相关条款及细则并同意履行所有协议内容。

Major Commercial Terms 主要商务条款1.Aircraft details:飞机具体信息One with manufacturer's serial number and FAA registration and equipped with engines together with the aircraft documents, manuals and records relating exclusively to such aircraft and engines collectively.一架飞机、序列号,美国联邦航空局注册号:, 并配有台发动机以及包括所有飞机、发动机的相关文档,手册及相关记录。

2.Purpose of the Aircraft 飞行性质The Aircraft is designated as a “Private Aircraft”. It will be employed for private flights only and will not be made available to any third party forhire or reward.这架飞机将被用作“私人飞机”,也就是只能用作私人飞行,并不能用于其它任何第三方的以商业和奖励为目的的飞行。

3.Delivery of the Aircraft 飞机的交付Service Provider will accept the delivery of the Aircraft from the current Operator on .(the “Scheduled Delivery Date”)at Airport(the “Delivery Location”). Service Provider will act as the technical representative of Client in accepting delivery of the Aircraft(“Delivery”)and Client consents to such appointment.经客户授权,服务公司将作为客户的技术代表,于年月日(确实日期视实际情况而定)在机场(“交付地点”)从现在的服务公司接收飞机。

4.Base and Registration 飞机的基地以及注册The aircraft will be based in (the “Base Station”). The Aircraft will be registered at the aircraft FAA registry maintained by thecivil aviation or aeronautical authority (the “Aviation Authority”) of Federal Aviation Administration (the “Jurisdiction of Registration”).此飞机将以机场为基地(“基地”)。

此飞机将保留民用航空或航空当局(以下简称“民航局”)授权下以美国联邦航空局之登记。

5.Flight Crew 飞机机组The “Flight Crew” of the Aircraft will consist of one(1) captain, one(1)first officer, one(1)flight attendant and one(1) engineer. Not withstanding anything in this Agreement, Client shall be responsible for the annual training costs of the Flight Crew on a prorata basis for each month the Flight Crew is employed for the Aircraft.整个飞机机组将包括1名正机长,1名副机长,1名空乘人员以及1名维修人员。

除了每月的薪酬福利外,客户还需要为机组人员支付每年的培训费用。

[ If the duration of a flight so require or if the captain or first officer or flight attendant the Aircraft is unavailable due to training requirement,annual leave or sick leave, then Service Provider will provide an additional pilot at the rate of USD 2200 per day (flight attendant USD 450 per day) of duty or maximum of USD 24,000 per month (flight attendant maximum USD 10,000 per month) whichever is lesser, exclusive of any per diem allowance and accommodation, travelling and communication expenses. The aforesaid daily and or monthly rate is subject to annual review by Service Provider. For the avoidance of doubt, a day of duty for the purpose of this paragraph shall mean any day on which such additional pilots required to perform light duty on the Aircraft or station out of the Base Station in connection with any flight of the Aircraft.]由于持续飞行的需要或由于机长、副机长或空乘人员需要参加培训或年度休假、生病而无法执行飞行等原因,服务公司将会提供额外的临时飞行员供客户使用,其费用为每天2,000美元(空乘人员每天400美元),或每月最高不超过24,000美元(空乘人员每月不超过8,000美元)(不包括出每日津贴,住宿,交通和通讯费用)。

上述每日或每月费用受到服务公司的年度审查。

飞行日数以及飞行员所需执行飞行任务的日子计算,从基地外前往指定地点的行程日均包括在内。

6.Fees 费用The following “Fees” are payable by Client to Service Provider:以下为客户需向服务公司支付费用的项目:6.1“Scheduled Fees” 可预期的费用6.1.1 A one-off “ Delivery fee for the coordination with FAA of LOA(Part91)” in the amount of USD 20,000 to be paid within ten(10) Business Days(as defined in Clause 10.2 of the General Terms and Condistions) of the date of this Agreement; and客户需在双方均签订此管理协议后的10个工作日内向服务公司支付“一次性美国联邦航空局协议书(91)部费用20,000美元(根据一般条款10.2所述), 以及6.1.2 a “Monthly Management Fee” in the amount of USD 10,000 per month, payable in accordance with Clause 10.2 of the General Terms and Conditions and Monthly LOA (Part 91) Fee” charged by third party.客户需每月向服务公司支付10,000美元作为”飞机月度管理费“(根据一般条款10.2所述)以及支付由第三方收取的月度美国联邦航空局协议书(91部)费用。

The one-off Delivery fee for the coordination with FAA for LOA(Part 91) will not be refunded in any event.一次性美国联邦航空局协议书(91部)费用一旦支付,在任何情况下都将不会被退还。
