DEFINITIONS:定义
In this Agreement unless the context otherwise requires: 在此协议中除非有其它要求:
1. “ADB” means air dried basis.
“ADB”是指空干基;
2. “ARB” means as received basis.
“ARB”是指收到基;
3 “Cargo” means cargo of approximately 50,000MT +/-10% as per seller’s option.
“Cargo”是指货物每船装运约50,000MT +/-10%卖方决定;
4. “Coal” means steaming coal produced for the Seller from South Kalimantan, Indonesia.

5. “Contract Quantity” means 50,000MT( +/-10% ) as per seller’s option.

6. “CFR” has meaning ascribed to such term in INCOTERMS 2010 (as amended from time to
time.
“CFR”含义等同于(随时修正的)INCOTERMS 2010确定的相同术语的含义;
7. “Loading Port” means the vessel berth / anchorage at, South Kalimantan, Indonesia, or such
other port as the parties may agree to in writing.
“装货港”是指船只停泊泊位/锚地，即印尼南加里曼丹或由双方书面同意的其他港口;

8( “Discharge Port” means in the People’s Republic of China, as may be designated by
Buyer.
“卸货港口”是指由买方指定的中国码头;
9. “Kcal/Kg” means kilocalories of energy per kilogram of coal.
“Kcal/Kg”是指每公斤煤炭的发热量;
10. When calculating any price or adjusted price, or component thereof, the results of such
calculation shall be rounded to the nearest cent and on half of a cent shall be rounded up.
When calculating any tonnage, the results of such calculation shall be rounded to the nearest
tonne and one half of a tonne shall be rounded up.
当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近
的分值四舍五入，并且0.5美分应当四舍五入到1美分。
当计算任何吨数时，这类计算的结果应当按照最接近的吨数四舍五入，并且0.5吨应当
四舍五入到1吨。
11. “US$” means (unless otherwise specified) the currency of the United States of America.
“US$”是指美元(除非有其他规定);
12. “Party” or “Parties” means Seller or Buyer or Both.
“Party”或者“Parties”是指卖方或买方或双方;
13. “Metric Tonne” or “MT” or “Tonne” shall mean 1,000 kilograms.
“公吨” 或“MT” 或“吨” 是指1000公斤;
14. “Base Price” means the base price for Co al fixed from time to time in accordance with Clause
3.1, 3.2 and 3.3.
“基准价格”是指按照本合同第3.1、3.2和3.3款随时确定的煤炭底价;
15. “CIQ” means Entry-Exit Inspection and Quarantine of the
People’s Republic of China.
“CIQ”是指中华人民共和国出入境检验检疫。
16. “SAIFU” means Shanghai Saifu Fuel Inspection and Test Co., Ltd.
“SAIFU”是指在上海赛孚燃料检测有限公司。
“INSPECTORATE” means Inspectorate (Shanghai) Ltd.
“INSPECTORATE” 是指上海英斯贝克商品检验有限公司。
17. “ISO” means International Organization for Standardization;
“GB” means Chinese National Standards.
“ISO”是指国际标准化组织;“GB”是指中国国家标准。
18. Delivery time at the Discharging Port means the first day when
ship sail to discharge port or
anchorage.
在卸货港交货时间意为船到达卸货港或者锚地的第一天。
19( Unless the context otherwise requires, the singular shall
including the plural and vice versa.
除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然。
20. Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in accordance

with the terms and conditions set out below. The Seller and Buyer mutually agree as follows:
买卖双方均同意根据如下条款和条件购销煤炭:
1. QUANTITY 数量
Seller agrees to sell and Buyer agrees to purchase total Contract Quantity of approximately
50,000 MT +/-10% as per seller’s option.
卖方同意卖、买方同意买大约总合同数量为50,000MT的动力煤炭+/-10%卖方决定。
2. DELIVERY 出货
Delivery at the Discharging Port shall be made within 30 days upon signing the Contract.
在签署合同后的30天内运至卸货港。
3. PRICE 价格
3.1 The base price is USD per MT CFR , China.
基准价格为每吨美金CFR ,China.
3.2 The Base Price shall be adjusted in accordance with Clause
4.2 and Clause 6.1.
基准价格按照本合同第4.2款和第6.1款予以调整。
3.3 The Base Price for Coal delivered shall be based on Net Calorific Value (ARB)of 5,500 kcal/kg.
所交付煤炭的基准价格的计价标准为热值收到基低位发热量5500大卡/公斤。
4. QUALITY 品质
4.1 The quality of Coal delivered hereunder shall conform to the following typical specification
determined in accordance with GB Standards by the Independent Surveyor at the discharge port:
在本合同项目下交付的煤炭质量应符合卸货港独立检验机构根据中国国家标准所确定的以
下规格:

4.2. PRICE ADJUSTMENT 价格调整
If the actual Net Calorific Value(ARB) is above 5,500kcal/kg or below 5,500 kcal/kg until 5,300
kcal/kg, the price of that shipment shall be adjusted as follows: The invoice price = (Actual Net Calorific Value(ARB) / 5500) X Base Price
如果实际低位热值(收到基)高于5500大卡/公斤或低于5500大卡/公斤(直至5300大卡/公
斤)，价格按如下调整:
发票价格 = (实际收到基低位热值 / 5500) X 基准价格
5. WEIGHT AND QUALITY DETERMINATION 重量和质量定值
5.1 The weight and quality of coal shall be inspected by an Independent Surveyor which mutually
agreed at the Loading Port at Seller’s expense. The sampling and analysis method by the
Independent Surveyor at the Loading Port shall comply with ISO standards. The Independent
Surveyor shall prepare and hold an Arbitration Sample for three months which will be used in
the event that there is a quality challenge.
煤的重量和质量应由PT. GEOSERVICES在装货港进行检验，且由卖方承担相关费用。
检验应按照ISO标准进行取样和分析，并保留一份仲裁样本，该样本将保留三个月，将
用于一旦发生质量争议时。
5.2 Subject to Clause 4.2, the Certificate of Weight and Certificate of Sampling and Analysis at the
loading port pursuant to Clause 5.1 shall be the basis of Seller’s provisional invoices.
根据本合同4.2款，按照本合同第5.1款出具的重量证书和质量证书，应作为卖方开具暂
开发票的基础。
5.3 The weight of Coal is to be inspected by CIQ in China at the Discharge Port at Buyer’s expense.
The quality of Coal is to be inspected by SAIFU and/or INSPECTORATE in China at the
Discharge Port at Seller’s expense. The sampling and analys is methodology by SAIFU and /or
INSPECTORATE shall comply with GB/ISO standards. SAIFU/INSPECTORATE shall prepare
and hold an Arbitration Sample for three months which will be used in the event that there is a
quality challenge.
煤的重量应由CIQ在中国境内的卸货港进行检验，且由买方承担相关费用。煤的质量应
由赛孚和/或英斯贝克在中国境内的卸货港进行检验，且由卖方承担相关费用。赛孚/英斯
贝克应按照中国国家标准进行取样和分析。赛孚将保留一份仲裁样本，该样本将保留三
个月，将用于一旦发生质量争议时。

5.4 Subject to Clause 4.2, the Certificate of Weight and Inspection Report at the discharging port
pursuant to Clause 5.3 shall be the basis of Seller’s final invoices and shall be the final binding
analysis.
根据本合同4.2款，按照本合同第5.3款出具的重量证书和检验报告，应作为卖方开具最
终发票的基础且应具有最终效力。
5.5 Buyer and Seller shall have the right to attend or be represented, at their own expense and risk,
at the weighing and analysis pursuant to Clauses 5.1/5.3.
买方和卖方应有权参加或派代表参加本合同第5.1/5.3条规定的测重和分析，但自行承担
相关费用和风险。
6. PAYMENT 付款
6.1 Within 10 working days upon signing the Contract, Buyer shall open an irrevocable Letter of
Credit payable at sight or 90 days after sight in favor of Seller. SELLER shall issue a draft
application 2% PB for BUYER’S approval;In case 90 days usance L/C is opened, an amount of
USD0.80 per MT would be added to the Base Price stated under Clause 3.1. The L/C amount
should cover the value of 100% quantity to be delivered plus 10%. The Letter of Credit shall be
issued through a prime international bank acceptable to Seller, and shall be payable against the
documents specified in Clause 6.2/6.4 of this Contract.
合同签订后的10个工作日内，买方向卖方开立以卖方为受益人的、不可撤销的、即期付
款或交单后90天付款的信用证;卖方开具2%履约保函申请书供买方方确认。如果开具
90天远期信用证，合同第3.1款的基准价格将增加每吨0.80美元。信用证总金额为合同
规定数量的100%金额及合同允许溢装10%的金额。该信用证应通过卖方可接受的国际
银行开给卖方，并凭提交本合同第6.2/6.4款规定的文件付款。
6.2 The PB shall be irrevocable and valid within the executed period of this Contract and to be used
under the circumstances as below:
If SELLER fails to fulfill the contract or fails to wholly complete the contracted shipment as
mentioned herein in Article 3, the first shipment being the trial shipment, the PB shall be paid to
BUYER as compensation;
本履约保函为不可撤销的，有效期至本合同执行期內，且用于以下情況:若卖方在合同
期內第3条款所规定的首第一船试船的装运日到期后仍未履行本合同，本履约保函付给买
方作为赔偿;
6.3 After the successful shipment, mentioned herein in Article 3, the PB shall be returned to
SELLER;

货物在合同期內第3条款所规定的首船试船的装运日装运成功完成后，正式履约保函应归
还给卖方;
6.4 Provisional Payment 暂付款
The said Letter of Credit shall be payable by the issuing bank for the amount of 80% of the
shipment value accompanied by the following documents:
开证银行将凭据以下文件凭信用证议付给卖方80%的货款总值:
(a) Full sets original clean on board ocean Bills of Lading, marked “freight payable as per
CHARTER PARTY”;
全套正本清洁已装船海运提单，注明“运费支付按照租船合同”;
(b) Seller’s signed provisional invoice in 1 original and 2 copies showing Contract No.;
卖方签署的暂开发票正本一份，副本二份，注明合同号;
(c) Certificate of Weight in 1 original and 2 copies issued by PT. GEOSERVICES at loading
port;
装货港PT. GEOSERVICES签发的重量证书正本一份，副本二份;
(d) Certificate of Sampling and Analysis in 1 original and 2 copies issued by PT.
GEOSERVICES at loading port;
装货港PT. GEOSERVICES签发的质量证书正本一份，副本二份。
6.3 The 80% payment pursuant to Clause 6.2 shall be calculated based on the results as certified by
the Certificate of Weight and Certificate of Sampling and Analysis issued by
PT.GEOSERVICES at the loading port. The amount will automatically fluctuate up or down in
accordance with the Clause 4.2 herein.
本合同第6.2款所述的80%货款支付以在装货港PT. GEOSERVICES签发的重量证书和质
量证书所述的结果計算。结算金额将根据第4.2款规定的情况自动进行价格的上下调整。
6.5 Final Settlement 最终结算
The final settlement after the provisional payment shall be made by Letter of Credit within forty-
five (45) days after the B/L date against presentation of the following documents:
暂付款后的最终结算将通过信用证在提单日后的45天内凭据提交以下文件支付:
(a) Seller’s signed final invoice in 1 original and 2 copies showing Contract No.;
卖方签署的最终发票正本一份，副本二份，注明合同号;
(b) Certificate of Weight in 1 photocopy issued by CIQ at discharging port;
卸货港CIQ签发的重量证书正本/传真件一份;
(c) Inspection Report or Certificate of Inspection in 1 original issued by SAIFU or

INSPECTORATE at discharging port.
卸货港赛孚或英斯贝克签发的质量检验报告或检验证书正本/传真件一份。
6.6 The final settlement pursuant to Clause 6.4 shall be calculated based on the results as certified by
the Certificate of Weight issued by CIQ and Inspection
Report/Certificate of Inspection issued
by SAIFU/INSPECTORATE at the Discharge Port. The amount will automatically fluctuate up
or down in accordance with the Clause 4.2 herein.
本合同第6.4款所述的最终结算以在卸货港CIQ签发的重量证书及赛孚/英斯贝克签发的
检验报告/检验证书所述的结果計算。结算金额将根据第4.2款规定的情况自动进行价格
的上下调整。
6.7 Buyer shall send the photocopy of Certificate of Weight issued by CIQ at discharge port to the
Seller through e-mail/fax within 15 working days after completion of discharging.
买方需在卸货完毕后的15个工作日内，通过电子邮件/传真向卖方提交CIQ在卸货港签
发的重量证书的传真件。
If the Certificate of Weight issued by CIQ at discharging port are not forwarded to Seller within
twenty (20) days after completion of discharge, then the Certificate of Weight at the loading port
shall be the basis of the final settlement. If umpire analysis is required, payment adjustment
ari sing from this will be made when the umpire’s certificate is available.
如果在卸货完毕后的20个工作日内，CIQ在卸货港签发的重量证书未被转交给卖方，则
装货港的重量证书将作为最终结算的基础。如果需要作仲裁分析，则由此产生的最终结
算调整将在出具仲裁证书后完成。
6.8 Seller shall provide Certificate of Origin(Form E) issued by the relevant Indonesia governmental
authority outside the Letter of Credit.
卖方将在信用证以外提供由印尼有关政府部门签发的原产地证(Form E)。
All costs for Buyer’s bank to be for Buyer’s account and all costs at Seller’s bank shall be for
Seller’s account.
买方银行的所有费用由买方承担，卖方银行的所有费用由卖方承担。
6.9 Seller shall advise Buyer the following items through email / fax 3 days prior to the vessel’s
arrival at the Discharge Port:
卖方应该在船舶抵达卸货港的3天前通过电子邮件/传真通知买方下列事项: Name of vessel (船名)
B/L No. (提单号)

7. REJECTION 拒绝收货
7.1 Seller shall use its best endeavours to ensure that coal meets the element of quality listed in
Clause 4.1. In the event that the quality of Coal as determined by analysis of the samples taken
during the course of loading indicates the final analysis of the shipment is likely to exceed the
elements of quality listed in Clause 4.1, the seller shall endeavour to remedy the problem.
卖方应尽其最大的努力以确保货物能满足第4.1款所列的质量要素。如果货物通过在装载
过程中进行的样品分析所确定的质量表明这批货物的最终热值和质量分析有可能不能满
足第4.1款所述，则卖方应尽力采取补救措施。
7.2 If coal quality reach rejection standards, Seller and Buyer
shall negotiate in good faith to agree
an equitable settlement for such shipment (which may include a reduction in price).
如果煤炭质量达到拒收标准，则卖方和买方应基于善意原则，协商一致采取公正的措施
处理该批货物(可能包括降价出售)。
8. OCEAN TRANSPORTATION OF COAL 煤炭的海上运输
8.1 The Seller shall immediately notify the buyer by fax or email of name, nationality and details of
the performing vessel after confirm by seller.
卖方在确认承运船舶后，须立即以传真或者电子邮件方式通知买方包括船名、国籍及所
任命船只的详细情况。
8.2 The Seller shall undertake to load the contracted goods on board the vessel nominated by the
seller within the time of shipment as stipulated in this Contract.
卖方应负责将所订货物按照本合同所规定的装船期内装上卖方所指定的船舶。
8.3 Discharge rate shall be: MT at / PWWD SHINC, 12 hours turn time, unless
sooner commencement, actual time used to count.
卸率: ，每晴天工作日，星期天节假日包括在内，12小时等待泊位时间，除非更早开始，按照实际使用时间计算。
8.5 Demurrage / Depstach滞期费/速遣费
8.5.1 Buyer shall pay to Seller the vessel’s Demurrage incurred (if any) at the Discharging Port in
accordance with the terms and conditions of the Charter Party. Demurrage rate is USD per
day or pro rata.
买方应按照租船合同的条款和条件向卖方支付在卸货港产生的船舶滞期费(如果有的话)。
滞期费率为USD /天，不足部分按比例计算。

8.5.2 Seller shall pay to Buyer the vessel’s Despatch incurred (if any) at the Discharging Port in
accordance with the terms and conditions of the Charter Party. Desptach rate is USD5 per
day or pro rata.
卖方应按照租船合同的条款和条件向买方支付在卸货港产生的船舶速遣费(如果有的话)。
速遣费率为USD /天，不足部分按比例计算。
8.5.3 Settlement for Demurrage / Despatch shall be made within
thirty(30) days after the completion of
discharging based on the statement of facts of the vessel.
滞期费/速遣费应在卸货完毕后的30天内，基于船舶事实记录结清。
9. TITLE AND RISK OF LOSS 所有权和损失风险
The title with respect to the shipment shall pass from the Seller to the Buyer upon Seller’s
receipt of full payment for the coal loaded.
当卖方收到全部货款后，货物的所有权由卖方转至买方。
Risk in the Coal shall pass from the Seller to the Buyer in accordance with the CFR provisions
of INCOTERMS 2010 (as amended from time to time).
煤炭的风险应按照INCOTERMS 2010(随时修正)的CFR条款由卖方转移至买方。
10. INSURANCE 保险
Buyer shall be responsible for the insurance covering from loading point to destination point.
买方负责从装货点至目的地的保险。
11. FORCE MAJEURE 不可抗力
If at any time during the existence of this Contract either party is unable to perform whole or in
part any obligation under this Contract due to war, hostility, military operation of any character,
civil commotion, sabotage, quarantine restrictions, acts of government, fire, floods, explosions,
epidemics, strikes or other labor trouble, embargoes, then the date of fulfillment of any
obligation shall be postponed during the time when such circumstances are operative.
在任何合同履行期间内，如果任何一方因战争、对抗、军事行动、全民暴动或暴乱、检
疫限制、政府干涉、火灾、洪水、煤气爆炸、传染病、罢工或其他劳动冲突、禁运等原
因而不能履行相应的部分或全部的义务，那么履行义务的时限将顺延直至情况改变。
Any waiver/extension of time in respect of the delivery of any installment or part of the goods
shall not be deemed to be waiver/extension of time in respect of the remaining deliveries. If
operation of such circumstances exceeds 3 (three) months, either party will have the rights to

refuse further performance of the Contract in which case neither party shall have the right to claim eventual damages. The party which is
unable to fulfill its obligations under the present Contract must within 15 days of occurrence of any of the causes mentioned in the Contract informs the other party of the existence of circumstance preventing the performance of this Contract. Certificate issued by a Chamber of Commerce or any other competent authority connected with the cause in the country of the Seller or the Buyer shall be sufficient proof of the existence of the above circumstances and their duration. Non-
availability of material will not be an excuse to the Seller for not performing their obligations under this Contract. Fails to pay the money will not be regarded as the buyer fails to perform the obligation in the contract.
任何交付或货物的部分放弃/时间顺延都将不能被视为其余部分的同样放弃/时间顺延。如
果影响情况持续超过3个月，任何一方有权利拒绝履行合同义务，那么任何一方都不能
要求相关的损失赔偿。因合同中所提及的原因而不能履行合同义务的一方必须在情况发
生后15天内将情况告之另一方。由买方或卖方国家的任何主管当局或商会根
据实际情况
做出的证明将被作为不可抗力存在和时间顺延的依据。未交付的货物将不能视为卖方未
履行合同中的义务，未支付款项将不能视为买方未履行合同中的义务。
12. ASSIGNMENT 转让
