When calculating any price or adjusted price, or component thereof, the results of suchcalculation shall be rounded to the nearest cent and on half of a cent shall be rounded up.When calculating any tonnage, the results of such calculation shall be rounded to the nearesttonne and one half of a tonne shall be rounded up.当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五入，并且0.5美分应当四舍五入到1美分。

11. “US$” means (unless otherwise specified) the currency of the United States of America.“US$”是指美元(除非有其他规定);12. “Party” or “Parties” means Seller or Buyer or Both.“Party”或者“Parties”是指卖方或买方或双方;13. “Metric Tonne” or “MT” or “Tonne” shall mean 1,000 kilograms.“公吨” 或“MT” 或“吨” 是指1000公斤;14. “Base Price” means the base price for Co al fixed from time to time in accordance with Clause3.1, 3.2 and 3.3.“基准价格”是指按照本合同第3.1、3.2和3.3款随时确定的煤炭底价;15. “CIQ” means Entry-Exit Inspection and Quarantine of thePeople’s Republic of China.“CIQ”是指中华人民共和国出入境检验检疫。
16. “SAIFU” means Shanghai Saifu Fuel Inspection and Test Co., Ltd.“SAIFU”是指在上海赛孚燃料检测有限公司。
“INSPECTORATE” means Inspectorate (Shanghai) Ltd.“INSPECTORATE” 是指上海英斯贝克商品检验有限公司。
17. “ISO” means International Organization for Standardization;“GB” means Chinese National Standards.“ISO”是指国际标准化组织;“GB”是指中国国家标准。
18. Delivery time at the Discharging Port means the first day whenship sail to discharge port oranchorage.在卸货港交货时间意为船到达卸货港或者锚地的第一天。
19( Unless the context otherwise requires, the singular shallincluding the plural and vice versa.除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然。
20. Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in accordancePage 2 of 13Contract Number:with the terms and conditions set out below. The Seller and Buyer mutually agree as follows:买卖双方均同意根据如下条款和条件购销煤炭:1. QUANTITY 数量Seller agrees to sell and Buyer agrees to purchase total Contract Quantity of approximately50,000 MT +/-10% as per seller’s option.卖方同意卖、买方同意买大约总合同数量为50,000MT的动力煤炭+/-10%卖方决定。
2. DELIVERY 出货Delivery at the Discharging Port shall be made within 30 days upon signing the Contract.在签署合同后的30天内运至卸货港。
3. PRICE 价格3.1 The base price is USD per MT CFR , China.基准价格为每吨美金CFR ,China.3.2 The Base Price shall be adjusted in accordance with Clause4.2 and Clause 6.1.基准价格按照本合同第4.2款和第6.1款予以调整。
3.3 The Base Price for Coal delivered shall be based on Net Calorific Value (ARB)of 5,500 kcal/kg.所交付煤炭的基准价格的计价标准为热值收到基低位发热量5500大卡/公斤。
4. PRICE ADJUSTMENT 价格调整If the actual Net Calorific Value(ARB) is above 5,500kcal/kg or below 5,500 kcal/kg until 5,300kcal/kg, the price of that shipment shall be adjusted as follows: The invoice price = (Actual Net Calorific Value(ARB) / 5500) X Base Price如果实际低位热值(收到基)高于5500大卡/公斤或低于5500大卡/公斤(直至5300大卡/公斤)，价格按如下调整:发票价格 = (实际收到基低位热值 / 5500) X 基准价格5. WEIGHT AND QUALITY DETERMINATION 重量和质量定值5.1 The weight and quality of coal shall be inspected by an Independent Surveyor which mutuallyagreed at the Loading Port at Seller’s expense. The sampling and analysis method by theIndependent Surveyor at the Loading Port shall comply with ISO standards. The IndependentSurveyor shall prepare and hold an Arbitration Sample for three months which will be used inthe event that there is a quality challenge.煤的重量和质量应由PT. GEOSERVICES在装货港进行检验，且由卖方承担相关费用。
