XXXX有限公司，以下简称挖泥船的船东，同意出售并且授权船东代理处理并签订合同，并完成此挖泥船的交船手续。

Definitions :
定义：
"Banking Days" are complete days (1 working day = 10 hour) on which both banks are open in Iran and China
“银行日”指在伊朗和中国，银行的营业日（1工作日=10小时）
"In writing: or "written" means a letter handover from fax the Owners or Owner's Agent to the Buyers or vice versa, a registered letter, telex, telefax , or other modern form of written Communication
“书面”是指船东或船东代理向买方发的传真、电传、挂号信、电报或其他现代书面通讯形式，反之亦然。
1: Purchase Price: 27,400,000 US$ (twenty seven, four hundred thousands American Dollar), equivalent to exchange rate (USD100= RMB656) of 25th, January, 2011.
*- If exchange rate between US$ and RMB is not exceed 1.5 %, it is not considered any adjustment for price, otherwise, the price should be adjusted according to date of payments exchange rate.
The Basis for exchange rate would be daily average reported rate by bank of China.
价格：27,400,000美元，基于2011年1月25日汇率。
如果美元对人民币的汇率变化没有超过1.5%，价格变化不予以考虑；否则，船价应按照结汇当日的汇率调整。汇率基准为中国银行发布的汇率中间价。
2. Deposit and Advance payment
定金和预付款
2. a- Deposit 定金
As the security for correct fulfillment of this agreement the Buyer shall pay a deposit of 200000 US$ (two hundred thousand American Dollar) Of purchase within (10) banking days from the date of this agreement against Bank Guarantee , by way of T/T or through Main L/c that would be opened the agreement
为保证正确履行合同，在10个银行日内，买方将在收到银行保函后，通过T/T或信用证支付定金200,000US$。
2.b. Advance payment 预付款
During seven (7) banking days of this agreement, Buyer should pay 15 percent of purchase amount, such as advance payment against Bank Guarantee through letter of credit (see Clause 3)
协议签订后七（7）个工作日内，买方将以信用证的方式支付合同总额的百分之十五作为预付款，船东出具银行保函。
The total amount of deposit and advance payment will be USD 4,110,000 (Four Million, One Hundred and Ten Thousand American Dollars)
定金和预付款的总额为USD 4,110,000。
It is Clear that, Deposit will be deducted from advance payment and remain amount would be paid. Therefore it should pay 3910000 US$. Also it is possible to pay deposit with advance payment simultaneously, if Owner prefer. Also it is possible to pay the total amount of the purchase price when the documents complete, against L/C at sight, if Owner prefer.
扣除定金，预付款总额为3910000US$。如果船东愿意的话，定金和预付款可同时支付。如果船东愿意的话，也可在银行议付单据时，支付合同全款。
3. Payment 付款
Excluding deposit, 27,200,000 (twenty seven million, two hundred thousand American Dollar) shall be paid by way of the at sight, Letter of Credit, to be
