装运条款:应按照《2010年国际贸易术语解释通则》的规定办理。凡按cfr或cif条件达成的交易,如船公司在运费外加收的各种附加费包括港口拥挤费等概由买方承担。卖方应于交货期内将合同货物从装货港运到目的港,允许分批,允许转运。数量及总值均有5%的增减,由卖方决定。
装运通知:卖方应于装货后,立即用传真将有关合同号、货物、数量、发票价值、毛重、运输工具名称、交货日期、货物预计抵达日等资料通知买方。如果由于卖
方未能通知买方而造成的所有损失均由卖方承担。
质量保证:卖方保证合同货物质量和技术规格均符合国际标准的要求。质保期为最终用户签定验收报告后12个月内。
索赔:买方对本确认书项下装运货物的任何索赔必须于货物到达目的港后30
天内提出并提供经卖方同意的检验机构出具的检验报告供
卖方审核。在任何情况下卖方对间接损失不承担索赔责任,属于保险公司、船公司、运输机构和/或邮局责任范围内的索赔卖方不予受理。
不可抗力:如由于自然灾害、战争或其他不可抗力的原因致使卖方对本确认书项下的货物不能装运或迟延装运,卖方对此不负任何责任。但卖方应立即通知买方并于15天内一航空挂号函件寄给买方由澳大利亚相关部门出具的证明发生此类事件的证明书。
罚金:罚金的金额不超过迟交货的合同货物部分的价值的5%,罚金按每7日0.5%计算,少于7日的增加天数按7日计。罚金条款一般适用于卖方延期交货,或者买方迟延开立信用证或延期接货等场合下。
仲裁:凡因执行本合同所发生的或与本合同有关的一切争议应通过友好协商解决,如果协商无法解决,争议应提交澳大利亚仲裁机构根据其仲裁规则进行仲裁。仲裁地点在堪培拉。仲裁裁决是终局的,对双方都有约束力。
银行费用:所有中国之外的银行费用均由卖方承担,但是此外的其他费用由买方承担。
其它:本合同一式贰份,卖方执壹份,买方执壹份。
