service for Party A as Article 1 mentioned. Meanwhile,
should Party A request, Party B shall arrange corresponding
professional lawyer to provide legal counseling service on
legal affairs of Party A, protect legal rights of Party A, and
Party A shall be willing to accept the lawyers designated by
Party B.

Draft, review and amend any kind of legal documents.
B、根据甲方的经济、商务谈判，为甲方完善

C、为甲方事务出具法律意见书、律师函、律师声明等

Provide Party A with legal advisory paper, lawyer’s letter and counseling statements and

D、为甲方的经营管理决策提供法律论证；
Provide Party A with legal argument for Party A’ s managerial decision-making.
E、为甲方进行必要的法律辅导；
Provide Party A with necessary legal tutoring.
F、协助甲方处理劳资关系。
Assist Party A with Labor Relations.
2：根据甲方的另外授权委托代理甲方参加各类纠纷的协商、调解、诉讼、仲裁；
According to Party A’s additional authorization delegation, Party B shall participate in negotiation,
mediation, litigation and arbitration of all kinds of disputes.
3：根据甲方的另外授权委托对甲方重大商务行为或者项目提供法律服务。
According to Party A’s additional authorization delegation, Party B shall provide legal services to Party A’s
major business activities or projects.

甲方责任
Responsibility of Party A
1、甲方应当如实向乙方提供有关文件、资料以及反映其他情况，甲方必须确保所提供文件、资料、信息的真实性，如因甲方故意或过失向乙方提供虚假文件、资料，或故意隐瞒有关事实，而导致乙方无法作出正确的口头或者书面法律意见，由此所造成的损失，均由甲方承担。
Party A shall provide Party B with relevant authentic
files, documents and reflect other situations accurately.
Party A shall ensure that all files, documents and
information are in accordance with the fact. If Party A has
intentionally or negligently provided false documents,
information, or intentionally concealed the facts to Party B,
which causes Party B unable to make correct oral or written
legal advice, Party A shall bear the corresponding economic
loss by itself.
2、为乙方开展工作提供必要的条件与协助。
Provide Party B with necessary conditions and assistance for Party B doing its job.
3、如期如数支付法律顾问费用及应由甲方承担

法律顾问费用
Legal consultant fees
1、甲乙双方同意，就本次甲方聘请乙方作为常年法律顾问，甲方应当向乙方支付的顾问费用为每年人民币壹万肆仟元(RMB14,000)。
In this Agreement, Party A agrees to assign Party B as
its long-term law consultant, both parties agree that Party A
shall pay RMB 14,000 to Party B for the consultant fee every
year.
2、前述年度费用自本合同书签署之时给付。
The aforementioned annual fee shall be paid from the time of signing of this Agreement.
3、如乙方应甲方的要求指派律师参与诉讼、仲
裁或者重大商务行为、项目提供法律服务时，乙方按照
律师协会有关规定另行优惠收费。
If Party B is required to assign a lawyer to participate in litigation, arbitration or major business conduct and project
and provide legal services, Party B shall charge extra fees

4、发律师函、调查取证等涉及行政机关收费、
快递费用，由甲方承担。
Party A shall bear the fees on sending lawyer’s letter, investigating and collecting evidence and any other payments related to administration fees and postal fees, etc.
5、甲方每笔单项业务费用，由双方根据实际情况另行协商。
The individual business expenses of Party A shall be negotiated separately by the two parties according to the actual situation.
第七条：

le 7有关乙方失职责任
Negligence liability of Party B
乙方应对其所出具的书面法律意见的正确性负责，如
因乙方出具的书面法律意见缺乏正确性而导致甲方决策失
误，乙方对由此所造成的甲方损失，应当承担赔偿责任。
Party B shall be responsible for the accuracy of the written legal advice that it provides.
Party B shall be liable for any loss caused by Party B due to the lack of correctness in Party A's written legal opinion.

乙方律师在担任法律顾问期间，如未能勤勉尽责、严密谨慎地忠实履行职责的，甲方有权提前终止本合同。
Party B shall have the right to terminate this contract in advance if he fails to perform his duties with due diligence, strict and prudent fulfillment of his duties during his term of office as legal adviser.

双方同意，在本次项目进行过程中，除非权利方同意，
任何一方不得将因为履行本合同所获得的关于对方的任何
信息、资料、数据或者其他商业秘密，以及甲方从乙方获
得的且乙方已经作出声明限制使用的任何专业意见（无论

In the process of this project, both parties reach an agreement that, without the consent from either party, neither party shall disclose to any third Party or irrespective persons any information, documents, data or other business secrets of either party gained during the execution of the agreements. Meanwhile any kind of professional advice (oral or written) that Party B has made a statement requesting restricted usages of, which is obtained by Party A, shall not be disclosed to any irrespective persons.

le 10争议解决及补充协议
Dispute settlement and supplementary agreement
甲乙双方在执行本合同书过程中产生争议时，双方应
当友好协商，协商不成时任何一方均可以向中山市有管辖
权的法院提起诉讼解决。
Any disputes arising during the execution of the agreement shall be settled through friendly negotiation by
both parties. If the disputes are not settled by mutual
agreement, either party may institute legal proceedings in
the courts in Zhongshan, which owns jurisdiction over the
parties.
甲乙双方在执行本合同书过程中如果发现需要对有关事项作出补充时，在征得双方同意之后可以订立补充协议。

Validity and others
本合同的订立、生效、解释、履行、争议的解决等事
项完全适用中华人民共和国法律。
The law of the People’s Republic of China shall govern this Agreement for its formation, validity, explanation,
performing and dispute settlement, etc.
本合同自甲、乙双方及其授权代表签字、盖章及顾问费付清之日起生效。
This Agreement shall become effective when signed, stamped by the authorized representatives of both parties,
as well as when the counseling fee has been paid in full.
本合同正本一式贰份，甲、乙双方各执壹份，该各份合同书正本均具同等法律效力。
This contract is in duplicate. Both Party A and B hold one original copy of the contract that holds the same legal

2、为甲方草拟、审查、修改有关法律文书和经济合同； 3、为甲方办理商标、发明、外观设计、实用新型等知识产权的注册申请、续展等有关事务提供法律咨询； 4、应甲方的要求，协助参与重大项目谈判，审查或准备谈判所需的各类法律文件； 5、对甲方所涉的各类纠纷提供法律意见并予以协调，进行和解、参与调解； 6、对甲方所涉及的各类纠纷代理参加诉讼或仲裁。 三、法律顾问费用 1、甲方应向乙方支付法律顾问年费每年人民币元（大写：人民币元整）。上述服务范围中的第5、6两项的收费按国家律师收费标准的50%另行收取。 2、上述法律顾问费每年一交，首次费用于合同签订之日起五个工作日内一次性付清。之后每年法律顾问费用应于每年月 日至月日按年交付。 3、上述服务范围中的第5、6两项的代理费用于甲方给乙方出具授权委托书之当日一次性付清。 四、工作费用 双方商定下列与法律顾问服务有关的费用开支由甲方负担，且未包含在本合同第三条的法律顾问费中： 1、直接费用包括但不限于异地交通、住宿、通讯、电信、文印等办案中必需的费用。

CONTRACT ON RETAINING LEGAL COUNSEL This retaining Contract ("Contract") is entered into by and between MASA CONSTRUCTION MACHINERY (TIANJING)CO,LTD. ("Party A” hereinafter) and Beijing King & Partners partnership legal firm ("Party B" hereinafter). In accordance with Contract Law of the People's Republic of China and Law on Legal Counsel of the People's Republic of China, Party A engages Party B as its annually retained legal advisor to deal with the legal affairs in its business operation and management. The two parties through consultation hereby agree upon, and shall be bound by, the following terms: Article 1 Services Rendered by Party B The lawyers employed by Party B will supply services of assisting Party A in dealing with the daily legal matters, which including: a. Assisting in drafting, drawing, reviewing or amending contracts, constitution and other legal documents; c. Dealing with other legal matters agreed by two parties Without the agreement of both parties, the service scope of Party B does not include the legal matters of Party A’s holding companies, Share Companies, subsidiaries and other related enterprises. Without the agreement of both parties, the service scope of Party B does not include of neither the cases in the litigation or arbitration involving with economy, civil, intellectual property, labor, administration and criminal aspects; or the specific legal counsel matters involving with long-term investment, financing, corporation restructuring, M&A, bankruptcy, stock issuance and public offerings. 三、乙方及其指派律师应享的权利： 1、查阅与承办法律事务的有关的甲方内部文件和资料； 2、了解甲方在生产、经营、管理和对外联系活动中的有关情况； 3、列席甲方领导人召集的生产、经营、管理和对外活动中的有关会 议； 4、获得履行法律顾问职责所必须的办公、交通及其他工作条件和便 利：按不低于甲方部门经理之标准办理。 四、乙方及其指派律师应尽的责任： 1、应当及时承办委托办理的有关法律事务，认真履行职责； 2、应当坚持以事实为依据，以法律为准绳的原则，依法顾问； 3、应根据本合同规定和甲方委托授权的范围进行工作，不得超越委 托代理权限； 4、不得从事有损于甲方合法权益的活动，不得在民事、经济、行政 诉讼或仲裁活动中担任对立一方当事人的代理人； 5、在其受聘的两个（或两个以上）单位之间发生争议时，应当进行 调解但不得代理任何一方参加诉讼或仲裁； 6、对在工作中接触、了解到的有关甲方生产、经营、管理和对外联 系活动中的业务秘密，负有保守秘密的责任。 五、甲方遇有紧急法律事务，可随时与法律顾问联系，并有责任向法律顾问详细真实地介绍有关情况。乙方应及时处理和妥善解决。 六、按照《律师业务收费管理办法》和《律师业务收费标准》经双方协商，由甲方每年向乙方支付法律顾问费人民币元整。 甲方于本合同生效之日起5日内一次性向乙方支付法律顾问费。
