上海市特许经营合同说明
一、本合同文本是根据《中华人民共和国合同法》、《商业特许经营管理办法》及相关法律、法规制订的示范文本，其合同条款为提示性条款，供本市行政区域范围内的特许经营权当事人双方约定采用。
二、为体现合同双方的自愿原则，本合同文本中相关条款中有空白行，供双方自行约定或补充约定。合同签订生效后，未被修改的文本印刷文字视为双方同意内容。本示范文本中涉及到的选择、填写内容，双方不作约定时，应在空格部位打×，以示删除。
三、本合同所称特许经营是指通过签订合同，特许人将有权授予他人使用的商标、商号、经营模式等经营资源，授予被特许人使用；被特许人按照合同约定在统一经营体系下从事经营活动，并向特许人支付特许经营费的行为。
四、特许经营涉及的专业性较强、法律规范较多，为更好地维护双方当事人的权益，双方签订本合同时应当慎重，力求具体、全面、严密。
五、在正式签订本合同时，双方确认已提前20日以书面形式向对方提供了真实、准确的有关特许经营的基本信息资料及有关经营能力的资料。

第一条定义
除非合同条款另有特别说明，本合同中使用的字词与表述的含义如下：
“特许经营体系”，是指甲方的特许经营体系，其特征包括但不限于，商标（包括服务商标）、商号、专利和专有技术、产品经营模式等。
