第一章总则
Chapter I General Provisions
第一条甲方是一所有办学许可证的学校(办学许可证证号
为:YYYYYYY)，有在XXXX运营幼儿园的经验，拥
有地方资源及办学设施。目前正运营位于XXXX的
“XXYYY双语幼儿园”。
Article 1 Party A is a school which has already obtained school running license (school permit No. is: YYYYYYY) from competent authority. Party A has some experience in nursery operation in YYY, and also has some local resources and school facilities. Currently, Party A is running the …YYY Golden Sun Bilingual Kindergarten‟ in YYY, YYYY.
第二条乙方是一家香港注册的专业教育公司，已拥有直接或间接建立及运作被认可的高品质大学前国际学校的经验及专业知识，覆
盖幼儿园及YY年级。
Article 2 Party B is a professional education company registered in Hong Kong which has experience and expertise of directly or indirectly establishing or running high-quality pre-university international schools, covering kindergarten and YY schooling grades.
乙方拥有附件I显示的学校校徽权，校徽是高端学校的标志也是品质教育的象征。Party B possesses the right of school badge indicated in Annex I. School badge is a sign of high-end schools as well as a symbol of quality education.
第三条丙方在中国YY省运作国际化幼儿园及英文培训学校多年，拥有丰富的办学经验和大量的办学场所。由Winnie StewartYYY及Arthur John Stewart 共同注资。
Article 3 Party C has been operating international kindergartens and English training centers in Guangdong Province for many years, and has had extensive experience in running schools and a large number of school places, jointly funded by Winnie Stewart, YYY and Arthur John Stewart.
第二章协议各方的合作目标
Chapter 2 Cooperation Objective of Parties Involved
第四条甲乙丙三方拟共同出资成立“XXYY优质教育服务咨询公司”(以政府部门最终核准的名称为准)，按照乙方“从幼儿园到YY年级”的教学模式打造在XX被公众认可的领军学校。
Article 4 Party A, Party B and Party C intend to jointly establish the "YYY Canadian Quality Education Services Consulting Company" (The name shall be subject to government‟s final approval), which is to be built into a leading school recognized by the public in accordance with Party B‟s teaching model covering from kindergarten to Grade YY".
第三章协议各方合作的范围
Chapter 3 Cooperation Scope of Parities Involved
第五条甲乙丙三方合作的范围为:
1.“XXYYY双语幼儿园”目前所在的园区；
2.YYY学校；
3.“XXYY优质教育服务咨询公司”成立的所有幼儿园、学校、培
训学校；
Article 5 Party A, Party B and Party C cooperate in the following areas:
1. The park at which "YYY Golden Sun bilingual kindergarten" is now located;
2. Luhuitou School;
3. All kindergartens, schools and training centers set up by "YYY Canadian Quality Education Services Consulting Company";
