This Agreement is made and entered into by and between the parties concerned on

2.委任 Appointment
在本协议签定后,甲方认可乙方在条款4所指的指定代理区域内的独家代理的身份,
并给予其对条款3中提及的甲方的产品进行推广的权限。乙方接受甲方的委任。
Party A hereby appoints Party B as its Exclusive Agent in the authorized territory to solicit orders for commodity stipulate in Article 3 from customers in the territory stipulated in Article 4, and Party B accepts and assumes such appointment.
3.代理商品 Commodity
甲方指定生产_________全系列产品。
Party A appoints whole series of _________ products.
4.代理区域 Territory
仅限于_________
In _________, only.
5.最低业务量 Minimum Turnover
乙方同意,在本协议有效期内从上述代理区域内的顾客处招揽的_________产品的订单数
量从协议签订期起前6个月不低于_______台/月,6个月之后每月订单数量不低于_______台/月,产品销售价格按照甲方指定售价不得低于甲方要求价格,否则甲方有权单方面取消本协议并对由此给甲方带来的损失要求乙方进行赔偿或者在其代理区域增加新的代理。
Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement. From a period of agreement, ahead of Six months order quantity shall not be less than______pieces/month, after six month order quantity shall not be less than ______pieces/month. Otherwise, Party A has the right to cancel this agreement unilaterally or to add new agent in the agency area and Party B should compensate the lost to Party A.
6.付款方式 Term of Payment
甲方要求乙方所代理产品全部款到发货,如有OEM 或ODM 要求需先预支付30%的
定金,剩余_________% 货款在工厂验货后,甲方发货前由乙方一次性结清。
Payment should be made in advance before each individual delivery. If requirement for OEM or ODM then 30% payment in advance is required, the rest _________% payment should be done after examining finish goods in factory, but before delivery.
7.交货周期 Delivery Time
由双方协定制定日期内甲方将乙方所需求货物安排到乙方指定地点,如遇不可抗力因
素,需双方共同沟通解决问题。
Party A should delivery good to specific place appointed by Party B. If any event of force majeure happen that result the delivery cannot be finished, Party A and Party should negotiate to solve it together.
8.商情报告 Market Report
为使甲方充分了解现行市场情况,乙方承担至少每周一次或在必要时随时向甲方提供
市场报告,内容包括与本协议代理商品的进口与销售,有关的地方规章的变动、当地市场发展趋势以及买方对甲方按照协议供应的产品的品质、包装、价格等方面的意见。
In order to keep party A well informed of the prevailing market conditions, Party B should undertake to supply Party A at least once a well or at any time when necessary, with market report concerning by this agreement, local market tendency and the buyer’s comments on quality, package, price. etc.. of the goods supplied by Party A under this agreement.
9.市场与售后支持 Advertising and Expenses
乙方承担本协议有效期内在代理区域内销售代理商品做广告宣传前期费用,并向甲方
提供所用于广告的声像资料,供甲方事先核准。
During the validity of this agreement, Party B should bear the cost the prophase advertising for the related goods in the authorized territory. All the video materials used for advertisement should be offered to Party A to check in advance.
10.工业产权 Industrial Property Right
在本协议有效期内,为销售有关手机,乙方可以使用甲方拥有的商标,并承认使用于或
包含于手机中的任何商标专利、版权或其他工业产权为甲方独家拥有。一旦发现侵权,乙方应立即通知甲方并协助甲方采取措施保护甲方权益。
Party B may use the trade-marks owned by Party A for the sale of the mobile phones
