Both parties agree to conclude a deal on the following LPFO fuel oil (hereinafter referred to as the commodity) of specification and quality narrated below.
买卖双方同意就下列所叙述之规格及质量的LPFO燃料油(以下简称货物)进行交易。

6. Quantity: 600,000MT/ ±5%。Monthly batch of 50000tons each.
数量：600,000公吨/±5%，每月一批，每批50000吨。
7. Price and Terms of Payment;
价格及支付条件：
7.1. Price: CIF USD357.00/ton
价格：CIF USD357.00/吨
7.2. Total amount: 214,200,000.00
总金额: 214,200,000.00
7.3. DLC: Buyer open a irrevocable,revolving DLC payable at sight (CIF).
信用证：买方开具不可撤销的循环信用证.
8. Loading and Delivery: 装船期与交货期。
The commodity should arrive at discharging port within 60 days after accept the DLC from the buyer’s bank. 货物应在卖方银行收到信用证后60日内到达目的地。
9. Quality and quantity determination and report submission: 质量数量鉴定与报告递交
9.1. The Seller shall appoint the local inspection department of SGS to inspect quality and quantity of this commodity and to issue inspection certificates. The inspection fee shall be for the Seller’s account. 卖方委托当地SGS检验机构在装运港对此货物进行质量数量检验，并出具证书，其检验费用由卖方支付。
9.2. When the vessel reaches discharge port the Buyer shall also appoint the local China entry-exit inspection and quarantine bureau to ascertain quality and quantity of this commodity and to issue inspection certificates. The inspection fee shall be for he Buyer’s account.After receipt of theCertificate of Quality confirming quality conformity to specifications,the Buyer shall pay the goods according to the Certificate of Quality. 买方可委托当地中国出入境检验检疫局在目的港进行质量数量检验，并出具证书，其检验费用由买方支付，买方得到证明货物质量合格的质量证书后，凭该数量证书支付货款。
9.3. The determination of the quality and quantity shall be in accordance with methods and procedure usually used in the oil industry practice and shall strictly comply with the ASTM international standard. 数量和质量的评定按石油行业一贯的方法和程序，即应严格按ASTM的国际标准检验。
10. Change of discharging port: 卸货港的更改
The Buyer may change the discharging port but should inform the Seller in writing not less than three days before the loading of the commodity. 买方可以更改卸货港，卸货港的更改必须在装运港装船前3日或更早以书面通知卖方。
11. Shipment and vessel: 装运条件和船舶的确认
The vessel chartered by the Seller is subject to acceptance by the Buyer at the discharging port but the Buyer can refuse only within the reasonable range. The vessel must be equipped with adjustable water pressure pump and back heaters according to the needs. The vessel should be in conformity with the conditions at the discharging port. The discharging rate should be not lower than 500 MT per hour. 卖方所租船舶须为买方码头所能接受，但买方不可不合理地拒绝。船舶须装有可调的水压泵和回热器。船舶须符合卸货港的港口条件。船舶卸率不小于每小时500公吨。
The SELLER shall book space in the shipping company which enjoy good reputation. The carrying vessel shall have good record transportation .Its service time shall not be over 15 years and its flying flag and/or its nationality shall be acceptable by Buyer. If its service time is over 25years,the SELLER shall take out the insurance at his own cost for the regard
卖方应向有信誉的船务公司预定租船，运货的船只应该有良好的运输记录，其服务时间不超过15年，所悬挂的旗帜或国籍都应该是买方所能接受的。如其服务时间超过15年，则应由卖方另付保险费用。
12. Demurrage：滞期
If delay occurs, the demurrage shall be paid within 60 days from the date of the bill of lading in accordance with the provisions of the corresponding charter party. The demurrage, if caused by the Buyer, shall be for the Buyer’s account; otherwise, it shall be for the Seller’s account. After 5 days the vessel reach discharge point the buyer will pay the demurrage. 如果发生滞期，则滞期费用应当于提单日后60日内按照相应的租船合同约定支付。滞期费用如由买方造成的由买方负责，否则由卖方负责。船到目的地5天后买方将要付滞港费。13.
