甲方（购货方）：精毛纺有限公司Party A (Buyer): WORSTED TEXTILE CO., LTD.
乙方（代理方）：国际贸易有限公司Party B (Agent): INTERNATIONAL TRADE CO., LTD.
丙方（供货方）: Party C (Supplier): SEYDEL MASCHINENFABRIK GMBH
甲、乙、丙三方经友好协商，就进口设备项目事宜, 根据国家现行的法律、法规和政策之规定，于年月日在签订协议条款如下，以资信守。
Party A, party B and party C, through amicable negociation, shall in accordance with the existing laws, regulations and policies of the State, on the import of equipment projects sign and enter into this agreement as follows on the date of at city of , for parties hereto bide by.
一、进口商品价格Article One Price of Exported Commodity
甲方委托乙方作为其进口项目的代理人，乙方接受甲方委托，代理甲方执行该项目进口合同。数量：共1套；总价：EUR 48700；价格条款：CIF SHANGHAI AIRPORT
Party A entrusts Party B as the agent of its import project, and party B accepts the entrustment of party A to execute the import contract of the project on behalf of party A.
Quantity: One set; Total Price: EUR 48700；Term of Price: CIF SHANGHAI AIRPORT
二、支付条件Article Two Payment Condition
付款方式：100% T/T 预付。Payment: 100% T/T in advance.
甲方须在货到港前十个工作日内，将进口税款（关税、增值税）和乙方进口代理手续费（为合同金额的5 %）等款项给付乙方。如因款项未到，而造成滞报金、滞纳金及仓储费等一切费用，由甲方承担；如货到15天后，甲方仍未支付上述款项，乙方有权对所到货物行使留置权。
Party A should within ten working days prior to the arrival of the goods effect payement of import tax ( customs duty, value-added tax) and party B's import agency fee (5 % of the contract value) to party B. Where the amount fail to be paid by party A, the any and all expenses, inter alia, the fine for delayed declare custom, fine for paying late, storage fees arising therefrom and other expenses shall be on the acount of party A; provided that party A still fails to effect the payment of abovementioned amount, party B reserve the right to make the lien on the goods arrived.
三、甲方义务Article Three Party A’s Liabilities
1．所购进商品为法定商检商品，甲方负责办理有关商检手续。
The purchased commodities are the same of legal commodity inspection, for which party A is responsible for conducting the relevant procedures of inspection.
2．甲方对外所做的承诺或约定必须符合国家现行的法律、法规和政策的规定，并承担有关责任，同时，负责确保所进商品和商品进价的真实性。如因甲方原因造成到货通关时发生问题，其责任和直接损失，以及乙方按甲方委托要求履行合同过程中所产生的风险和损失都由甲方承担。
Party A’s commitments or agreement should comply with the current laws, regulations and policies of State and undertake the concerned responsibilities therewith in addition to ensure the authenticity of the exported commodity and the price there. Provided that any difficulties in customs clearance of the arrived goods due to the reason of Party A, the liability and direct loss therefrom in addtion to party B's risks and losses arising from the performance of the contract as required by party A shall be borne by Party A.
3．甲方按照约定支付购买设备款项，包括相关的费用。
Party A shall pursuant to the agreement hereof effect the payment of purchased equipment, including, inter alia, other related expenses.
四、乙方义务Article Four Party B’s Liabilities
1．乙方负责按规定办理进口许可证等进口批文。
Party B shall, subject to the regulations of State, be responsible for handling import license and other import approve documents.
2．乙方负责按本协议与供货的丙方签约，确保合同内容的真实性和合法性。
Party B shall be responsible for signing the contract of purchased commodity with party C of the supplier in accordance with this agreement to ensure the authenticity and legality of contract contents.
3．乙方负责办理购付汇和核销手续，汇率为付款当日银行卖出价。
