Discrepancy and Claims: Should the quality and /or quantity be found not in conformity with that of the contract, the Buyers are entitled to lodge with the Sellers a claim which should be supported by survey reports issued bu a recognized survey or approved by the Sellers. The claim, if any, shall be lodged within 30days after arrival of the cargo at the port of destination.不符与索赔：若发现品质、数量或重量与合同不符，买方应于货到目的港后30天内提出索赔，并同时提交由权威部门或卖方提供的勒察报告。
Force Majeure: The sellers shall not be held liable for non-delivery or delayed delivery of thegoods due to accidents beyond their control. However, the Sellers shall deliver to the Buyers the documentary evidence of force majeure cause.不可抗力：如因不可抗力原因致使卖家无法交货或延迟交货，卖方概不负责，但卖方应就不可抗力原因向买方提交证明材料。
Arbitration: All disputes in connection with this contract or its execution shall be settled bynegotiation. In case no settlement can be reached, the case under dispute shallthen be submitted to China International Economic and Trade Commission in Beijing for arbitration in accordance with its Arbitration Rules. The decision shall be final and binding upon both parties. 甲方延期支付超过三十日的，乙方有权选择解除合同，甲方按照合同滞纳金标准向乙方支付违约金（支付至乙方提出解除日），向乙方返还产品，甲方已经支付的款项作为赔偿，如不足以弥补乙方的损失的，由甲方另行赔偿。
Should Party A postpone payment, Party B has right to delay shipment date; Party A should consequently pay late fees of % per day of the contract amount to party B till date of full payment. Should party A defers payment over 30 days, party B may dissolve the contract and Party A, according to above stipulated late fees rate, should pay Party B liquidated damages and Party A should return the goods to Party B. Compensation of loss & damage caused by late delivery should be chargedto party B.甲方未按合同约定收货或无正当理由提出异议拒绝收货的，乙方将产品运输至交货地点之日视为甲方收到货物和验收合格的时间，由此造成的损失由甲方负责。
