Sale and Purchase Contract for Steam Coal煤炭购销合同No:20091018-63-1This contract is made on October, 2009,by and between :本合同由如下双方于2009年10月日签署：SELLER :卖方：BUYER :买方：DEFINITIONS：定义In this Agreement unless the context otherwise requires在此协议中除非有其它要求：1.“adb” means air dried basis.“adb”是指空干基；2.“arb” means as received basis.“arb”是指收到基；3.“Cargo” means cargo of approximately 30,000-50,000MT (±5%) as per seller’s option.“Cargo”是指货物每船装运约30,000MT-50,000MT (±5%)卖方决定；4.“Coal” means steaming coal produced for the Seller from South Kalimantan or Sumatra.“Coal”是指卖方产的南加里曼丹或苏门答腊动力煤；5."Contract Quantity" means 1,200,000MT (±5%) as per seller’s option.“Contract Quantity”是指1,200,000MT (±5%)卖方决定；6.“CIF” has meaning ascribed to such term in INCOTERMS 2000 (as amended from time to time.“CIF”含义等同于（随时修正的）INCOTERMS2000确定的相同术语的含义；7.“Loading Port” means the vessel anchorage at, South Kalimantan, Indonesia, or such other portas the parties may agree to in writing.“装货港”是指船只停泊锚地，即印度尼西亚南加里曼丹或由双方书面同意的其它港口；8.“Discharge Port” means GUODIAN power plant coal wharf in Tianjin or Qinhuangdao orDalian, China. as may be designated by Buyer.“卸货港口”是指由买方指定的中国天津.秦皇岛或大连港国电电厂煤炭专用码头；9.“Kcal/Kg” means kilocalories of energy per kilogram of coal.“Kcal/Kg”是指每公斤煤炭的发热量；10.When calculating any price or adjusted price, or component thereof, the results of suchcalculating any tonnage, the results of such calculation shall be rounded to the nearest tone and one half of a tone shall be rounded up.当计算任何价格或是调整价格或是任何部分价格时，这类计算的结果应当按照最接近的分值四舍五入，并且0.5美分应当四舍五入到1美分。
当计算任何吨数时，这类计算的结果应当按照最接近的吨数四舍五入，并且0.5吨应当四舍五入到1吨。
11.“US$” means (unless otherwise specified) the currency of the United States of America.“US$”是指美元（除非有其它规定）；12.“Party” or “Parties” means Seller or Buyer or Both.“Party”或者“Parties”是指卖方或买方或双方；13.“Metric Tone” or “MT” or “Tone” shall mean 1,000 kilograms“公吨” 或“MT” 或“吨” 是指1000公斤；14.“Base Price” means the base price for Coal fixed from time to time in accordance with Clause3.1, 3.2 and 3.3“基准价格”是指按照本合同第3.1、3.2和3.3款随时确定的煤炭底价；15.“Contract Year” means a period of twelve months“合同年度”是指为期12个月的一个期限；16.Unless the context otherwise requires, the singular shall including the plural and vice versa.除非本合同上下文另有要求，任何词语的单数应包含复数的含义，反之亦然。
Whereas, Seller has agreed to sell and Buyer has agreed to purchase the Coal in accordance with the terms and conditions set out below. The Seller and Buyer mutually agree as follows:买卖双方均同意根据如下条款和条件购销煤炭：1. QUANTITY数量：Seller agrees to sell and Buyer agrees to purchase total Contract Quantity of approximately 1,200,000 MT (±5%) as per seller’s option. From November 2009 to December 2009, each month 100,000MT per shipment. From January 2010 to October 2010, each month, 100,000MT per shipment.卖方同意卖、买方同意买大约总合同数量为1,200,000MT的动力煤炭+/-5%卖方决定，其中，2009年11 ~ 2009年12月：每月10万吨，2010年1月~ 2010年10月：每月10万吨。
2. DELIVERY出货2.1 Each delivery at the Loading Port shall be made within 20 days upon Buyer’s Letter ofCredit have been received by Seller and each delivery at the Discharging Port shall be made within 35 days upon Buyer’s Letter of Credit have been received by Seller .每船为卖方收到买方开出的信用证20天内付运，并在收到买方信用证后的35天内运至卸货港。
2.2 The first month will be 100,000 MT (±5%) as per seller’s option.第一个月10万吨(±5%)由卖方决定.2.3 Partial shipment allowed.允许分批装货。
3. PRICE价格3.1 The price of first, second and third months is USD per MT CIF Tianjin or Qinhuangdaoor Dalian CIF GUODIAN power plant coal wharf in the People’s Republic of China asdesignated by the Buyer. The price for every three months thereafter would be reviewed and finalized by both parties，and both parties would do their best endeavor to renegotiate and agree on the price, in case both parties fails to finalize the said price [ 15 ]days prior to thebeginning of such three months, the Contract shall be automatically terminated.前三个月价格为每吨美金CIF价天津,大连港等买方指定的国电煤炭码头, 此后每3个月的价格由双方协商确定，双方应该尽双方的最大努力重新谈判该价格，如双方就该价格在该三个月开始前的15天仍无法达成一致，则本合同自动终止。
3.2 The Base Price shall be adjusted in accordance with Clause4.2.基准价格按照本合同第4.2款予以调整。
3.3 The Base Price for Coal delivered shall be based on Gross Calorific Value (air dried basis) of6300 kcal/kg.所交付煤炭的基准价格的计价标准为热值空干基(ADB)6300大卡/公斤。
4. QUALITY品质：4.1 The quality of Coal delivered hereunder shall conform to the following typical specificationdetermined in accordance with GB Standards by China Certification and Inspection (Group) Co., Ltd (hereinafter referred to as “CCIC”) at the loading port:在本合同项目下交付的煤炭质量应符合按照装港CCIC根据GB标准所确定的以下规格：Item Guarantee/Limit Rejection Total Moisture (ARB)全水分(空干基) 14% max Above 16%Inherent Moisture (ADB)内水分(空干基) 10% max Above 14%Ash Content (ADB) 灰分(空干基) 14% max. Above 15 %Volatile Matter (ADB)挥发分(空干基) 30% - 40%Fixed Carbon (DB) 固定碳(干燥基) By differenceTotal Sulfur (ARB)全硫分(收到基) 0.8% max Above 1%Gross Calorific Value (ADB)总发热值(空干基) 6,300 kcal/kg min. Below 6,000 kcal/kg HGI 40-45Size 0-50 mm >90%Ash Fusion Temperature (DT) 灰熔点1300 12004.2.4.2.1 If Gross Calorific Value (air dried basis ) of shipment differs from 6300 kcal/kg, the priceof that shipment shall be adjusted as follows:如果所装运货物的热值（空干基）高于或低于6300大卡/公斤，价格按如下调整；The base price should be increased by USD1.0 per MT for each 100 kcal/kg in excess of6300 kcal/kg; fractions of 100 kcal/kg to pro rata to minimum increment of ±1 kcal/kg.每增加100大卡/公斤，则基准价格增加1美元/公吨。
