特别提示：本合同系各方在平等、自愿的基础上依法协商订立，所有合同条款均是各方意思的真实表示。为维护委托人、借款人的合法权益，受托人特提请委托人、借款人对有关各方权利义务的全部条款、特别是黑体部分内容予以充分注意。
Important notice: The contract is legally made and entered into by each party on the principle of equality and free will. All articles of the contract reflect true intentions of the parties. In order to protect the legal rights of the entruster and borrower, the entrustee reminds the entruster and borrower to be adequately cognizant of all articles concerning the parties’ rights and obligations, especially those in black (bold).

根据委托人和受托人于2012 年 2 月 1 日签署的《一般委托贷款委托代理协议》
（编号），并应借款人请求，受托人同意接受委托人的委托向借款人发放该项委托贷款。委托人、受托人与借款人经友好协商，达成以下协议，并共同遵守。
According to The Agency Agreement of General Entrusted Loan (No.: )on February 1st, 2012 by the entruster and the entrustee, the entrustee agrees to accept the entrustment by the entruster and release such loan to the borrower at the borrower’s request. The entruster, the entrustee and the borrower have reached the following agreement to be abided by the parties after friendly negotiation.
第一章一般委托贷款的金额、利率、期限及其它
Article1 Amount, Interest Rate, Maturity Date and Other Terms of the General Entrusted Loan
第一条贷款币种和金额。此项委托贷款币种为人民币，金额为（大写）陆百万元（小写）￥6,000,000.00 （大小写不一致时，以大写为准，下同）。此项贷款为委托贷款。
Item1 Currency and amount of loan. The entrustment loan is denominated in Renminbi, with an amount of six million i.e.￥6,000,000.00, (where the words and the figures indicate different amount, the words shall prevail, this rule shall apply hereinafter). The loan is an entrustment loan.
第二条贷款利率。本项委托贷款的利率按下列方式（1）确定：
Item2 Interest rate of loan. The interest rate will be determined by the following ways of (1):
（1）年利率为0 %的固定利率，在贷款期限内保持不变。
Annual interest rate is a fixed rate of 0% and remains the same within life of
loan.
（2）按借款人提款日中国人民银行公布的对应期限档次贷款基准利率/ （上浮/下浮/零）/ %确定。中国人民银行调整贷款基准利率的，本合同项下贷款利率同步调整。借款利率以/ （1/3/6/12）个月为一期，一期一调整，分段计息。
The interest rate will be determined by referring to the benchmark interest rate for loans with corresponding term at the date of withdrawal issued by PBOC plus (+/-/0) / %. If PBOC adjusts the benchmark interest rate for loans, the interest rate of this contract shall change accordingly. The interest rate of loan shall be settled each / （1/3/6/12）months, as one phase, and any adjustment to the interest rate shall also be applicable to the corresponding phase.
第三条贷款计结息。本项委托贷款按日计息，按/（月/季/年）结息，按月结息的，结息日为每月的20日，按季/年结息的，结息日为每季/年末月的20日。到期未付的贷款利息，受托人向借款人/ （计收/不计收）复利，计收复利的，按本合同约定的逾期贷款罚息利率计收。
Item3 Interest calculation and settlement. The interest of loan in the contract will be accrued on daily basis and settled by / (month/quarter/year), where the interest is settled by month, the date of settlement shall be the 20th day of each month; where the interest is settled by quarter/year, the date of settlement shall be the 20th day of the last month of the applicable quarter/year. Where the borrower fails to pay the loan interest on time, the entrustee will / (charge/not charge) compound interest; and where the entrustee charges compound interest, the compound interest shall be based upon the default interest rate agreed in the contract.
第四条贷款期限。本项委托贷款的期限为个月，自起至止。如借款人在经委托人同意之后提前归还此项贷款时，则按实际用款天数和用款金额计收利息。
Item4 Maturity Date. The term of the loan shall be months from to . Where the borrower prepays the loan upon approval by the entruster, it shall pay interest based on the actual days of usage and amount of loan used.
第五条贷款用途。本合同项下委托贷款用途为专项用于企业短期流动资金，做到转账管理，单账核算，专款专用，不用于企业项目建设。
Item5 Purpose of loan. The entrustment loan shall be used solely as short-term working capital for the enterprise, the management of which shall only through wire transfer and recorded separately. It is not allowed to use the loan in company construction projects.

第七条贷款偿还。借款人的还款计划和还款方式约定如下：到期一次性还款
本贷款的本息按期由借款人汇入委托人指定的账户。
Item7 Repayment of loan. Repayment schedule and method by borrower is agreed as follows: repay ALL the loan upon expiration of the loan term, the principal and interest of this loan shall be remitted on time to the designated account of entruster by the borrower.
第八条贷款担保。委托人确定的本项委托贷款的担保人为/ ，担保方式为/ 。《担保合同》另附。

第九条贷款展期。经委托人、借款人协商一致，同意对委托贷款展期的，委托人、受托人、借款人应在贷款到期日前10天签订委托贷款展期协议。
Item9 Extension of the loan. Upon mutual consultation and agreement with respect to the extension of the loan between the entruster and the borrower, the entruster, entrustee, the borrower shall sign the Entrustment Loan Extension Agreement 10 days prior to expiration of the loan.
第十条委托人、借款人应根据受托人要求，提供营业执照、税务登记证、年检证明等证明材料。
Item10 The entruster and the borrower shall, upon the entrustee’s request, provide supporting documents such as business license, tax registration certificate and evidence of annual inspection, etc.
第二章委托人的权利与义务
Article2 Rights and Obligation s of the Entruster
第十一条根据《一般委托贷款委托代理协议》中的有关约定，委托人有权确定委托贷款的借款人、借款用途、借款金额、借款期限、借款利率、贷款展期等事项，并决定是否实行担保。
Item11 According to The Agency Agreement of General Entrusted Loan, the
entruster has the right to determine the borrower, purpose, amount, term, interest rate and extension of the entrusted loan and further determine whether to implement the guarantee or not.
第十二条委托人在受托人处开立委托资金专户并存入足额资金，要求受托人将委托贷款于日内汇划至借款人账户。
Item12 The entruster shall open a special account for the entrusted fund at the entrustee’s and deposit sufficient funds into such account, and then request the entrustee to transfer the entrusted loan to the account of the borrower within __ days.
第十三条委托人自行监督/委托受托人监督（请划掉不选部分）借款人对委托贷款资金的使用。委托人委托受托人代为监督的事项包括（以下选用的划√，不选用的划×）：Item13 The entruster shall supervise the borrower’s use of the loan by itself/authorizing the entrustee. 第十四条委托人同意借款人提前还款的，应以书面形式通知受托人为借款人办理提前还款手续。
Item14 Where the entruster agrees that the borrower may repay the loan in advance, it shall inform the entrustee in writing to go process the prepayment formalities for the borrower.
第十五条委托人要求将收回的贷款本息划入以下委托资金专户：

第十六条借款人不按期还本付息的，委托人有权要求受托人从借款人账户直接扣收，借款人承诺不对受托人的扣收行为提出任何异议。
Item16 The entruster has the right to request the entrustee to transfer the money from the borrower’s account directly if the borrower fails to repay the principal or interest on time. The borrower undertakes that it will not raise any objection on the aforementioned transfer by entrustee.
第十七条本项委托贷款实行担保的，委托人应自行对保证人的保证能力，抵（质）押物的权属和价值以及实现抵（质）押权的可行性进行审查。受托人不承担任何审查的义务。
Item17 Where the entrusted loan hereunder has guarantee, the entruster shall, at its discretion, inspect the guarantee ability of the guarantor, the ownership/value of mortgaged/pledged collaterals, and the feasibility of the realizing such mortgage/pledge. The entrustee has no obligation to undertake any inspection or examination.
对实行担保的展期贷款，委托人应事先征得担保人的同意，并提前10天书面通知受托人与担保人续签展期贷款担保合同。
Where the guaranteed entrusted loan is extended, the entruster shall obtain the approval from the guarantor in advance, and inform the entrustee in writing 10 days in advance to enter into renewed guaranty contract with the guarantor.
办理有关担保事项所发生的费用由/ 委托人承担。
Any expenses incurred with respect to guarantee shall be undertaken by the entruster / .
第十八条当借款人经营状况恶化，以及出现其他危及委托贷款资金安全的情况时，委托人有权通知受托人提前协助收回委托贷款资金。借款人同意受托人有权根据委托人的指示宣布委托贷款提前到期。
Item18 Where the borrower’s business deteriorates or other circumstance endangering the safety of the funds of the entrusted loan occurs, the entruster has the right to inform the entrustee to assist in collecting the entrusted loan in advance. The borrower agrees that the entrustee has the right to declare the termination of the entrusted loan in advance upon the entruster’s instruction.
第十九条委托人有权直接向借款人催收委托贷款本息或通过法律手段提起诉讼。
Item19 The entruster has the right to directly collect the principal amount and interest of the entrusted loan from the borrower or taking legal actions to file a lawsuit.
第三章受托人的权利与义务
Article2 Rights and Obligation s of the Entrustee 第二十条根据《一般委托贷款委托代理协议》中的有关约定，受托人有权要求委托人提供本笔委托贷款的确切用途，对于贷款用途的合法性存有疑虑的，可不予办理；
Item20 According to the agreement of Agency Agreement of General Entrusted Loan, the entrustee has right to request the entruster to provide definitive purpose of this loan. Where the entrustee doubts the validity of the purpose of the loan, it may reject to process the loan.
第二十一条受托人根据委托人签发的《一般委托贷款通知书》中的内容与本合同进行核对，在确认委托资金足额到位后，办理放款手续。
Item21 The entrustee will exam the content of the General Entrusted Loan Notice issued by the entruster and this contract, and will process to release the loan upon confirmation of the sufficiency of the entrusted fund.
第二十二条受托人应根据委托人要求，及时将借款人还本付息资金划至委托资金专户，并在资金划拨凭证上注明相应资金为委托贷款本金或利息。
Item22 Upon the entruster’s request, the entrustee shall transfer the principal/interest repaid by the borrower to the designated account for the entrusted fund on time, and the entrustee shall put a note on the relevant voucher indicating that such fund is the principal or interest of the entrusted loan.
第二十三条合同有效期内，借款人因经营管理不善，不按期归还贷款本息，或本合同项下担保发生不利于贷款债权的变化，或借款人未按照本合同约定使用委托贷款资金的，受托人可根据委托人的要求提前解除本合同，直接从借款人帐户中扣收贷款本息。
Item23 During the term of the contract, where the borrower fails to pay the principal or interest of the loan timely due to deficient operation and management, or the guarantee hereunder changes in a way against the loan liability, or the borrower fails to use the loan as provided hereunder, upon the request of the entruster, the entrustee may terminate the contract in advance and deduct the amount equivalent to the principal amount and interest of the loan from the borrower’s account.
第二十四条受托人应及时以书面方式向借款人催收未按期归还的本金和利息，对借款人确实无力归还贷款的，在保证期间内，受托人应及时以书面形式向保证人催收。并将催收借款人和保证人的情况报告委托人。
Item24 The entrustee shall inform the borrower in written notice of the principal/interest unpaid timely. If the borrower is unable to repay the loan, within the guarantee period, the entrustee shall collect the loan from the guarantor in writing and report the aforementioned situation to the entruster.
第二十五条受托人与借款人不在同地的，受托人可以将部分委托贷款事务转委托给借款人所在地的中国工商银行营业机构办理。受托人对转托机构的行为承担责任。
Item25 Where the entrustee and the borrower are not in the same city, the entrustee may assign certain matters related to the entrusted loan to operating entities of ICBC in the borrower’s city. The entrustee shall be responsible for behaviors of its
assignees.
第二十六条受托人接受委托人的委托，监督贷款使用的，监督措施为：

第二十七条本项委托贷款若实行担保，受托人应根据委托人的书面通知，与委托人指定的担保人签订有关担保合同，并办理必要的公证、登记手续。受托人有权按照本合同约定要求委托人或借款人支付办理担保过程中所发生的费用。
Item27 Where the loan is guaranteed, the entrustee shall enter into a guarantee contract with designated guarantor by the entruster upon the entruster’s written notice, and process necessary formalities regarding notarization and registration. The entrustee has the right to ask the entruster or the borrower to pay all fees incurred related to the guarantee procedure in accordance with the agreement of this contract.
第四章借款人的权利与义务
Article4 Rights and Obligations of the Borrower 第二十八条借款人应在受托人的营业机构开立基本账户或一般存款账户，用于办理借款、还款、付息等事宜。
Item28 The borrower shall open a basic settlement account or general deposit account at operating entity of the entrustee to be used for matters related to the loan/repayment/interest payment, etc.
第二十九条借款人在使用借款前，应根据约定用款计划向受托人一次或分次提款。每次提款前，应提前/ 个工作日向受托人提交提款通知书。
Item29 The borrower shall withdraw the fund in one time or by installment in accordance with the loan use schedule before using the loan. The borrower shall provide a loan withdrawal request notice to the entrustee / working days in advance before each withdrawal.
第三十条借款人应按照约定用途使用该项委托贷款，不得挤占挪用贷款资金。
Item30 The borrower shall use the loan in accordance with the agreed purpose, and
shall not undertake any diversion or embezzlement of loan fund.
第三十一条借款人应于本合同约定的结息日或还本日前在受托方开立的账户上备足当期应付的利息或本金，并按照约定偿还贷款本息。
Item31 The borrower shall deposit sufficient funds into the account opened at the entrustee’s to pay the interest or to repay the principal before the agreed date hereunder to pay the principal amount or interest, and repay the principal amount and interest as agreed.
第三十二条在合同有效期内，借款人须接受委托人和受托人对本贷款使用情况的检查和监督。借款人要及时向委托人和受托人提供有关财务会计报表及委托人和受托人要求的其它资料。
Item32 With the term of this contract, the borrower shall accept the inspection and supervision of the loan use by the entruster and the entrustee. The borrower shall timely provide the entruster and the entrustee with relevant financial statements and other materials as the entruster and the entrustee may request.
第三十三条借款人在合同有效期内，如发生重大投资、股份制改造、承包、租赁、联营、合并（兼并）、分立、与外资合资（合作）、产权有偿转让或申请解散等事宜，应提前60日书面通知委托人和受托人。
Item33 During the term of this contract, the borrower shall inform the entruster and the entrustee in writing 60 days in advance where there occurs any significant investment, shareholding reform, contract, rent, joint operation, amalgamation (merger), separation, joint venture with foreign investment, compensatory transference of proprietary rights or filing for dissolution.
第三十四条借款人要求提前还款的，应于拟提前还款日/ 日前向委托人提交书面申请，并取得委托人书面同意。
Item34 Where the borrower requests for a prepayment, the borrower shall provide written application to the entruster / days prior to the proposed date of prepayment and obtain written approval from the entruster.
第三十五条借款人要求贷款展期的，须于贷款到期之前30天向委托人提交书面申请，并取得委托人书面同意。
Item35 Where the borrower requests for an extension of the loan, the borrower shall
provide written application to the entruster 30 days before expiration of the loan and obtain written approval from the entruster.
第三十六条借款人接受受托人转委托机构作为代理人的法律地位，并承诺向受托人转托机构履行其全部义务。
Item36 The borrower accepts the legal status that the entruster’s assignee as its representative and undertakes to perform all obligations to the entruster’s assignee.
第五章违约责任
Article5 Default Liability
第三十七条借款人不按约定用途使用贷款，受托人有权按委托人书面指令在本合同贷款利率基础上，根据违约金额和违约期限，按每日/‰计收罚息。
Item37 The entrustee has the right to, upon the written instruction by the entruster, charge default interest by 1‰ per day based on the default amount and the duration of the default in addition to the loan interest rate hereunder if the borrower didn’t use the loan for the agreed purposes.
第三十八条借款人不按期归还贷款本息，受托人有权按委托人书面指令在本合同贷款利率基础上，根据违约金额和违约期限，按每日1‰计收罚息。
Item38 The entrustee has the right to, upon the written instruction by the entruster, charge default interest by 1‰ per day based on the default amount the duration of the default in addition to the loan interest rate hereunder if the borrower fails to pay the principal amount and interests of the loan on time.
第三十九条受托人未按约定期限和金额将贷款放出，委托人有权按照违约金额和违约期限，每日向受托人收取/ ‰的违约金。
Item39 The entruster has the right to charge penalty from the entrustee by 1‰per day based on the default amount and duration of the default if the entrustee didn’t release the loan on the agreed date or at the agreed amount.
第四十条在本合同有效期内，借款人发生下列情况之一的，即视为借款人违约，受托人有权按委托人书面指令停止发放贷款，提前收回贷款或直接从借款人账户中扣收贷款本息，而不必事先通知借款人：
Item40 During the term of contract, the borrower will be deemed as default if any of the circumstances occurs. The entrustee has the right to, upon written instruction by the entruster, suspend the release of the loan and directly recover the principal amount and interest from the borrower’s account in advance without prior notice to the borrower.
（一）未按本合同约定偿还贷款本息的；
Where the borrower fails to repay the principal/interest as agreed;
（二）未按约定用途使用贷款的；
Where the borrower fails to use the loan for the agreed purpose;
（三）贷款逾期并经受托人催收仍不偿还的；
Where the borrower fails to pay off the loan after maturity date and again fails
to pay off the loan after the entrustee’s notice to collect the loan;
（四）不按委托人和受托人要求提供或提供虚假的财务会计报表等材料的；
Where the borrower fails to provide financial statements/materials in
accordance with the entruster and the entrustee’s request or provide false
financial statements/materials;
（五）卷入重大诉讼或仲裁程序及其他法律程序纠纷的；
Where the borrower is involved in significant lawsuit or arbitration procedure
as well as other disputes of legal procedure;
第四十一条委托人不按期支付手续费，支付担保、诉讼等其他费用的，受托人有权从委托人开立的工商银行的账户直接扣收或从借款人偿还的贷款本息中直接扣収相应费用。
Item41 If the entruster fails to pay procedure/guaranty/lawsuit related fees on time, the entrustee is entitled to directly collect the aforementioned fees from the entruster’s account within ICBC or from the principal and interest repaid by the borrower.
第六章其他
Article6 Miscellaneous
第四十二条送达。本合同项下的所有通知或指示均应以书面形式送达。其中当面送达或以信函方式送达的，以收件方签收之日为送达日；以传真方式送达的，以收到对方传真回复之日为送达日。
Item42 Delivery. Any notification or instruction under the contract shall be delivered in written form, among which are given in person or by letter shall be deemed as delivered on the date when the recipient signed for acceptance; among which given by fax shall be deemed as delivered on the date when receiving the reply notice from the recipient.
第四十三条合同的变更、解除。本合同生效后，委托人、受托人和借款人任何一方需要变更本合同条款时，须由三方协商一致方能变更。本合同项下贷款有担保的，须取得担保人的书面同意。
Item43 The modification and rescission of the contract. After becoming effective, this contract shall only be modified after the three parties have agreed through consultation, where either one of the entruster/entrustee or/borrower intends to modify the contract. Where the loan hereunder is guaranteed, modification to this contract shall obtain the guarantor’s approval in writing.
第四十四条合同纠纷的解决方式。执行本合同发生争议，由当事人协商解决。协商不成，当事人同意可选择以下第（二）种处理方式：
Item44 The resolution of contract dispute. Any dispute related to the performance of this contract may be settled by negotiation among the parties. If an agreement could not be reached, the three parties agree to choose the following solution of (二): （一）由/ 仲裁委员会按照提交仲裁申请时该会届时有效的仲裁规则在/ 仲裁；
By / arbitration committee in accordance with the effective arbitration rules of such arbitration committee at the time of application for arbitration in __/__;
（二）由受托人所在地人民法院通过诉讼方式解决。
Through litigation by submitting the case to the people’s court at the entrustee’s locality.
第四十五条委托人、受托人和借款人商定的其它事项（本条款不得与其它条款相抵触，不得影响当事人之间实质性的权利义务关系）：

第四十六条未尽事宜。本合同未尽事项，按照中华人民共和国有关法律、法规和金融规章的规定执行。
Item46 Unsolved issue. Any unsolved issue herein shall be resolved based on related laws/regulations/financial rules of the People’s Republic of China.
第四十七条合同效力。本合同自委托人、受托人和借款人法定代表人/负责人或授权代理人签字、盖章之日起生效。各方权利义务实现/履行完毕后自动终止。
Item47 Contract validity. The contract shall become effective immediately after the signing and chopping by the legal representative/responsible person/authorized representative of the entruster, entrustee, and borrower. The contract will be terminated automatically after all parties have achieved/performed their rights and obligations.
第四十八条合同的组成。与本合同有关的《一般委托贷款通知书》、借据、《担保合同》、当事人三方同意修改的“借款合同”有关补充条款等，均为本合同的组成部分，具有同等法律效力。
Item48 Contract composition. The General Entrusted Loan Notice, receipts of the loan, Guaranty Contract, and supplementary terms of the Loan Contract agreed by the three parties, which are related to this contract, shall jointly constitute the integral parts of this contract and shall have same legal force.
第四十九条合同文本份数。本合同正本一式三份，委托人、受托人和借款人各执一份。各份具同等效力。
Item49 Contract copies. This contract is prepared in triplicate and each party (the entruster, the entrustee and the borrower) shall hold one copy with the same legal force.
