Party A and Party B (hereinafter the “Contracting Parties”), desiring to obtain mutual benefits of both parties and intending to create an investment agreement concerning co-investment in the night club “Forbidden City” (hereinafter the “Club”), have agreed as follows:
甲乙双方(以下简称“签约方”)为互惠互利，拟就共同投资Forbidden City夜总会(以下简称“会所”)达成如下投资协议:
Article 1 Investment and Payment
第一条投资及支付
The total investment of the Club is CAD $500,000.
本会所总投额额为50万加元。
Party A contributes CAD $250,000, amounting 45% of the total investment.
甲方投资25万元，占总投资额的45%.
Party B invests CAD $163,000 in cash and an equipment (fixed asset) at the value of
CAD $83,000. Furthermore, Party B has 10% tech stock in the night club. Then, Part B holds 55% of the total investment.
乙方出资16万3加币，8万3加币固定资产（设备），及10%技术股，占投资额的55%。
All investment shall be made within seven days beginning from the execution of this agreement.
所有投资应在本协议签署之日起7天内完成。
Article 2 Management
第二条管理
The Club will be managed by the Contracting Parties. Material decisions will be not made until Party A and Party B deliberately discuss on the issue. Nevertheless, Party B has the final decision on all issues. Party A’s participation in the discussions does not imply that Party A has the final decision.
本会所将由缔约双方共同管理。重大问题得由甲乙双方协商他讨论决定。乙方对所有问题拥有最终决定权。甲方参与讨论并不意味着甲方拥有最终决定权。
Article 3 Visit right
第三条访问权
Each Contracting Party has visit right to bank account, fixed properties and internet platform of the Club.
各签约方有权访问俱乐部的银行账户、固定资产和互联网平台。
Article 4 Dividends
第四条红利分配
The dividends of the Club are paid to the Contracting Parties on the yearly basis. Within one month after the end of the previous financial year, the profits of the club will be calculated by the Contracting Parties and dividends are distributed to each party according to their shares in the Club.
