International Business Development Services Agreement
This International Business Development Agreement is made this day, November 1st, 2013, between XXX Group of Beijing, China (hereinafter “XXX”), and XX, (hereinafter “Consultant”).
The term of this Agreement is from November 1, 2013 to October 31, 2014, unless otherwise extended by mutual consent of the parties by September 30, 2014.
XXX’s Ophthalmology Division is a leading distributor of Ophthalmic Products in China. Mr. XX is an experienced International Business Development consultant within the field of Ophthalmology.
XXX seeks to establish a business relationship with Consultant in order to expand and enhance the portfolio of ophthalmic products that it distributes in China.
Consultant shall assist XXX in securing exclusive distribution rights from targeted leading suppliers of technologies for ophthalimic surgeons and diagnosticians.
Consultant shall also endeavor to assist XXX in negotiating favorable terms and conditions with such suppliers, and shall assist in insuring that these new affiliations and product launches are successful for both parties.
Consultant shall also assist XXX in refining it’s introductions to prospective new suppliers, obtaining competitive market intelligence, and establishing practical transfer pricing strategies and commercial policies.
The purpose of this Agreement is to establish a business relationship wherein Consultant provides the services described above, and other related International Business Development Services, to XXX.
XXX agrees to remunerate Consultant with a monthly retainer for professional services, at a rate of US$ XXXper month. An initial monthly retainer payment shall be made upon ratification of this Agreement, and subsequent monthly retainer payments are due on the first day of each following month, by bank wire transfer, through out the term of this agreement.
Additionally, XXX agrees to pay Consultant a commission of XX of the value of net imports (less any returns and allowances) from new suppliers that Consultant assists XXX in engaging on behalf of the company, during the term of this agreement, and for the subsequent twelve (12) month period. Such commission payments shall be made by XXX to Consultant on a quarterly (3 month) basis, payable by bank wire transfer within fifteen (15) business days after the close of each quarter during the twelve (12) month term of this agreement, and for the subsequent twelve (12) month period, November 1, 2014 through October 31, 2015.
Consultant shall bear most general sales and administrative costs associated with delivering International Business Development Services to XXX, including routine travel, office, and communication expenses.
Consultant agrees to seek to minimize XXX’s investment in international business travel costs wherever possible. When business travel is specifically requested by XXX, Consultant shall provide a proposed itinerary detailing projected costs at least ten (10) days in advance of such proposed travel date. A formal request will be submitted in advance so that XXX may review, consider and authorize travel and associated expenses.
Authorized travel expense reimbursement shall be paid by XXX to Consultant by bank wire transfer within ten (10) days of receipt of travel expense report.
