学习笔记：英文合同中的制式词汇
每一种专业英语，都会有特定的专业词汇。英文合同的专业词汇就是那些个法言法语，也就是法律行话（legalese）。就像我们的古汉语中的之乎者也之类，在特定环境中表示特定的意思。
“Here+介词”和“there+介词”
Here+介词所构成的词主要有herein, hereof, hereby, hereto, hereunder等。如果在合同中见到这类词，就将那个here理解为this agreement, this contract, this document , 那herein 就是 in this contract, in this agreement, hereof则为 of this contract, of this agreement, hereto 相当于to this contract , to this agreement, 如此类推，hereunder就是under this contract, under this agreement; 中文就是本合同，依据本合同等意思。
There+介词是否就可以像here+介词那样类推呢？不行。There+介词的结构中，there具体指代什么并不明确，需要根据上下文的意思进行推导，其意思为本合同以外的文件或事项。也就是说， thereof相当于of that document, of that matter, of that subject, therein表示 in that document, in that matter, in that subject。其他介词，以此类推。
在这种结构中，具体用哪个介词，主要根据英文介词的普通用法来定。如herein 和hereof表示本合同，而hereunder表示根据本合同， hereto往往指附件 the attachment hereto。读英文合同时，还要关注hereof和herein究竟是这本协议还是指本条款，不要因为弄混指代而陷入风险中。
下面有几个普通词汇在英文合同中富有特殊的定义和用法，需要特别了解。
不像普通英文中shall是助动词表将来，Shall 在合同中，同样是助动词，后面跟实意动词，是助动词表义务，意思是有义务做什么事情，得做什么事情，应做什么事情等，强调法律上的义务，违反义务就是违约。
Where在合同英文和普通英文中都引导状语从句，但意义不同。在合同中，where 引导的状语从句，常用来限定合同当事人在什么情况下应做或不应做某事，翻译为“在。。。时间”，“当。。。时”，表示一种状况，有时可以用if等表示条件的词来代替。
Advise在日常英语中表示建议，但在英文合同中一般表示通知，可以和notify 互换。
Save在普通英文中经常用做节约、挽救的意思，做动词用，但在英文合同中，save常用作连词，表示“除。。。以外”，和“except”的用法差不多。
Under在普通英文中表示“在。。。之下”，但在英文合同中更多是指“根据。。。”
Whereas在合同主条款中，和普通英文差别不大，表示转折，是“然而、但是”的意思。但是在英文合同的序言部分，则一般用于简单介绍合同各方的签约背景和目的，翻译为“鉴于”
Provided在英文合同中常见的意思有两种，作动词，表示“规定”，做连词，表示“如果”，表示一种前提条件。
Conclude，在普通英文中表示总结或得出结论，但在英文合同中则表示合同的签订签署。
As在英文合同中除了固定短语外，常用作连词引导方式状语从句，表示“正如。。。所（要求）的那样”“根据。。。所（规定）的那样”。
规定”一词在英文合同中有很多表示方法，如specify, define, prescribe, contain等
