甲乙双方经过洽谈，达成来料加工下列商品的协议，现订立合同如下：

乙方向甲方免费提供下列原（辅）料，其运输、保险等费用均由乙方负担。

一般条款
本合同有关内容，除双方另有协议者外，应适用下列条款，乙方任何其它定单与合同内容如有不符，应以本合同规定为准。
1.本合同规定来料的数量、品质、规格，如验收时发现有短缺，破损，油污等情况，应由乙方负责。
2.除本合同已有规定者外，乙方应接受甲方之拆法，包装、标签、商标及盖印。
3.乙方提供的花料、色样、商标、如涉及到专利权问题，概由乙方负一切责任。
4.有关加工成品的规格，允许有合理的上下公差。
5.加工费的付款方式，除另有规定者外，乙方应通过为甲方所能接受的第一流银行，开具100%即期、保兑，可分割，可转让，不可撤回及无追索权的信用证。在信用证内应注明本合同号码及商品的详细名称、金额和数量前必须加注“大约”二字。
6.如发生品质索赔，应在加工成品到目的地后30天内提出，并须由乙方提出充分证明代甲方参考，否则不予受理。属于保险公司或轮船公司责任范围之内者，甲方亦不予受理。
7.如因人力不可抗拒的原因而致延期交货或无法交货，甲方不负任何责任。
8.“到岸交货”者概由甲方按发票金额的110%投保，如要求货物需用转运内陆或其他口岸者，由甲方代保至内陆或其他港口，但此项额外保费应由乙方负担。
9.凡因执行本合同或有关本合同所发生的一切争端，双方应协商解决，如协商不能得到解决，应提交北京中国国际贸易促进委员会对外贸易仲裁委员会根据“中国国际贸易促进委员会对外贸易仲裁委员会的仲裁程序暂行规则”进行仲裁。仲裁裁决是终局的，对双方都有约束力。
GENERALTERMSANDCONDITIONS
Theagreementreachedinthiscontractshallbesubjecttothefollow ingtermsandconditions,unlessotherwiseagreeduponbyPartyAandPart yB.Incaseofinconsistencyofthetermsandconditionsbetweenthiscont ractandanyformoforderorindentsentbyPartyBtopartyA,theprovision softhiscontractshallprevail.
Incasethematerialsforprocessingsuppliedinaccordancewiththe provisionsofthecontractarefound,uponinspection,short-delivered ,damaged,orspoiled,PartyBshallberesponsiblefortheconsequence.
Unlessotherwisespecified,PartyBshallacceptPartyA’sfolding,packing,label,brandandstamp.
Ifcustom-madedesigns,coluresandbrandaccordingtoPartyB’sspecificationsshouldbeinvolvedinfringementofpatentright,Party
Bshallbefullyresponsiblefortheconsequence.
Areasonabletoleranceinspecificationsshouldbeallowedforthef inishedproducts.
Unlessotherwisestipulated,paymentinfulloftheprocessingchar geistobemadeagainstaightdraftdrawnunderaconfirmed,Irrevocable, DivisibleandAssignableLetterofCreditwithoutrecourseestablished throughafirstclassbankacceptabletoPartyA.Thecontractnumberandd etaileddescriptionofthefinishedproductsshouldbeshownintheL/C.T heamountandquantityintheL/Cshouldbeprefixedbytheword"ABOUT".
Unlessclaimslodgedagainstqualityofthefinishedproductsarefi ledwithin30daysafterarrivalofthegoodsatdestinationandsupported bysufficientevidence,theywillnotbeentertained.Claimsinrespecto fmatterswithinresponsibilityofinsurancecompanyandshippingcompa nywillnotbeconsideredorentertainedbypartyA.
IntheeventofforcemajorsoranyothercontingenciesbeyondPartyA ’
scontrol,partyAshallnotbeheldresponsibleforlatedeliveryornon-d eliveryofthefinishedproducts.
