Brokerage Agreement for Sale and Purchase of Real Estate
根据《中华人民共和国合同法》、《中华人民共和国物权法》等相关法律法规的规定，出售方（甲方）及买受方（乙方）愿意委托居间方（丙方）**房地产经纪有限公司提供居间媒介服务。
According to Contract Law of the People's Republic of China and Property Law of People's Republic of China and the provisions of related laws and regulations, the seller (Party A)____________ and the buyer (Party B) ______________are willing to entrust the Agent (Party C) that is SHANGHAI ********* REALTY CO., LTD to provide the brokerage service.
一、房地产的基本情况：

1.5If the title of this real estate and mentioned above is not clearly indicated or is incorrect, information listed in the register of Shanghai Real Estate Office shall be applied. Party A should guarantee that it has full and clear ownership to this real estate.

三、本协议的履行：
III.Implementation of this agreement
3.1意向金：乙方已实地验看了该房地产（产调信息、户型分布等），为表示购买诚意，向丙方支付意向金计人民币元（大写元整）作为与甲方洽谈之用。丙方收到意向金后个工作日内，乙方不得解除对丙方的委托，亦不得收回意向金。若甲方在前述期限内未能签署本协议，则乙方有权至丙方处无息取回意向金，未取回的则视为继续委托丙方与甲方洽谈。
3.1Earnest Money: Party B has checked this real estate on the spot (including its title search information, unit composition, etc). In order to show its sincerity, Party B would pay RMB ___ Y uan (in capital: _________Yuan Only) to Party C to negotiate with Party A. After Party C receiving the earnest money in________ days，Party B could not revoke the trust and could not take back the Earnest Money. If Party A fail to sigh this agreement prior to the date mentioned above, Party B may require the repayment of Earnest Money free of interests by Party C. In such event, it shall constitute that continue entrustment has been granted to Party C if Party B fail to take such Earnest Money in due time.
3.2定金及保管：如甲方签署本协议，则上述意向金转为定金。乙方应于甲方签署本协议后日内自行或通过丙方补足定金至人民币元（大写元整），【□甲方同意将上述定金由丙方代为收取并保管；□甲乙双方同意甲方取回定金须将产权证原件交由丙方保管】。
3.2Deposit and Safekeeping: If Party A sign this agreement, then the Earnest Monet mentioned above would be a part of the deposit.Party B shall pay RMB ________ Yuan (in capital: _________Yuan Only) to Party A as deposit within_____ (days) from this agreement date. 3.3签订示范文本：甲、乙双方应当在本协议签订后日内共赴丙方处，签订示范文本的《上海市房地产买卖合同》（下称“示范文本”），并办理公证手续（若需），除甲乙双方另有约定外，前述约定期限届满日为甲乙双方签订示范文本的日期。
3.3Conclude and Sign Model Text: Both parties shall go to find Party C and sign the Shanghai Real Estate Sale & Purchase Contract (hereafter called the “Model Text”) and notarize (if required) after ____ days. Unless that both parties have other appointments, both parties should sign the model text at the expiration of the date mentioned above.
3.4首期房价款：乙方应于签订买卖合同示范文本并申请办理公证手续（若需）后日内通过丙方或直接向甲方支付首期房价款，计人民币元（大写元整）【含已支付的全部定金】；
3.4The first Payment of housing price. After signing the Sales Contract Model Text and applied for legalization (if required), Party B shall pay the first Payment of the amount RMB ________ Y uan (in capital: _________Yuan Only) through Party C or directly pay to Party A on the ____day of signing the Contract [inclusive of the deposit]
【首期房价款是否包含尾款：□否，□是，尾款计人民币元（大写元整）由丙方代为保管】。甲方应当将首期房价款优先专项用于偿还抵押权人（如银行等）的借款余额（若有），甲方须于签署示范文本后日内办理还贷申请手续，授权丙方陪同办理入账注销手续（专项用于办理还贷手续），甲方确保在过户前无任何抵押、限制信息。若首期房价款不足以清偿抵押借款的，不足部分由甲方自行补足。

Party A shall guarantee that it has no mortgage and restricted information before transfer its ownership. If the first payment could not pay off the mortgage, then the balance shall be paid by Party A independently.
3.5第二期房价款：乙方通过如下方式支付第二期房价款计人民币元（大写元整）。
3.5The second Payment of housing price: Party B shall pay the second installment as RMB ________ Y uan (in capital: _________Yuan Only)
?【贷款】申请贷款：乙方应于签订示范文本后日内向贷款银行等申请贷款，签订相关合同或协议，办理相关手续。乙方授权丙方自本协议签订后通过银行代为办理个人征信查阅手续，同时甲方应积极配合并提供贷款所需材料。若乙方贷款申请未在过户前获得足额批准或无法获得贷款，乙方应当在申请产权过户之前将相应部分房价款通过丙方转付或直接支付甲方。
?[Loan] Application loan: Party B shall complete the mortgage application procedure, sign the related contract or agreement, and conduct related formalities within days after signing the Model Text. After signing this agreement, Party A may authorize Party C to fulfill the formalities for personal credit enquiry through the bank and meantime Party A should cooperate actively and provide the requested mortgage materials.If the loan application could not approved or could not mortgage before transfer the ownership, Party B shall pay some corresponding real estate money through Party C or directly pay to Party A before applying for the transference of property right.
贷款支付：贷款的放款期限以贷款银行规定或借款合同约定为准，但乙方应于该房地产所在区房地产交易中心办理完成产权证明文件后三个工作日之内领取并送交给贷款银行等配合放款。
Loan payment: The loan deadline should subject to the regulations of the lending bank or the appointment of the loan contract, but Party B shall receive and deliver to the loan bank to corporate with the lending within three days after handled the certificate of property rights in the Property Exchange Center of the district that the real estate located.

3.7交易过户：甲乙双方应于贷款审核通过（若有）、抵押注销（若有）后日内【最晚不得晚于年月日】共赴房地产交易中心申请产权过户及抵押（若有）登记手续。在过户前甲乙双方应积极办理完成购房资格审核、房产税认定手续（若有）、审税、税费缴纳。
3.7Transaction transfer: Both Parties shall go to the Property Exchange Center to apply for the transfer of title and registration of mortgage within___ days after the loan review are approved (if any) and the mortgage is canceled (if any) [in no event later than MM/DD/YY]Before transferring the ownership, Party A and Party B shall actively conduct the house-purchase qualification evaluation, property tax qualification process(if any), auditing and pay the taxes and dues.

对该房地产进行验看、清点，确认无误后，由甲方交付给乙方，户口（若有）确认已迁出，并由乙方通过丙方或直接向甲方支付尾款。双方签署《房屋交接书》，相关费用（水、电、煤气、有线电视、物业管理等）的结算日期以交接之日为准，若甲方交付的房屋装饰及附属设施与约定不符的，则甲方应按原房屋装饰及附属设施估值壹倍向乙方支付违约金。
After inspected, checked and confirmed, the Party A should consign to Party B if the registered permanent residence (if any) has confirmed to be changed, and Party A should pay the final payment though Party C or directly pay to Party A. Party A and Party B should sign the Certificate of Transfer and Handover, the balance date of the related fees (water, electricity, gas, cable television, property management, etc.) shall subject to the handover date. If the decoration and affiliate facilities are not conform to the appointments, Party A should pay double liquidated damage of assessment value of original decoration and facilities.
3.9账户：乙方及丙方支付或转付甲方的任何款项若需通过转账等方式支付的，甲方同意支付至以下境内有效账户：

四、其他
IV.Others
4.1该房地产上的维修基金、管理费押金、电话初装费、煤气初装费、有线电视申请费及其他进户费等（若有）均已包含在房价款内，不再另行结算，但以上各项的更名费用由乙方承担。
4.1The maintenance funds, guarantee deposit of management cost, the installation fee of telephones, the installation fee of gases, the application fee of cable televisions and other transfer prices, etc. (if any) have been included in housing price without additional charges, but the renaming fee of above items should be paid by Party B.
4.2室内固定装修及附属设施设备是否一并随同转让：□是□否；若一并随同转让的，价格均已包含在房价款内，家具家电及室内装饰

4.2Whether the indoor immovable fixture and ancillary facilities are transferred with this real estate: □Yes□No ; If “yes”, the price has been included in the housing price, the furniture, household appliances and indoor decorations are:
4.3若该房地产上有户口，则甲方应于签订示范文本后日内，向相关公安机关办理完毕原有户口迁出手续。否则，每逾期一日，应按照本协议约定的总房价款的万分之五向乙方支付违约金，直至原户口迁出时止，上述款项及户口迁出保证金可从尾款等中扣除。
4.3If any household registration is made by virtue of this real estate, Party A shall fulfill the formalities for the transfer of housing price within_ days. Otherwise, in each day of delay, Party A should pay the payment of liquidated damage of five of ten thousands of total housing prices until the original account was transferred. The funds mentioned above and household relocation earnest money could be deducted in the final payment.
4.4本协议中出现“ 日”形式，请务必填写具体履行期间。若未填写，则一律视为“七日内履行义务”。
4.4For the forms of “_____days” in this agreement, please be sure to fill in the specific performing date. If the date is blank, it would be treated as “carry out obligations within 7 days”.
4.5在本协议约定的交易条件保持不变的情况下，甲方同意乙方可以增加、减少或变更本协议中的“买受方”，且乙方依据本协议或相关补充协议已经部分履行（包括付款行为等）的，视为增加、减少、变更后的“买受方”已经部分履行。
4.5Party A agrees that under the same terms and conditions hereunder, Party B may increase, decrease or change “Buyer”, and some performance (including payment behavior, etc) of Party B according to this agreement or relevant supplemental agreements would be regarded as the partial performance of the increase, decrease or change “Buyer”.
4.6税、费及公证费负担：本次交易中根据法律法规等规定所产生的所有交易税、费按以下方式承担：【□全部由乙方承担；□全部由甲方承担；□甲乙双方各自承担】。本次交易若需公证，公证费用由【□乙方承担；□甲方承担；□甲乙双方各自承担】。若甲方持有该房地产期间产生房产税及其滞纳金的（若有），甲方须在交易过户前自行支付结清。
4.6Taxes, fees and notary fees: All of the transaction taxes and fees causing in this deal according to the provisions of laws and regulations should be paid by following ways:[□Borne by Party B; □Borne by party A; □Borne by Party A and Party B]. If this deal need notary, the notary fee should be paid by 【□Party B; □Party A□Party A and Party B]. Party A should pay the building taxed during its ownership and the overdue fine (if any) before transfer the ownership.
五、居间报酬：丙方为甲乙双方提供房地产交易的媒介服务，促成双方达成交易条件并订立相关协议。甲乙双方应当于签订示范文本等类似合同当日，按照总房价款的2%向丙方支付居间报酬。具体承担方式为：【□全部由乙方承担2%；□全部由甲方承担2%；□甲乙双方各自承担1%】。双方同意丙方可从保管或转付的任何一笔款项中先行扣除该费用。
V.Intermediary remuneration: Party C provides the intermediary service to Party A and Party B during the real estate transaction in order to contribute both sides to conclude the transaction and make the relevant agreements. Party A and Party B shall pay the brokerage fees by 2% of the total housing price to Party C when signing the Model Text or other similar contracts. The specific formula mode is:[ □All borne by party B for 2%;□All borne by party A for 2%;□borne by Party A and Party B for 1% each.] Both sides agree that Party C could deduct the brokerage fees from any funds that kept or paid through Party C.
六、保证与承诺
VI.Guarantee and Commitments
6.1本协议签署人均保证具有签署本协议并支付或收取定金的权利（甲方保证有权出售或已征得全体产权人的同意，在签署本协议后甲方不再新增抵押或增设阻碍交易的情形；乙方保证具备购房资质并保证买受方征信良好），若因其无权代理或无权处分或欠缺购房资质、征信不良，导致本协议无法履行或无法生效的，该方签署人应按定金责任或违约责任的标准承担责任。本条独立发生法律效力。
6.1The signers of this Contract should guarantee that they have the rights of signing this Contract, pay the earnest money or receive the earnest money (Party A shall guarantee that he has the right to sale the house or be approved by all property owners, after signing the contract, Party A would not pledge the house or hinder the transaction deal；Party B shall guarantee that he has the qualification of buying the house and has good credit).If this Contract is defected or fails to be performed due to the fault of any Party casing by unauthorized agency, unauthorized disposal, deficiency qualification to buy a house or bad credit, such party shall assume the legal liabilities. This article hereof survives the termination of this Contract.
6.2若本协议因甲乙双方中任何一方违约或合意而解除的，六个月内甲乙双方或其近亲属等有关联的人或企业私下或通过其他第三方签订该房地产买卖合同或以其他方式达成交易的，视为丙方居间成功，甲、乙双方同意按本协议约定的标准向丙方支付居间报酬。
6.2If this agreement is released causing by the breach of any Party or both Parties, both parties or their near relatives and other related people or companies sign the sales contract of this real estate privately or by other means with the Third Party in six months, it will be regarded as that the brokerage of Party C is successful and Party A and Party B are willing to pay the brokerage fee according to the standard appointed in this Contract.
七、定金责任：若甲方未能依照本协议约定签订买卖合同示范文本或违约不卖或相关权利人提出异议，则应向乙方双倍返还定金；若乙方未能依照本协议约定签订示范文本的，则已支付甲方的定金不予返还（含由丙方代为保管的定金）。
VII.Liability for deposit:During the course of this agreement, if Party A breaches the agreement, such as do not sign the sales contract by appointment or refuse to sale, or relevant oblige raise objections, Party A shall return the deposit in double; If Party B did not sign the sales contract by appointment, the deposit (including the deposit kept by Party C) paid by Party B shall be forfeited.
八、违约责任：一方未按本协议约定履行，其行为视为违约。守约方有权要求违约方按每日总房价款0.05%承担逾期违约金后继续履行，违约方逾期不履行超过15日的，守约方有权单方解除本协议并要求违约方支付总房价款20%的违约金。
VIII.Liability for breach contract: Either party in violation of its obligations under the agreement, that is, as a breach of agreement. The observant Party is entitled to require the breaching party to pay 0.05% of housing price as liquidated damage per each day until the date on which such obligation has been fully performed. Provided, however the other party may terminate this agreement if breaching party fails to fulfill its obligation for 15 days or more, in such event, such breaching party shall pay damages to the other party as 20% if housing price agreed.
九、送达地址：在本协议签章处书写的联络地址或身份证件所载地址即为各方的有效送达地址。若任何一方联络地址变更的，应及时书面通知相对方，否则均按照寄出后次日视为已送达。
IX.Address for delivery: The addresses write on the signature part of this agreement or the addresses on the ID card are the valid address for services. If any party changes the address, it should notify the other Party in writing or the services would be regarded as been delivered the next day.
十、特别告知
X.Special Notice
10.1为保障交易安全，向丙方支付任何房屋交易类代付款项时，请务必支付至丙方为户名的银行账户（户名：**房地产经纪有限公司，
开户行：中国银行上海南京西路支行，账号：439063596323，代付、保管款项在保管期间不计算利息），并取得印有丙方收款专用章的制式收据、电子收据（非手写）或发票原件；若本协议填写或修改的内容涉及丙方义务的内容，必须加盖丙方合同专用章方可生效，否则丙方无须就该笔款项或内容承担任何责任。
10.1In order to guarantee the safety of the transaction, when any party pay the Party C money of housing transaction, please pay the money to the bank account of Party C: (Holder: SHANGHAI ********* REALTY CO., LTD; Bank of deposit: Bank of China, Shanghai West Nanjing Road Branch; Account number: 439063596323, do not count the interests of payment on behalf of others and funds held in custody, and obtain the standard receipt with collection cachet of Party C, e-receipt (not hand-written) or the original receipt; Any information completed by hand or by alteration of original text, if involving any obligations to Party C, shall come into effect only upon common seal is made on such information by Party C, or Party C do not have to undertake any obligations to the fund or content.
10.2在签署本协议时，丙方已对本协议第六、七、八、十条等权利义务及交易风险进行明确的提示，对房地产市场限售等政策细则进行了详尽的解释，并已向乙方出示该房地产有关的房地产登记簿信息（全套），甲乙双方均已认真查阅了本协议的全部条款，对各自的权利、义务、责任清楚明白，并愿按本协议约定严格履行。
10.2When sign this agreement, Party B has specified the rights, obligations and risks of the sixth, seventh, eighth, and tenth terms of this agreement, has explained the restrict sales policy and other policies of real estate market in detail, has provided the (whole set) registry information of this real estate to Party B. Party A and Party B has checked all the terms of this agreement carefully and are clear of the rights, obligations and responsibilities respectively, and Party A and Party B are willing to strictly performing the appointments of this Contract.
十一、争议解决：甲、乙、丙三方在履行本协议过程中发生争议，若通过协商未能解决，应向该房地产所在地人民法院起诉。
XI.Dispute resolution: Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.
十二、协议生效：本协议经三方签章后生效。本协议一式三联，丙方执第一联、乙方执第二联、甲方执第三联，具有相同法律效力。XII.Protocol validation: This agreement shall come into force with the three party signatures and seal. This agreement is in triplicate with equal legal effect, Party C has the original one, Party B has the second duplicate, and Party A has the third duplicate.
