１１．装运唛头，卖方负责在每件货物上用牢固的不褪色的颜料明显地刷印或标明下述唛头，以及目的口岸、
件号、毛重和净重、尺码和其它买方要求的标记。如系危险及／或有毒货物，卖方负责保证在每件货物上明显地标明货物的性质说明及习惯上被接受的标记。
１２．付款条件：买方于货物装船时间前一个月通过______银行开出以卖方为抬头的不可撤销信用证，卖方在货物装船启运后凭本合同交货条款第１８条ａ款所列单据在开证银行议付贷款。上述信用证有效期将在装船后１５天截止。
１３．其它条件：除非经买方同意和接受，本合同其它一切有关事项均按第二部分交货条款之规定办理，该交货条款为本合同不可分的部分，本合同如有任何附加条款将自动地优先执行附加条款，如附加条款与本合同条款有抵触，则以附加条款为准。

【章名】１４．ｆｏｂ／ｆａｓ条件
１４．１．本合同项下货物的装运舱位由买方或买方的运输代理人___________租订。
１４．２．在ｆｏｂ条件下，卖方应负责将所订货物在本合同第８条所规定的装船期内按买方所通知的任何日期装上买方所指定的船只。

期交到买方所指定船只的吊杆下。
１４．４．货物装运日前１０－１５天，买方应以电报或电传通知卖方合同号、船只预计到港日期、装运数量及船运代理人的名称。以便卖方经与该船运代理人联系及安排货物的装运。卖方应将联系结果通过电报或电传及时报告买方。如买方因故需要变更船只或者船只比预先通知卖方的日期提前或推迟到达装运港口，买方或其船运代理人应及时通知卖方。卖方亦应与买方的运输代理或买方保持密切联系。
１４．５．如买方所订船只到达装运港后，卖方不能在买方所通知的装船时间内将货物装上船只或将货物交到吊杆之下，卖方应负担买方的一切费用和损失，如空舱费、滞期费及由此而引起的及／或遭受的买方的一切损失。
１４．６．如船只撤换或延期或退关等而未及时通知卖方停止交货，在装港发生的栈租及保险费损失的计算，应以代理通知之装船日期（如货物晚于代理通知之装船日期抵达装港，应以货物抵港日期）为准，在港口免费堆存期满后第十六天起由买方负担，人力不可抗拒的情况除外。上述费用均凭原始单据经买方核实后支付。但卖方仍应在装载货船到达装港后立即将货物装船，交负担费用及风险。
【章名】１５．ｃ＆ｆ条件
１５．１．卖方在本合同第８条规定的时间之内应将货物装上由装运港到中国口岸的直达船。未经买方事先许
可，不得转船。货物不得由悬挂中国港口当局所不能接受的国家旗帜的船装载。
１５．２．卖方所租船只应适航和适货。卖方租船时应慎重和认真地选择承运人及船只。买方不接受非保赔协会成员的船只。
１５．３．卖方所租载货船只应在正常合理时间内驶达目的港。不得无故绕行或迟延。
１５．４．卖方所租载货船只船龄不得超过１５年。对超过１５年船龄的船只其超船龄额外保险费应由卖方负担。买方不接受船龄超过二十年的船只。
１５．５．一次装运数量超过一千吨的货载或其它少于一千吨但买方指明的货载，卖方应在装船日前至少１０天用电传或电报通知买方合同号、商品名称、数量、船名、船龄、船籍、船只主要规范、预计装货日、预计到达目的港时间、船公司名称、电传和电报挂号。
１５．６．一次装运一千吨以上货载或其它少于一千吨但买方指明的货载，其船长应在该船抵达目的港前７天和２４小时分别用电传或电报通知买方预计抵港时间、合同号、商品名称及数量。
１５．７．如果货物由班轮装运，载货船只必须是______船级社最高船级或船级协会条款规定的相同级别的船级，船只状况应保持至提单有效期终了时止，以装船日为准船

IMPORT SERVICE AGREEMENT 甲方： 乙方：***公司 *******Co.,Ltd 甲、乙双方本着平等互利、共同发展的原则，经友好协商，自愿签定本协议： After friendly negotiations between the Parties and according to the “Tentative Provisions on System of Foreign Trade Agency” promulgated by the former PRC Ministry of Economic and Trade, Party A and Party B have reached the following agreement: 一、甲方全权委托乙方代理进口产品及报关，承担乙方按照其指示或经其同意而进行操作的一切后果。Party A hereby appoints Party B as Party A's import agent to provide import agent services . 二、甲方应在实际进口之前将进口详细计划告之乙方，并提供产品的品名、数量、重量、价格、产地、贸易国及HS编码，以便乙方及时开始准备工作。甲方应保证上述资料完整准确，并做到单货相符、单单相符、单证相符。若因甲方提供信息有误或延迟而造成额外费用，甲方应承担全部责任。 Party A shall provide to Party B such detailed documents as the bill of lading and list of Goods to be imported indicating the prices, quantity, specifications, purposes and additional documents as requested by the competent authorities on a case by case basis. Party A shall immediately after arrival of the Goods at the port provide the relevant documents to Party B. Party A shall instruct the exporter and ensure that the exporter issues a proper and complete set of customs clearance documents such as commercial invoices, packing lists, bills of lading (or airway bills, etc. to the effect that all documents are consistent with each other and that all documents are consistent with the conditions of the Goods. The customs clearance shall be made according to the facts. Without Party As consent, Party B shall not render service elsewhere or hold concurrently any post unrelated to the work agreed on with Party A. 3. Party B shall complete the tasks agreed on schedule and guarantee the quality of work. 4. Party B shall respect Chinas religious policy, and shall not conduct religious activities incompatible with the status of a teacher. 5. Party B shall respect the Chinese peoples moral standards and customs. V. Revision, Cancellation and Termination of the Contract 1. Both Parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent. 2. The contract can be revised, cancelled, or terminated with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed. 3. Party A has the right to cancel the contract with written notice to Party B under the following conditions. (1) Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out. (2) According to the doctors diagnosis, Party B cannot resume normal work after 30 days sick leave. 4. Party B has the right to cancel the contract with a written notice to party A under the following conditions:

销货合同(Sales Confirmation) 国际货物买卖合同一般金额大，内容繁杂，有效期长，因此许多国家的法律要求采用书面形式。书面合同主要有两种形式，即正式合同（CONTRACT）和合同确认书（CONFIRMATION），虽然其繁简不同，但具有同等法律效力，对买卖双方均有约束力。大宗商品或成交额较大的交易，多采用正式合同；而金额不大，批数较多的小土特产品或轻工产品，或者已订立代理、包销等长期协议的交易多采用合同确认书（亦称简式合同）。 无论采哪种形式，合同抬头应醒目注明SALES CONTRACT或SALES CONFIRMATION（对销售合同或确认书而言）等字样。一般来说出口合同的格式都是由我方（出口公司）事先印制好的，因此有时在SALES CONFIRMATION之前加上出口公司名称或是公司的标志等（我外贸公司进口时也习惯由我方印制进口合同）。交易成立后，寄交买方签署（countersign），作为交易成立的书面凭据。 在SimTrade中，买卖双方都可以起草合同，填写时只需将名称、地址等内容作相应变化既可。如合同由买方起草时，上方空白栏则填入进口商公司名称及地址，以此类推。 报表上方两行空白栏 为出口商公司抬头，须分别填写出口商的英文名称及地址。 如：GRAND WESTERN FOODS CORP.
