CONTRACT OF LEGAL COUNSEL FOR SPECIAL PURPOSE

根据《中华人民共和国律师法》有关规定，甲方聘请乙方的律师担任案的专项法律顾问。经双方协议订立本合同，共同遵照执行。
According to ATTORNEY LAW OF THE PEOPLE’S REPUBLIC OF CHINA, and other relevant laws and regulations of P.R. China and through consultation ,Party A and Party B mutually have the agreement of inviting Party B’s lawyer as the legal counsel for case and agree to the following terms:
一、乙方同意接受甲方聘请，指派律师Z律师为甲方专项法律顾问，为案提供专项法律咨询顾问和指导服务,并协助甲方审查或代拟为案法律意义的相关文书，如诉状、声明、申明、意见书等, 指导甲方实施该案件的诉讼事务所涉及的各项关键工作的正确开展。
1、Party B agree to accept the invitation of Party A and assign lawyer Z work for Party A asthe legal counsel for case. Lawyer Z will provide special legal service to
Party A, which include counsel to case, key direction for the lawsuit, examination of all documents or evidence, write correlated legal files, such as petition, declare, opinion, etc. Lawyer Zhang will direct right development of dealing the case ,and
provide consultation to every item of the activities of charge against L company.
二、乙方律师应遵照中华人民共和国法律法规和本合同所规定的条款，在该案件的顾
问指导工作中依法维护甲方的合法权益。
2、 Attorney of Party B should abide by laws of China and the terms of this contract, should safeguard the Party A’s legally rights and interests in the works of consultant and direction to the Shenyang’s case.
三、甲方付给乙方专项法律顾问费 30万元，分两次支付。本合同签订后五日内支付
15万元，在工作结束时支付15万元。
3、The total attorney special counsel fee is 300,000 yuan RMB （Three hundred thousands YUAN RMB）which paid at twice. Within five days after the contract signed, Party A will pay 150,000 yuan RMB （One hundred and fifty thousands YUAN RMB）to Party B and at the finish of work Party A will pay 150,000 yuan RMB （One hundred and fifty thousands YUAN RMB）to Party B.
四、乙方协助有关司法机关开展对财产的保全或者冻结工作。甲方为这项工作支付必
要的工作费用30万元。在本合同签订后5日内支付10万元；在有关司法部门下达《保全裁定书》时支付10万元；在财产被实际保全或者冻结时再支付10万元。
5、Party B assist judicial organs concerned to execute the commission of attachment/or freezing of property and Party A pay necessary work fee of
300,000yuan RMB（Tree hundred thousands YUAN RMB ）for Party B. Within five days after the contract signed, Party A will pay 100,000 yuan RMB （One hundred thousands YUAN RMB）to Party B and pay another 100,000yuan RMB （One hundred thousands YUAN RMB）to Party B when “Verdict of attachment/or freezing
of property”made by judicial organs concerne d, and pay the remainder of
100,000yuan RMB （One hundred thousands YUAN RMB）to Party B when property
is putted into attachment/or freezing factually by judicial organs concerned.
六、乙方协助甲方开展应对药品检查的工作。甲方为这项工作支付必要的工作费用40万元；在本合同签订后5日内支付20万元；在有关部门停止该检查时再支付20万元。
