XXX of（地址）(the "Contractor").乙方BACKGROUND:A. The Client is of the opinion that the Contractor has the necessaryqualifications, experience and abilities to provide services to theClient.
B. The Contractor is agreeable to providing such services to theClient on the terms and conditions set out in this Agreement.
IN CONSIDERATION OF the matters described above and of the mutualbenefits and obligations set forth in this Agreement, the receipt andsufficiency of which consideration is hereby acknowledged, the Client andthe Contractor (individually the "Party" and collectively the "Parties" to thisAgreement) agree as follows:
Services Provided1. The Client hereby agrees to engage the Contractor to provide theClient with services (the "Services") consisting of:
Provide payment services.（服务内容）2. The Services will also include any other tasks which the Partiesmay agree on. The Contractor hereby agrees to provide suchServices to the Client.
Term of Agreement3. The term of this Agreement (the "Term") will begin on the date ofthis Agreement and will remain in full force and effectindefinitely until terminated as provided in this Agreement.
4. In the event that either Party wishes to terminate this Agreement,that Party will be required to provide 30 days written notice to theother Party.
5. This Agreement may be terminated at any time by mutualagreement of the Parties.
6. Except as otherwise provided in this Agreement, the obligationsof the Contractor will end upon the termination of thisAgreement.
Performance7. The Parties agree to do everything necessary to ensure that theterms of this Agreement take effect.
Currency8. Except as otherwise provided in this Agreement, all monetaryamounts referred to in this Agreement are in USD (US Dollars).
Compensation9. For the services rendered by the Contractor as required by thisAgreement, the Client will provide compensation (the"Compensation") to the Contractor as follows:
According to invoices the Contractor sends on a timelybasis.
10. Invoices submitted by the Contractor to the Client are due within15 days of receipt.
Reimbursement of Expenses11. The Contractor will not be reimbursed for any expenses incurredin connection with providing the Services of this Agreement.
Penalties for Late Payment12. Any late payments will trigger a fee of 1.00% per month on theamount still owing.
Confidentiality13. Confidential information (the "Confidential Information") refersto any data or information relating to the business of the Clientwhich would reasonably be considered to be proprietary to theClient including, but not limited to, accounting records, businessprocesses, and client records and that is not generally known inthe industry of the Client and where the release of thatConfidential Information could reasonably be expected to causeharm to the Client.
14. The Contractor agrees that they will not disclose, divulge, reveal,report or use, for any purpose, any Confidential Informationwhich the Contractor has obtained, except as authorized by theClient or as required by law. The obligations of confidentialitywill apply during the term of this Agreement and will surviveindefinitely upon termination of this Agreement.15. All written and oral information and material disclosed orprovided by the Client to the Contractor under this Agreement isConfidential Information regardless of whether it was providedbefore or after the date of this Agreement or how it was providedto the Contractor.
Ownership of Intellectual Property16. All intellectual property and related material (the "IntellectualProperty") that is developed or produced under this Agreement,will be the property of the Contractor. The Client is granted anon-exclusive limited-use license of this Intellectual Property.
17. Title, copyright, intellectual property rights and distribution rightsof the Intellectual Property remain exclusively with theContractor.
Return of Property18. Upon the expiry or termination of this Agreement, the Contractorwill return to the Client any property, documentation, records, orConfidential Information which is the property of the Client.
Capacity/Independent Contractor19. In providing the Services under this Agreement it is expresslyagreed that the Contractor is acting as an independent contractorand not as an employee. The Contractor and the Clientacknowledge that this Agreement does not create a partnership orjoint venture between them, and is exclusively a contract forservice.
