The General terms is applicable to business transactions with individuals, companies, legal entities under the laws of the People’s Republic of China买方：与洛克流体系统科技有限公司签署的所有销售交易的个人、企业或公司Buyer: Individuals, enterprises or companies signed with Lok Fluid System Technology Co., Ltd. for all sales transactions卖方 :洛克流体系统科技有限公司 Seller: Lok Fluid Systems Technologies Co., Ltd.第一条销售合同总价Article One Sales Contract Price销售合同总价若为人民币为计价单位的，则为已包含进口关税和增值税的总价 (DDP Incoterm 2010) ；若为美元的，则为未包含关税及增值税的总价（DAP 上海外高桥，Incoterm 2010 ），买方自行负责产品的所有报关完税手续及相应的费用，如买方委托卖方办理有关手续的，买方应当另外支付卖方相应的服务费，具体费用双方可另行协商约定。
The contract price shall include import duties and value-added tax while RMB is adopted as price unit（DDP Incoterm 2010） ; the contract price shall not include import duties and value-added tax (DAP Wai Gaoq Qiao Bonded Zone Shanghai， Incoterm 2010 ) if U.S. dollar is adopted as price unit and the buyer shall be responsible for all custom declaration and the corresponding duties and value-added tax charges. If the buyer authorized the seller to deal with the custom declaration and other procedures, the buyer shall pay service fees to the seller, which can be otherwise agreed by both parties.第二条产品的所有权及风险的转移Article Two Transfer of tile and transfer of risk货物的所有权和毁损风险自产品置于合同约定的交货点之日起转移至买方。
Transfer of risk and title shall occur upon delivery to the sales contract delivery address.第三条产品的交付Article Three Delivery1．包装：卖方提供洛克公司产品的标准包装。
Package: The seller provides the standard package on Lok Products.2卖方负责将货物运送至销售合同约定的交付地点并交予收货人；如买方变更交付地点或收货人的，应当在收到卖方出具的《产品备齐待运通知》之前，以书面方式通知卖方，否则由此产生的责任由买方承担。
同时，如买方变更交付地点及收货人导致卖方多支出的运费及其他费用的，这些费用均由买方予以承担。
The seller is responsible for delivering the products to the delivery location agreed in the sales contract and to the appointed consignee; If the buyer changes the place of delivery or the consignee, it shall notify the seller in writing before the issuing of “The Notice of Products Ready for Shipment”, or any liability resulted from non-notice shall be borne by the buyer. At the same time, any additional freight or any other expenses resulted from the change of the delivery location or consignee shall be borne by the buyer.第四条产品质量保证及验收验货期Article Four Quality Assurance and Product Acceptance Period1.销售合同项下产品的规格、技术标准参照之前已经提供的有关洛克公司的《产品手册》。
The specifications and technical standard of the products under this contract can be referred to the related Lok Product Catalog provided by the seller.2.卖方对产品提供终生有限保证，其中产品的非电气部件终身无材料和工艺瑕疵；所有安装于产品内或产品上的电气部件，自购买日起十二个月内无材料和工艺瑕疵；对买家的补偿仅限于替换及安装因材料或工艺瑕疵而失效的部件，其中安装仅适用于非地面车辆应用；买方指定选用的所有其他制造商产品适用该制造商的保证；其他有关保证信息可查阅洛克公司网站。
除洛克公司承诺的保证以外，任何其他产品的保证都不适用于洛克公司的产品。
Lok and its authorized distributors hereby warrants to the purchaser of their Products that the nonelectrical components shall be free from defects in material and workmanship for the life of the Products. All electrical components installed in or on the Products are warranted to be free from defects in materialand workmanship for twelve months from the date of purchase. The purchaser’s remedies shall be limited to replacement and in non-ground vehicle applications, installation of any parts that fail through a defect in material or workmanship.The seller’s product warrants can be found in the Lok website. Any other products warrants shall not be applicable to Lok products. Other non-Lok products designated by the buyer in this contract shall only receive warranty as provided by their original manufacturer or supplier.3 .质量保证的除外情形The Exclusions of Quality Warrants: (1)未按产品的技术要求或是《产品手册》的要求进行安装、操作、使用、保养及检修的；(2)买方人员或第三方人员故意的破坏或是疏忽导致的损坏；(3) 产品正常的损耗；(4)未经许可的改装而造成的损坏；(5)不可抗力导致的损坏；(6)其他与制造商及卖方无关的情形。
