诉讼法律服务委托协议

LEGAL SERVICE RETAINER AGREEMENT

本协议由以下双方：

上海XX律师事务所（以下简称“上海XX”）和股份有限公司（以下简称“委托人”），根据《中华人民共和国律师法》和其他相关法律、法规的规定于2020年月日订立。

THIS LEGAL SERVICE RETAINER AGREEMENT (the “Agreement”) is ma de on ________, 2020 by and between Shanghai DeBund Law Offices (hereinafter referred to as “DeBund”) and ________________ (hereinafter referred to as the “Client”) in accordance with Law of the People's Republic of China on Lawyers and other relevant laws and regulations.

一、特别条款

Special Terms

1.1 委托事项/Entrusted Issues

上海XX接受委托人的委托指定经办律师，为委托人所提供的法律服务为：委托人与案件的诉讼代理和执行代理。

DeBund, as entrusted by the Client, hereby delegates lawyers to provide the following legal services: _____________________________________________ (hereinafter referred to the “Retaining Matters”).

1.2 代理权限/Power of Attorney

委托人授权上海XX及其指派的经办律师代理上述法律事务，其授权上海XX的权限为：（1）为委托人提供分析案件、调查取证、提出方案，以及担任法律诉讼的第一审、第二审和执行阶段的代理人；

（2）具体权限有：代为提起诉讼、财产保全，代为承认、放弃、变更诉讼请求，参与谈判、进行和解，提起上诉、反诉，提供证据，申请执行，签收法律文书。

1.3 律师/Lawyers

上海XX指派陈XX 律师、律师作为本协议法律服务事项的经办律师（以下简称“律师”）。

上海XX另指派一名合伙人担任本案的主管合伙人，由该主管合伙人负责指导和协调本案。

Lawyer________ and Lawyer _________are appointed and designated by DeBund (hereinafter referred to as the “Lawyers”) and shall handle the Retaining Matters for the Client.

DeBund will appoint a partner as the supervisor to direct and coordinate the case.

1.4 律师费/Attorney Fee

为降低委托人的法律风险，双方经协商后确定，本案律师费采用风险收费方式；上海XX为上海税务局确定的“营业税改征增值税试点律师事务所”，委托人应当另行支付律师费的6%的增值税。即

Upon negotiation, both the Client and DeBund confirm that, whatever procedure the case is involved (including preparation for litigation) and however the case is concluded (including by mediation and reconciliation), the Client shall pay DeBund attorney fee for handling the Retaining Matters as follows, in additional to 6% VAT due to DeBund is determined by the Shanghai Local Taxation Bureau as the pilot law firm to be levied VAT instead of business tax.

（1）固定报酬为陆万元整（RMB60,000）；增值税额为人民币叁仟陆佰元（RMB60000×6%），委托人应在本协议签订之日起五日内向上海XX支付上述固定报酬及增值税额共计人民币陆万叁仟陆佰元（RMB63,600）。

RMB RMB60,000 as basis fee and VAT RMB________（RMB60000×6%）, totaled RMB_________ to be paid within 5 days upon the execution of this Agreement. （2）第一笔风险报酬：委托人在收到判决或签订调解/和解协议之日起五日内，按胜诉金额的3%支付风险律师费。

Another 3% of the amount of money recovered by winning a lawsuit, which shall

be paid within 5 days upon the receipt of any judgment and/or reconciliation or

mediation agreement by the Client.
