一、租赁物业

LeasedPremises

1.1甲方将坐落于(以下简称‘该物业’)出租给乙方使用,该物业建筑面积为平方米。

二、租赁期

三、租金及保证金

Rental and Deposit

3.1租金为每月元人民币,租金含物业管理费,发票。

3.2 乙方应予签署本合同后五日内向甲方支付相当于一个月租金的金额,即人民币_______元,作为保证金,甲方应出具收据给乙方。在租赁期满,乙方如期交还

该物业,并付清居住期间所有租金和其它费用后十五天内,甲方应将保证金无息

退还乙方。

3.3乙方应在每月日前支付该月租金,若乙方在租金到期后十五天仍未支付,

每逾期一天,则乙方应按日租金的支付滞纳金。若超过三十天未付,则视

乙方自动退租并构成违约,甲方有权收回该物业,没收保证金并追究相关损失。

3.4甲方在收到租金后五天内应提供给乙方正式发票,若甲方在月底前仍未提供乙方

发票,则乙方有权延迟支付下月租金直至收到正式发票。甲方有责任根据税务局

和/或房管局的规定、要求和有关程序支付相应的有关租赁房屋的税款。

四、出租人的责任

4.1 甲方须按时将出租物业及家具电器(见附件一)以良好的状态交付给乙方使用。

4.2甲方应确保或责成物业管理公司对物业及其公共设施进行定期维修保养,包括

施,使之处于正常的使用状态。

4.3 房屋基本设施和结构损坏时(不包括乙方损坏的家具和器具),甲方必须在24??小时内提供维修服务或给予乙方答复,并承担相关的费用。

liancesdamaged by Party B), Party A shallrepair or

respond to Party B’s complaints within24 hours, and bear all costs related thereto.

4.4?甲方在此声明及保证甲方为出租房屋的合法拥有人并有合法地位出租此房屋

给乙方。就本合同及出租此房屋于乙方之事,甲方已取得所有有关机构的批准,包

括政府批准及抵押权人的同意。甲方于本合同所做出的声明与保证,如有错误或

违反者,甲方须就因此而对乙方引起的任何损失、损害、支出及费用对乙方做出

全额补偿。

4.5如在租赁期内,租赁房屋发生所有权全部或部分转移,和其它影响乙方权益的事

情时,甲方应保证所有权人或其它影响乙方权益的第三人,能继续遵守本合同所

有条款。如乙方于本合同下的权益受此等所有权人或第三者影响或损害,甲方应

负责赔偿乙方的所有损失、损害、支出及费用。

If during theterm of the tenancy, all or part of the leasedp

roperty istransferred or PartyB’s right touse leased p

roperty is affected,Party A shallensure that such tran

sferee orthird party havingan effect on Party B’s

right to usethe leased property will continue to abi

de by the terms of this Contract.Party Ashallalso be l

iable to keep Party B fully indemnified against any costs,expenses, losses

and damages when any of Party B’s interests herein are aff

ected or prejudicedby such transferee or thirdparty.

4.6 甲方应负责根据中国法律法规所定因本楼宇租赁而产生的一切税务(包括但不限

于房产税,所得税和营业税)和法定费用(包括但不限于土地使用费),并必须将

该些税务和法定费用直接向有关税局缴付。

4.7在乙方遵守本合同的条款及交付租金的前提下,乙方有权于租赁期内拒绝甲方

或其他人骚扰而安静享用出租房屋。

Provided that Party B paying the rental and performing an

d observing party B’s terms and conditions hereincont

ainshall peaceablyholdand enjoy the Premises thro

ughout the termof this Contract without any inte

rruption by Party A orother persons.

4.8租期为一年,如若任何一方提前解约,支付违约金为一年的租金(人民币______元)。

Leasing Term is oneyear. Ifanysideterminates the agreementahead

五、承租人的责任

Tenant’s Responsibilities

5.1 乙方应按时支付合同中规定的保证金、租金及水、电、煤气、电话费,宽带费等

公用事业费。

PartyBshould promptly paythe deposit,rental

and water, broad band,electricity, gas, telephone charge

etc.

5.2未经甲方书面同意,乙方不得将该物业转租或分租给第三方。

Party B shall not transferor sub-lease the said

premises to any third party without Party A’s written conse

nt.

5.3乙方应爱护使用租赁的房屋,如因乙方的过失或过错致使房屋及设施受到损坏

(正常损耗除外),乙方应负赔偿责任。

Party B shall treat theleased property withcare. If, asaresult of

Party B’s negligence or misconduct,the leased propert yand the related facilities sufferanydamage (fair wear andtear excepted),PartyBshall beresponsible for compensating Party A for suchdamages.

5.4除在物业内已有的装饰和设施外,乙方如要增加设备或装修,须征得甲方的同意,甲

方不得无理拒绝或延误;租赁期满必须恢复原状(正常损耗、磨损除外),并承担其费用,经甲方验收认可后归还甲方。甲方同意期满前两个月通知乙方其所需拆除的在物业内的任何改变及改进的设施。

In addition tothe decoration andequipmentalready in theproperty, if Party B wishesto make any alterationsor improvements to theproperty, PartyB mustgetParty A’s consent.Any suchconsentshall not beunreasonably withheld ordelayed. On expiry ofthe tenancy, Party B must handover the property toParty A in itsoriginalcondition (fair wear and tear excepted). All fees arising from such work to do so are to be borne byPartyB.PartyA agreesto provide Party B with two months’ notice prior to thee xpiry of thecontract,in the event Party A requires demolition of any alteration or improvementcarrie douttothe property byPartyB.

5.5?若乙方、乙方雇员或任何其他经乙方许可的人员进入该物业,对甲方或其他住户造成损失,不论故意或过失,乙方皆应对造成的所有损失予以赔偿。

In case of PartyB, employees ofPartyBor anyother personpermittedby Party Btoenter the property causingdamages to Party A or other tenants, whether intentionallyor negligently,Party Bshallcompensate for all the lossescaused by suchdamages.

5.6 乙方不得携带任何违禁危险物品进入该物业,严禁从事任何违反中华人民共和国法

律法规的活动;如因此发生损害,乙方应承担全部责任。

Party B shallnot bring anything dangerousor forbidden inthe leased property, and not behave against the laws orregulations ofthePeople’s Republic of China,and shall be fully responsible for anydamages or losses as aresultthereof.

5.7在本合同期满前一个月内,乙方应允许甲方或其指定的代理人经与乙方预约后,

5.8 租期为一年,如若任何一方提前解约,支付违约金为一年的租金(即人民币_______元)。

六、违约处理

Breachof Contract

6.1 甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相应的违约责任,

双方同意违约方应赔偿受害方之直接损失(间接和结果性损失除外)。甲方若有违

约并在七日内未予补救,乙方则有权延付租金和管理费或做相应的扣除。

he liabilitiesfor such breach. The partiesagree that

direct losses and damage(excludingindirect and conse

this Contractand doesnotrectify within7days, t

hen PartyBis entitledto withholdor deduct therental as

well as management fee.

6.2 甲方有下列行为之一的,乙方有权中止本合同,甲方除应退还乙方保证金和已支付但未居住的租金外,还应支付乙方两个月的租金的金额作为赔偿。

compensationsum equivalent to two months rental if

party Acommitsone of thefollowing:

(a)未经乙方同意,在租赁期间收回该物业。

(b)本合同开始三十天后,仍未向乙方移交该物业。

Failto hand over the Premises toParty B withinth

irty days after the commencing dateof the Contract.

6.3 乙方有下列行为之一的,甲方有权中止本合同,收回该房屋并且保证金不予退

还。

Party A shallhave theright to terminatethisContra ct, re-possess theleased property and forfeit thesecurity deposit ifParty B commits one

ofthe followings.

(a) 将承租的房屋擅自转租,但转租给乙方本公司人员除外。

Sublets the leased property toanotherpersonwithout

Party A’s

consent, butassociated personof PartyBexcepted.

(b) 未得甲方同意,将承租的房屋擅自拆改结构或改变用途的。

Altersthe structureofthe premises withoutauthor

ization or uses the premises other thanthepurpose

stated herein.

(c) 无故拖欠租金超过三十天。

Fail to payrental without any reason for more than30

days afterthe duedate.

七、不可抗力

Force Majeure

若由于不可抗拒的自然灾害(包括但不限于火灾、洪水、地震、施工、战争、暴动、敌队等行为等)或其它非双方过错所造成的对本物业的损毁致使其无法居住或使用本物业,双方有权中止本合同,甲方必须退还乙方所有保证金和已支付但未居住的租金。届时合同双方将不再承担进一步的任何责任。

If the leased property is destroyed, damaged and rendered uninhabitable and unusabledue to force majeure(including but notlimitedto fires, flood,earthquake, accidents,strike s,wars, insurrections,publicenemy etc.) oractions that are notthe result of PartyA orParty B’s fault, either party hastheright toterminate the Contract and prorated balance of al rental prepaid, as well asthe deposit,shall be returned to PartyB.Thereafter, thebothpartiesshall n ot haveany responsibilitiesto eachother.

八、争议的解决

Dispute Resolution

凡因本合同条款、翻译、任何合同相关事宜所引起的一切争议,双方应友好协商解决;

协商不成,应提交上海市仲裁委员会,按其仲裁原则和中华人民共和国仲裁法在上海进行仲裁,仲裁裁决是终局的,对双方都有约束力。

Any disputeor difference thatarise between Party A andPartyBrelatingtoany clause, interpretation, matter o rthingswhatsoeverherein connectedwith this agreement shallbe settledamicably between both parties hereof. Ifsuchnegotiation fails, thepartiesshall submitthe

dispute toarbitration byShanghai ArbitrationCommissionin Shanghaiaccording toits arbitrationrules.The decision ofthe arbitrage bodyisfinal and shall binding on the parties hereto.

九、其它

Others

?9.1本合同附件是本合同不可分割的一部分,与本合同具有同等效力。

9.2本合同由中英文写成,中英文本具有同等效力;如果中英文本发生差异,以中文为

准。

9.3准备和签订本合同的法律费用由双方各自承担。合同登记费用和印花费由双方平均负担。
