甲方同意将货物进出口相关工作委托乙方予以办理，双方经协商一致，达成如下协议，以资双方共同遵守:
服务内容
进口:报关、报检、外汇核销、外汇支付、物流安排
出口:报关、报检、外汇核销、外汇收结、出口退税、物流安排
报关单的经营单位为乙方，收货单位为甲方
乙方责任
严格按照国家法律法规为客户完成各项进出口的工作，如果因违法和违规操作所产生的所有法律责任和经济损失由乙方承担。
认真做好各项进出口服务工作，如果因乙方的主观或者客观失误所产生的所有法律责任和经济损失由乙方承担。
保证甲方所有信息的安全，如果因乙方主观故意或者客观无意泄漏甲方信息所造成的法律责任和经济损失由乙方承担。
为甲方做好进出口相关的预测和分析工作。
对非乙方原因而导致的进出口问题积极予以处理和解决。
按甲方要求选择和管理物流公司。
甲方责任
保证对外贸易的合法性，确保对外贸易文件和信息的真实有效，如果因此所产生的所有法律责任和经济损失由甲方承担。
按照双方的安排配合乙方开展各项进出口服务工作，若因甲方不能及时有效的提供进出口服务所必需的文件、信息和资金而导致的法律责任和经济损失由甲方承担。
四、下单确认
每一次进出口服务开始前，甲方需要传真确认进口所需的各项信息，乙方按照甲方提供的信息开展进出口的各项工作。
如果甲方委托乙方办理物流，则需要在物流开始前确认乙方所提供的价格、时间等各项物流内容，相同的物流只需要确认一次。
出口收汇
甲方保证出口报关对应的外汇在出口之日起3个月内由境外支付到乙方指
定账户用于出口外汇核销，若乙方无法在指定日期全额收取外汇而导致的法律责任和经济损失由甲方承担。
乙方保证在收到甲方境外供应商支付的外汇货款1个工作日内办理完毕外汇结算，并按照银行结算水单将全额结汇人民币支付甲方指定账户，账户名义必须为甲方。若因乙方原因延迟支付所造成的甲方损失由乙方承担。
出口退税
对需要办理出口退税的出口贸易，甲方需要向乙方开具增值税发票，发票总值需要得到甲乙双方确认，若因增值税发票虚假而导致的法律责任和经济损失由甲方承担。
乙方保证在出口报关完毕、正常收汇核销完成以及收到甲方开具的增值税发票后3个工作日内开始办理出口退税，并在收到退税2个工作日内将全额退税款项支付甲方指定账户，账户名义必须为甲方。若因乙方原因延迟支付所造成的甲方损失由乙方承担。
如果退税分局需要对增值税发票查核真实性，甲方需要予以配合。
七、环节开支
双方确认进口的环节开支包括海关综合税、商检费用、口岸查验费、外汇货款、物流费用5种。?
双方确认出口的环节开支包括商检费用、口岸查验费、物流费用3种。
所有环节开支由甲方在服务开始前按照乙方的预测预先支付给乙方，在实际开支发生后乙方按开支凭证再与甲方结算。
八、服务费用
双方确定服务费用为________。
如遇特殊出口情况，双方可以另行约定当次服务的附加收费。
甲方在出口服务完成后____天内一次性支付服务费用。
九、系统使用
一达通进出口管理系统的所有权归乙方所有，甲方在双方协议有效期前有权使用此系统相关功能。
甲方使用乙方的管理系统不得从事任何有损乙方利益的事务。
乙方有权对系统的相关功能进行调整。
甲方应妥善保存和使用系统授权，如因甲方保管不善导致甲方进出口信息泄漏，乙方不付责任。
十、不可抗逆
如因不可抗力因素或乙方所列明原因，造成乙方全部或部分不能完成进出口服务工作的，乙方不承担赔偿责任，但应将上述发生的情况及时通知甲方。
十一、保密条款
乙方与甲方对双方的商业信息及本协议所涉及的内容负有保密义务。
十二、法律适用
如本协议之签订地在中华人民共和国，或被诉人为中国法人的，适用中华人民共和国法律。
本协议适用中华人民共和国民法、合同法以及消费者保护法。
十三、协议附件
所有与本协议有关的文件均为本协议不可分割部分，作为本协议附件，与本协议具有同等法律效力。本协议附件包括但不限于补充协议、对外贸易单证、电子文档、银企协议、物流确认书等。
十四、争议解决
凡因本协议引起的或与本协议有关的任何争议，双方应友好协商，如协商不成，双方同意提交深圳市仲裁委员会仲裁解决。
十五、其它
本协议一式两份，甲方、乙方各执一份，具有同等法律效力，自双方签字盖章之日起生效。
