本协议系于______年______月______日，由当事人一方广州海山娱乐科技有限公司公司按中国法律组建并存在的公司，其主营业地在广州, 番禺(以下简称甲方)与他方当事人Mondial Pools 公司，按埃及国法律组建并存在的公司，其主营业地在开罗(以下简称乙方)签订，经双方协商，订立以下条款，以资共同遵守。
This agreement is made and entered into this _____ day of _____ , by Guangzhou Haisan Entertainment Technology Co., Ltd. a corporation duly organized and existing under the laws of peoples republic of china, with its principal place of business at Panyu District, Guangzhou City (hereinafter called Client) and Mondial Pools a corporation duly organized and existing under the laws of ____,with its principal of business at ____(hereinafter called agent). Through mutual discussion, Party A and Party B have agreed the following terms to be observed:
第1条定义
1. Definition
1．1产品：本协议中所称“产品”，系指由甲方制造并以其商标销售的(游乐设备)和随时经双方以书面同意的其他商品。
1. 1 Product: The “product” covered under this agreement is expressly confined to the amusement equipment manufactured by Party A

1. 2 Territory: The “territory” covered under this agreement is expressly confined to Egypt (hereinafter called territory)
1．3商标：本协议中所称“商标”’系指海森
1. 3 Trademark: The trademark covered under this agreement is expressly confined to HAISEN (hereinafter called trademark)
第2条委任及法律关系。
2. Appointment and legal relationship
2．1委任：在本协议有效期内，甲方委任乙方作为其代理；以便在“地区”获致“产品”的订单。乙方愿意接受并承担此项委托。
2. 1 Appointment: During the validity of this agreement, Party A appoints Party B as its exclusive agent to solicit product order in the territory. Party B is willing to accept and assumes this appointment.
2．2法律关系：本协议给予乙方的权利只限于给予独家代理销售产品的权利，本协议不产生其他任何关系，或给予乙方以代表甲方或使甲方受其他任何协议约束的任何权利。
2. 2 Legal relationship: The right and power given to Party B in this agreement only include exclusive agent' right of products sale. This agreement does not let Party B represent Party A or make any other agreement constraints to Party A.
2．3指示：乙方应严格遵守甲方随时发来的指示。由于乙方超越或违背甲方指示而造成的任何索赔、债务和责任，乙方应设法保护甲方利益并赔偿甲方因此而遭受的损失。
2. 3 Instructions: Party B should abide strictly by the instructions from Party A at any time. If beyond or against instructions from Party A and then cause any claim, liability and responsibility, Party B should try to protect the interests of Party A and make compensation for Party A.
第3条甲方的责任
3. Responsibilities of Party A
3．1广告资料“：甲方应向乙方提供合理数量的广告宣传用的小册子及其他有关“产品”推销的辅助资料。
3. 1 Advertising materials: Party A provides Party B with a reasonable quantity of advertising brochures and other auxiliary materials for “product” promotion.
3．2支持推销：甲方应尽力支持乙方开展“产品”的推销。
3. 2 Support promotion: Party A should try best to support Party B on the promotion of “product”.
3．3转介客户：除本协议另有规定外，如“地区”其他客户直接向甲方询价或订购，甲方应将该客户转介乙方联系。
3. 3 Customer referral: If customers in the territory inquiry or order directly from Party A, Party A should make customer referral and give the customer’s information to Party B.
3．4价格：甲方提供乙方的“产品”价格资料，应尽可能保持稳定，如有变动应及时通知乙方，以利推销。
3. 4 Price: Party A provides relatively steady price materials of “product” for Party B. If any changes about the price, Party A should inform Party B in time.
3．5优惠条款：甲方提供乙方获致订单的条款是最优惠的。
3. 5 Preferential term：Party A provides Party B with the most preferential term.
3．6商品质量：甲方保证提供的设备质量应符合中国国家标准《游乐设施安全规范》（GB8408-2008）、《水上游乐设施通用技术条件》（GB/T18168-2008）。
3. 6 Quality of product: Party A ensures that the quality should meet Chinese national standards on Amusement Device Safety Code（GB8408-2008）and Specifications of Water Amusement Equipment Category（GB/T18168-2008）
第4条乙方的责任
4. Responsibilities of Party B
4．1推销：乙方应积极促进“产品”的推销，获取订单并保持一个有相当规模和足够能力的推销机构，以利“产品”在“地区”的业务顺利开展和扩大。
4. 1 Promotion: Party B promotes the “product” actively, get the order and keep a marketing organization with considerable scale and enough ability for the business development and expansion in the “territory”.
4．2禁止竞争：乙方除得到甲方书面同意外，不应制造、购买、获取订单、或协助推销与本协议“产品”相同或类似的产品。
4. 2 Prohibition of competition: Party B should not manufacture, purchase, get orders, or help promotion as the same or similar "product" in this agreement.
4．3最低销售额：在本协议有效期间的第一个十二个月内，乙方从“地区”客户获得的订单，总金额应不少于_______________元。以后每十二个月递增15%。
4. 3 Minimum sales amount: During the first 12 months in the validity of this agreement, Party B get order from customers in the "territory". The total amount should be no less than USD____ and will increase 15% every 12 months.
4．4费用：在本协议有效期内，乙方应承担在“地区”推销和获取“产品”订单的全部费用，例如：进口关税、税费、宣传费和其他收费等。
4. 4 Cost: During the validity of this agreement, Party B should bear all the cost for promotion and getting “product” orders in the "territory", such as import duties, promotion fees, and other charges, etc.
4．5“产品”价格与条件：乙方保证按照甲方在本协议有效期内随时规定的价格和条件进行推销。在获取订单时，乙方应将甲方成交的条件、合同的条款充分告知客户。也应告知客户任何合同的订立都须经甲方的确认。甲方有权利拒绝履行或接受乙方所获得的订单或订单的一部分。
4. 5 Price and condition of “products”: Party B guarantees to make promotion according to the regulated price and condition that are made by Party A during the validity of this agreement. When getting order from customer, Party B should inform customer of the condition of order and the terms of contract from Party A. Any contract should also be confirmed by Party A. Party A has the right to refuse or accept the order or part of the order from Party B.
4．6施工与安装：如果安装由乙方完成,乙方不得代表甲方或以甲方的名义进行施工安装。乙方应严格按照甲方提供的工艺条件图纸要求完成项目的土建和平台、立柱基础、机房以及设备安装等。同时，乙方应配有专业的安装团队以及安装所需的机械设备（如焊机、吊车、脚手架、手拉葫芦及夜间灯光设备等）.如果安装由乙方客户完成,乙方须告知乙方客户项目的土建和平台、立柱基础、机房以及设备安装都必须严格按照甲方提供的工艺图纸要求完成施工. 无论是由以上哪方完成施工, 如不按甲方工艺图纸所要求安装，所造成的一切不良后果由乙方或乙方的客户承担。
4. 6 Construction and installation: If the installation is made by Party B, Party B cannot represent Party A nor do construction installation in the name of Party A. Party B should finish civil work, slide tower, column foundation, machine room and equipment installation according to the construction conditional drawings supplied by Party A. At the same time, Party B should prepare a professional installation team and required mechanical equipment (such as welding machine, crane, scaffolding, chain block, and the night lighting). If the installation is made by Party B’s customer, Party B should inform its customer that civil work, slide tower, column foundation, machine room and equipment installation must be in accordance with the construction conditional drawings supplied by Party A. Whoever makes the construction, Party B or Party B’s customer should bear all the consequences if not meet the construction conditional drawings supplied by Party A.
4．7市场情况报道：乙方应负责每月(或每季)向甲方提供书面的有关“产品”的市场报道，包括市场上同类产品的销售情况、价格、包装、推销方式、广告资料、客户的反应和意见等。如市场情况发生重大变化时，乙方应及时以通知甲方。
4. 7 Market report: Party B provides Party A with written reports in the market of "product" monthly or quarterly, including the sales of similar products, price, package, marketing way, advertising materials, cu stomer’ feedback and comment. If significant changes happen about the market, Party B should inform Party A in time.
4．8禁止更改：乙方不得以甲方产品标识之外的其他标识出售甲方产品，不得去除或涂抹产品标识，也不得更改产品或其标签。
4. 8 Prohibition of change: Party B shall not sell the products with other logo that not belong to Party A, remove or daub product logo, and change the product label.
第5条协议有效期
5. Validity of agreement
本协议有效期为_______________年，期满自动失效。如双方同意延续本协议，任何一方应在期满_______________天前用书面通知对方以便相互确认。
The validity of this agreement is ___ years and will be invalid after the expiration. If both Parties agree to continue this agreement, either party should inform the other Party by written notice in ___ days before the expiration to confirm with each other.
第6条协议的终止
6. Termination of agreement
6．1终止：协议双方应认真负责地执行各项条款。在下列条件下，每一方得以书面通知另一方立即终止本协议或取消其中某一部分：
6. 1 Termination: Both Parties should be responsible to perform each term of the agreement. Under the following conditions, each Party should inform the other Party by written notice to cancel this agreement or part of this agreement immediately.
(1)如一方未能履行本协议的任何一项义务，而此项违约在接到另一方书面要求纠正的通知后
_______________天内又未能加以纠正。
(1) If one Party fails to perform any obligation of this agreement, and the default is not revised in __ days after receiving the written notice from the other Party.
(2)如果一方自动或被迫宣告破产，自动或被迫申请改组、清理、解散。
(2) If one party was forced or naturally occurred bankruptcy, reorganization, cleaning or dissolution.
(3)如发生本协议第8条不可抗力事由，一方在超过规定期限后仍无法履行其义务时。
(3)If clause 8 in the agreement happens, one Party is still unable to fulfill its obligation in time.
6．2终止的影响：本协议的终止并不解除双方按照本协议规定业已产生但未了结的任何债务。凡在协议终止前由于一方违约致使另一方遭受的损失，另一方仍有权提出索赔，不应受终止本协议的影响。
6. 2 Influence of termination: The termination does not remove any debt produced by Both Parties in accordance with the provisions of this agreement. If the defaults of one Party lead to the losses of the other Party before the termination, the other party still has the right to claim for compensation and this should not be influenced by the termination.
第7条知识产权保护
7. Protection of intellectual property
甲方目前拥有和使用的商标、产品设计图，施工图，设备安装图及其他文件等，均属甲方产权，未经甲方特别以书面同意，乙方均不得直接或间接地、全部或部分地使用或注册。即使甲方特别以书面同意乙方按某种方式使用，但在本协议期满或终止时，此种使用应随即停止并取消。
The trademark, product design, construction drawings, equipment installation drawing and other documents belong to the property of Party A. Without the written permission from Party A, Party B shall not directly or indirectly, in whole or in part to use or register them. Even Party A inform Party B to use
them in some way with the written permission, this kind of usage should be immediately stopped and cancelled when this agreement reaches its expiration or termination.
关于上述权利，如发生任何争议或索赔，甲方有权立即单方面取消本协议并且不承担由此而产生的任何责任。
About the rights mentioned above, if there is any dispute or claim for compensation, Party A has the right to unilaterally cancel this agreement immediately and do not assume any responsibility.
第8条不可抗力
8. Force Majeure
任何一方由于人力不可抗拒事由，以致直接或间接地造成任何迟延或无法履行本协议全部或部分条款时，另一方不得提出索赔要求。此类事由包括：水灾、火灾、风灾、地震、海啸、雷击、疫病、战争、封锁、禁运、扣押、战争威胁、制裁、骚动、电力控制、禁止进口或出口及其他非当事人所能控制的类似原因，或双方同意的其他特殊原因。
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, storm, earthquake, tsunami, lightning, disease, war, blockade, embargo, seizure, war threats, sanctions, turmoil, power control, import or export prohibition and any other similar events which could not be controlled or other special events agreed by both Parties.
有关一方应在事故发生后_______________天内以书面通知另一方，并提供当地有关机构的证明文件，证明不可抗力事故的存在。
The relative party should inform the other party by written notice in ______ days after the accident and provide the documents of local relevant authorities to prove the existence of the force majeure.
第9条仲裁
9. Arbitration
凡有关协议或执行本协议而发生的一切争执，双方应通过友好协商解决。如协商不能解决，双方同意提交中国国际经济贸易仲裁委员会按该会的仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力。任何一方不得再以诉讼或其他方式向法院或其他机构申请变更。仲裁费用由败诉一方负担，仲裁裁决另有规定者按照规定办理。
All disputes arising from the performance of this agreement should be settled through friendly negotiation. If no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission and the rules of this Commission shall be applied. The award of the arbitration is final and binding upon both parties. Either party shall not apply changes in a court or other agencies by litigation or other ways. The arbitration fees are paid by the losing Party, or the arbitration performs it according to the relevant regulations.
第10条协议生效及其他
10. Effectiveness of agreement and others
10．1生效日期：本协议自双方签字之日起立即生效。
10. 1 Effective date: This agreement shall come into effect from the date of signed by both Parties. 10．2未尽事宜：本协议如有未尽事宜须加补充或修改时，应以书面提出并经双方正式授权的代表签署后方能生效。
10. 2 Matters that are not covered: If there are matters that are not covered in this agreement to be added or modified, it should be made in writing and will be effective after signed by formal authorized representatives of both Parties.
10．3全部协议：本协议构成双方关于本协议标的的完整协议。除本协议有明文规定外，以前其他有关本协议主题的任何条件、声明或保证，不论是以书面或口头提出的，对双方都无约束力。
10. 3 Entire agreement: This agreement constitutes the entire agreement between the Parties. All previous oral and written condition, statement or guarantee shall not bind upon Both Parties except that have been stated in this agreement.
10．4正式文本：本协议以中文和英文缮就，一式两份，签署后双方各执一份。
10. 4 Formal documents: This agreement is made in duplicate and written in Chinese and English. Both Parties shall hold one after signature.
