铁矿石购销合同篇一：矿石买卖铁矿石买卖合同合同编号：2010（41）甲方（需方）：工贸集团有限公司乙方（供方）：有限公司双方依据平等互利的原则，经协商达成如下矿石买卖合同。
一、产品名称、发货地点、数量、品味、矿价、运费表一二、交货地点、费用的负担：1 •交货地点：到甲方指定料场2 •费用负担：由乙方承担运费。
三、验收方式及提出异议期限：1•矿石质量以乙方发货料场化验分析的数据为准，若对方化验分析的数据持有异议，应在收到数据后五天内提出，并附样品送昆钢质检中心检验，所产生的费用由提出的异议方承担。
四、供矿要求：1 •计量以乙方发货料场内的电子磅秤过磅数量为准。
2 •因由乙方组织运输，若在运输过程中发生各种事故及由此造成的一切损失，责任由乙方承担。
五、结算方式：1 •每月以乙方发货数量统计，经双方核对签字认可后，按10%水份扣除后以干基量结算一次。
2 •自合同签发后乙方实行先发货后收款原则。
六、违约责任：1 •甲、乙双方应严格履行合同，一方违约，对方有权单方终止合同，并要求对方支付本合同总金额15%勺违约金。
2.产品质量异议，双方协调处理。
七、解决合同纠纷方式：1 •甲、乙双方协商处理。
2 •通过诉讼解决，但凡因本合同引起的诉讼由甲方所在地法院管辖。
八. 其他：1.因市场情况发生变化，合同双方可另行协商并签订补充协议进行调整，补充协议及传真件与本合同具有同等法律效力。
2 •本合同由双方签字后生效，有效期为2010年8月14日至2011年8月14日，本合同一式俩份，甲乙双方各执一份。

the price of iron ore stipulated in the clause nu mber four (4) shall be adjusted by the follow ing bonus and pen alties.通过奖罚办法来调整条款(4)所规定的价格。
bonus / 增加价格:for each 1%of fe above 63.5% (fe) the price shall be in creased by usd3.50 per dry metric ton (fract ions prorate).在铁含量63.5%的基础上，每增加1%则每干吨价格增加3. 5美元(以此方法按比例计算).penalties 减少价格：for each 1% fe below 63.5% (fe) the price shall be decreased by usd3.50per dry metric ton (fract ions prorate).在铁含量63.5%的基础上,每减少1%则每干吨价格减少3.5美元(以此方法按比例计算). the buyer has the right to reject the product if fe content is below 63.5%. 如铁含量低于61.5%,买方有权拒收。
if the composition of iron ore in respect of silicon (sio2), aluminum(al2o3), phosphorus (p), sulphur (s), and tita nium (tio2) exceeds the respective guara nteed maximum as set forth in clause nu mber three (3), the buyer shall accept such delivery of iron ore by impos ing pen alties provided below, fractions prorate.如卖方所交货的铁矿砂成分含二氧化硅，氧化铝，磷，硫，超过条款(3)所规定的含量，买方将会接受交货并接受按以下降价比例计算罚款。
5.2(1) silicon (sio2) / 二氧化硅：usd$0.05 (five us cents) per dry metric ton for each 0.1% in excess ofguara nteed5.39% maximum as set forth in clause three (3).the buyer may reject the cargo if sio2 exceeds 6.00%按条款⑶所规定最多不得超过5.39%,每超过0.1%,每干吨降价0.05美元。
如二氧化硅超过6.00%,买方有权拒收。
5.2(2) aluminum ⑻2o3) / 氧化铝：usd$0.05 (five us cents) per dry metric ton for each 0.1% in excess ofguara nteed1.16% maximum as set forth in clause three (3).the buyer may reject the cargo if al2o3 exceeds 2%按条款⑶ 所规定最多不得超过1.16%,每超过0.1%,每干吨降价0.05美元。
如氧化铝超过2%,买方有权拒收。
5.2(3) phosphorus (p) / 磷：usd$0.05 (five us cen ts) per dry metric tonne for each 0.01% in excessof guara nteed 0.01% maximum as set forth in clause three (3).the buyer may reject the cargo if p exceeds 0.07%按条款⑶ 所规定最多不得超0.01%,每超过0.01%,每干吨降价0.05美元。
