After friendly negotiation , the seller agrees to sell and the buyer agrees to buy the under-mentioned goods according to the terms and conditions stated below.

本合同经买卖双方友好协商，就进口无烟煤事宜达成一致，并按照下列条款签订此协议：

3. Quality: Gross Calorific Value as Air Dried Basis>4500kcal Net Calorific Value As Received

Basis>4000Kcal ，Total sulphur(adb) <0.6% Volatile matter（adb）<8 %max Total moisture <9% ash（adb）<25% Fixed carbon>60% size :0-30mm >70%

品质：空干基高位发热量燃烧值>4500大卡, 收到基低位发热量>4000，全硫(空干基)<0.6%，挥发

份（空干基）<8%，全水（收到基）<8%，灰分（空干基）<25%，固定碳>60%，粒度0-30mm>70% 4.Unit price :CIFRMB480/MT

The port of discharge SGS inspection report shall prevailand binding on both side. Based on air dry basis ash 15%, CIF RMB 480/MT to 15% as the benchmark, each increased/decreased by 1%, the unit price lower/higher 20 RMB; When ash less than 1%, proportionately, accurate to two digits after the decimal point。when the total moisture is more than 8%,the exceed portion is deducted from the total weight

单价：CIFRMB480/MT

以卸货港SGS检测检验报告为准。以空干基灰份15%为基准,CIF人民币480/吨以15%为基准,每增加/减少1%,单价降低/升高20RMB;灰份不足1%时,按比例计算,精确到小数点后两位数。当总水分超过8%,超过部分扣除总重量。

8.Payment item: After discharging port issued by SGS report results to T/T payment equivalent to RMB payment to the seller's personal account in China。

付款方式：卸货港SGS出具结果后，以T/T支付等值人民币货款到卖方在中国的个人帐户。

9.. All other conditions which are not mentioned in this contract will be applied INCOTERMS 2000

and other international trade convention.

其他没有在合约上注明以INCOTERMS 2000其他国际贸易归案定为准.

10. The fax copy are the same to the original. This contract will be valid after both side making signature or stamp.

本合同一式两份，双方各执一份，传真件与原件有同等效力。自双方签字或者盖章后生效。
