于上市规则)或有关政府部门、监管机构的要求,各方应
当对本协议涉及的信息予以保密。但任何一方可向其目前
或善意的预期投资人及其雇员、投资银行、商业银行、会
计师、律师披露本协议,条件是该等机构及个人承诺对本
协议及所述交易予以保密。
第七条违约责任
7.1 任何一方违反本协议项下陈述、保证、承诺及其他义务,
均须依据有关法律及本协议承担违约责任。
7.2 【具体违约责任】
第八条不可抗力
8.1 本协议中,“不可抗力”是指本协议各方所不能操纵且不可
预见,或者虽能够预见,但不可幸免的阻碍任何一方全部
或部分履行本协议的一切事件。此种事件包括地震、塌方、陷落、洪水、台风等自然灾难以及火灾、爆炸、事故、战
争、暴动、起义、兵变、社会动乱或动荡、破坏活动、适
用于全国范围的由法定立法机关所制定的法律的重大调整
或任何其它类似的或不同的偶发事件。
8.2 如发生不可抗力,以致于任何一方因这种事件的发生而无
法履行其在本协议项下的义务,则此种义务在不可抗力持
续期间应予中止,履约期限按上述中止时刻自动延长,中
止履行义务一方不承担违约责任。
8.3 遭受不可抗力的一方应立即书面通知有关的对方,并提供
遭受不可抗力及其阻碍的适当并经当地公证部门公证的证
