在合同项下，双方同意按下述条款买卖下述商品：The Contract is negotiated and executed by and between the Buyer and the Seller. The terms “CIF” shall be subject to the “International Rules for the Interpretation of Trade Terms” (INCOTERMS, 2000) provided by International Chamber of Commerce (ICC) unless otherwise stipulated herein.3、原产国别及制造厂商：Original country & manufacturer:4、装运港Shipment port:SHANGHAI5、目的港Destination port: SOKHNA6、装运期Shipment period：具体装运期由双方协商确定。
The exact date of shipment shall be agreed upon between both parties.7、包装Package：所供货物由卖方：□整机包装□铁框架包装□集装箱□散件包装□滚装（裸机）包装□其他方式包装，适合远洋及内陆运输，以确保货物安全到达目的地。
Goods provided shall be packed by the Seller in the form of: □packing in its entirety □packing with steel frame □packing in container □packing in bulk □packing in rollon (exposed) □packing in other forms, which shall be suitable for long distance sea and inland shipment, ensuring the safe arrival of goods to destination.8、唛头Shipping mark：发运前 10 天内，由买方通知卖方，如未收到，将视为没有。
The Buyer shall notify the Seller issues regarding the mark within 10 days prior to shipment. Or, it will be regards as not mentioned.9、保险Insurance: 卖方应购买相当于发票价值110%的一切险。
Covering all the risks for 110% of the Invoice value to be effected by the Seller.10、付款条款Terms of payment签约双方一致同意，付款方式应按照的规定进行。
The Parties hereby agree that the payment shall be made as the provisions of thereunderPayment: 20% down payment in advance by T/T, 80% balance by T/T against B/L copy. The price according to the current exchange rate（1 USD=, The exchange rate floating range is not exceed that is to say between and is allowed.付款方式为：以T/T方式先付20%作为订金，余款80%凭提单副本T/T结清。

The Seller shall inform the Buyer within five (5) working days upon the completion of the loading of the goods, give a shipping advice to the Buyer by E-mail including the Contract number, name of goods, quantity or total weight, invoice value etc.转运/Transshipment: □allowed □not allowed分运/Partial shipment: □allowed □not allowed12、保修条款Terms of repair guarantee卖方保证所供货物与合同规定的质量、规格和性能相一致并符合卖方企业标准。
在货物正确安装、正常操作和维修情况下，卖方对合同货物的正常使用给予 12 个月或工作1200 个小时的保修期，以先到者为准。
此保修期从货物到达目的港之日起计算The Seller shall ensure that goods provided shall be consistent in terms of quality, spec and performance with the Contract requirement and be in compliance with the corporate criterion of the Seller. The Seller shall ensure a repair guarantee period of 12 months’ or 1200 hours' operation (the earlier shall prevail) for contractual goods under normal use, subject to the condition that goods said have been installed correctly, operated and serviced normally. The repair guarantee period shall be calculated from the arrived time of goods to destination port.13、索赔Claim买方在本合同保修期之内提出索赔，且经卖方确认卖方对货物的质量负有责任时，卖方提供符合合同规定的规格质量和性能的新部件替换有瑕疵部件，并承担国内运费。
新部件由买方负责更换。
In the event that the Buyer claims the Seller within the repair guarantee period and it has been confirmed by the Seller that he shall be responsible for the quality problem, the Seller shall, while bearing the country transportation freight, provide replacement parts consistent with Contract requirement in terms of spec, quality and performance. The said replacement parts shall, if any, be replaced by the Buyer.14、不可抗力Force Majeure如签约双方中任何一方受到不可抗力所阻，履约期限则按照不可抗力影响履约的时间作相应延长。
受阻方应在不可抗力发生和终止时尽快电告另一方，并在事件发生后15天内将主管机构出具的事故说明书挂号航空邮寄给另一方认可。
如不可抗力持续时间超过60天，双方将协商继续履行或终止本合同。
On condition that any party hereto is confronted with Force Majeure, the performance period hereof shall, on the basis of and considering the period affected by the Force Majeure, be respectively extended. The affected party shall, upon the occurrence and termination of the said Force Majeure, notify the other party instantly and send by registered airmail Force Majeure Accident Descriptioncertified and issued by authority to the other party for consent within 15 days form the date of occurrence. Both parties hereto shall, in the event that the Force Majeure lasts for more than 60 days, negotiate to continue or terminate the performance of the Contract.凡由于执行本合同而发生的一切争执，应通过友好协商解决。
