EMBA Learning Agreement
Party A: Party B: Co., Ltd. (Local Staff) ______________________________(I.D. Number) According to the company policy of <Guideline of Executive MBA Program Support > of Party A, Party A is willing to provide Party B the opportunity to pursue the EMBA study (appendix Ⅰ <Guideline of Executive MBA Program Support>) with support in terms of cost, time and resource. To balance all the investment (money/time/resource) made by Party A and to ensure the commitment that Party B will devote his/her learning to company after she/he gets the EMBA Diploma, both Parties, on the basis of mutual benefits, reached this <EMBA Learning Agreement> as the appendix of the <Labor Contract>. I. Party A’s Obligation 1. Party A will pay the below cost (Cost)during the period of the Learning Program : Registration cost for the first time , examination cost & tuition. The salary of the study leaves, less than 52 workdays in total. Accommodation transportation cost occurred during the Learning Program . Necessities provided to Party B for the Learning Program , such as books, documents and etc.

2. Service Period .Party B agrees to serve Party A or any other associated company of Company for a period of 3 years upon the issuance of the EMBA diploma (“Service Period”). If the Labor Contract between Party A and Party B expires prior to the Service Period, the Labor Contract will be automatically extended to cover the Service Period unless Party A exempts Party B its service obligations in writing. .
2. Party A should trace Party B ’s performance during the Learning Program . II. Party B’s Obligation 1. Tuition .To ensures the smooth implementation of the Learning Program , Party B agrees to bear an amount of a quarter of tuition, i.e. RMB __________ in total before the starting of the Learning Program. The tuition fee will be reimbursed to Party B when Party B gets the EMBA diploma without interest. However, Party B can not claim back this part of tuition fee under the circumstances under Article II Point23
3. 1) Under the circumstance below, upon the request of Party A, Party B should repay the Tuition Cost incurred and borne by Party A, including the cost Party A has paid in advance or as a non-returnable deposit: (this does not include any cost associated with any interest incurred, accommodation, training material and transportationl etc.) Party B discontinues the Learning Program for personal reason (including absence 2 courses/examinations or twice failure within 1 year); Party B fails to successfully obtain the EMBA diploma at the normal completion time for his/her personal reason. Part B terminate or revoke the labor contract; Party A terminate the labor contract as a result of Party B’s breach of company regulations or failing to reach performance standards.
