（1）observes the artiicles of corporation.（2）应当足额缴纳本章程规定的各自认缴的出资额；（2）shareholders must pay up amount of investment in conformity to constitution;（3）公司被核准登记后，不得抽回投资；（3）After the company approves the registration, do not withdraw the investment fund;（4）按股权比例对公司债务承担责任；（4）shareholder should undertake debt which in term of stock proportion; （5）若任何股东未能按章程规定的日期完成出资，从逾期的第一天开始起，违约股东应向守约股东支付逾期出资额的10%作为每月的罚金。
若违约股东超过两个月仍未能完成出资，除每月向守约股东支付逾期出资额的10%的罚金外，守约股东有权终止合作并要求违约方赔偿损失。
