However, if Buyer finds a difference of more than 0.5% in weights and/or assays within a maximum period of 60 days after delivery date, Buyer will have the right to ask for a re-weight and/or re-assaying which shall be carried out to the 100% of the Lot, by an independent umpire mutually agreed upon by the parties and whose results shall be binding for both parties. Cost of the umpire shall be borne by the party whose weights and/or assays are furthest from those of the umpire.b)The certificate of weight and assay by ALEX/SGS/A.H Knight 100% weighting and sampling at destination port are final. The inspection charge will be shared by both parties.(16) Non-performance Penalty: In case of non-performance by either party of 20% of contract value to be paid by party in default promptly by telegraphic transfer against fax copy of invoice.(17) Force Majeure: The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Contract in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions. In case of Force Majeure, the Seller shall notify the Buyer in time by cable or fax, in the mean time, the Force Majeure Certificate issued by the China Council for the Promotion of International Trade (CCPIT) should be provided to the Buyer. Deliveries may be resumed at the conclusion of the above-mentioned Force Majeure incident if required by the Buyer.(18) APPLICABLE LAW: Chinese law shall apply to this contract.(19) ARBITRATION: Any difference or dispute arising out of or in connection with this contract shall be settled amicably by arbitration at the China Economic and Trade Arbitration Commission in China, according to its expedited arbitration rules.
