TheＰremiｓes sｈall be equipｐeｄwitｈalｌｔhe nｅcｅsｓaｒy harｄware faｃilｉtieｓ(ｉncｌuding ｗaｔer piｐes, ｐｏwer ｌineｓand phｏnｅlｉnes) ｉnstａｌlｅｄinsｉde thｅprｅmise ｔo bｅｕseｄｆor Pａｒty B.甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人,并且厂房在发生任何抵押或者其他类型的担保时,乙方在本协议下的权利权益不受到任何损害。
Ｐａrty A ｒepreｓents ａｎd ｗarrants to Party B ａnd NeｗCo tｈatｉt is the soｌe le ｇaｌowner of the Pｒeｍiseｓaｎｄthat, ｉn the ｅvent ｏｆ a morｔgaｇe or ａnyｏther ｓimilａｒguaｒantees in connection wｉtｈtｈe Ｐreｍises taｋinｇplａcｅ，Ｐarty B’s ｒights andｉnｔereｓts puｒsｕaｎt to ｔhis agｒeemenｔｓhall not ｂe damaｇｅd in anｙmanner wｈａtsoever.第二条厂房的用途Cｈapter 2ﻩUse ｏf the Prｅmｉses该厂房用途为工业厂房,乙方不得任意改变厂房用途。
The Ｐｒemiｓｅs sｈould be uｓｅｄfｏｒinｄustrial ｐurpose．Party B shｏulｄnot c ｈａnge tｈe use of the Prｅmisｅs aｔiｔs owｎwill．第三条租赁期限Chａpｔer3ﻩLeａse Pｅriod租赁期限为-－－年,自新公司获得营业执照或项目批准证书之日起计算。

之后，每三年商定的递增不得超过__＿%。

乙方向甲方缴纳的保证金应作为其履行本合同所规定义务的担保。
如果乙方的行为违反合同规定的义务或者导致对厂房的损害，甲方有权从保证金中扣除相应数量的金额作为补偿。
在合同终止日期后30天内,甲方在从保证金中扣除乙方违反任何合同义务应承担的的补偿、赔偿或违约金后应将保证金的余额无息返还给乙方。
Ｔhe seｃuｒitｙdeｐosit ｓhall ｂeｔakeｎas thｅｗarrａnty fｏr Pａrty B’s ｄue performance oｆits oblｉgations unｄｅr ｔhis Cｏｎtract. Ｉf Paｒty Ｂｃａrrieｓout acti ｖｉtiｅsｔhatａre aｇａｉｎst its obligａtions oｒrｅsｕｌt iｎanｙｄａmaｇe to ｔhe Preｍisｅｓ，Party A is entitlｅd to ｄeducｔcorresｐonding amｏuｎt of comｐenｓatiｏn fｒom thｅdeposit. Withｉｎ３0 dａys fｒom tｈe exｐiratｉon of the Contracｔ，Parｔy A shall ｒetｕrn theｂalance oｆthe seｃurity depoｓit ｔo Ｐarty Ｂwiｔhout iｎteｒｅｓt afｔer maｋing dｅduｃtions ｆrom the security deposit for compensatｉon for aｎｙbｒeaｃhｏf the contrａct by Party B.第七条ﻩ维修养护责任Cｈapter 7 Maｉｎtｅｎａnce Ｒespoｎsｉbiｌitiｅs甲方向乙方和新公司陈述和保证厂房和用于建筑的材料应符合中国有关法律法规关于消防、安全和环保事宜的所有要求。
且该厂房已获得所有所需的政府强制性证书(包括,但不限于环保证书,防火证书及防雷证书)ＰartｙＡreｐｒesentsａｎd ｗarrants to Ｐaｒｔｙ B anｄNeｗCo thaｔthe Preｍiｓes and tｈe maｔｅｒiａls ｕsed for the construcｔion sｈａll compｌy witｈａll the requｉremenｔs of the relevａｎt Chineｓe ｌaws aｎd regulations cｏnceｒning fiｒe, ｓａfetyａnd enviroｎmenｔａl iｓｓuｅｓ. Paｒty A haｓalｓｏoｂtaｉned aｌl the requirｅd mandatory ｃertifｉcａteｓbyｔheｇｏｖeｒnｍent (ｉｎｃludｉｎg,but nｏt limited to EnvｉronmｅnｔalＰrｏtｅcｔion Certｉficate，FirｅProtｅctioｎＣｅrｔificate and Ｔｈundｅr Strike Ｐrｅve ｎtion Ｃerｔiｆｉcａte) ｆor ｔhe Premiｓes.租赁期间，甲方对厂房及其附属设施每隔半年检查一次,乙方予积极配合,正常的厂房维修费由乙方承担。
