PartyA’s premises (hereinafter referred toasthe“Premises”)are located at ---Road;totalbuilt-up area is ---- sqm.PleaserefertoAnnex1 for theplan ofthe Premises.该厂房应已具备所有必要的硬件设施(包括水管道,电线及电话线)以供乙方使用。
ThePremises shall be equippedwithallthe necessary hardware facilities(including water pipes, power linesand phonelines) installedinside thepremise to beusedfor Party B.甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人,并且厂房在发生任何抵押或者其他类型的担保时,乙方在本协议下的权利权益不受到任何损害。
Party A represents and warrants to Party B and NewCo thatit is the sole le galowner of the Premisesandthat, in the event of a mortgage or anyother similarguarantees in connection withthe Premises takingplace,Party B’s rights andinterests pursuant to this agreementshall not be damaged in anymanner whatsoever.第二条厂房的用途Chapter 2ﻩUse of the Premises该厂房用途为工业厂房,乙方不得任意改变厂房用途。
The Premises should be usedforindustrial purpose.Party B shouldnot c hange the use of the Premises atits ownwill.第三条租赁期限Chapter3ﻩLease Period租赁期限为---年,自新公司获得营业执照或项目批准证书之日起计算。
The durationof the lease periodshall be ----years, starting from the day of issuance of New Company business license orCertificate of Approval.第四条ﻩ租金Chapter 4 Rental4.1该厂房第一到三年的租金为人民币12元/平方米/月,计人民币__________元/月,人民币__________元/季,人民币__________元/年。
之后,每三年商定的递增不得超过___%。

Within7 working days uponthesigningof this Contract,PartyB shallp ay to Party A asum ofthreemonths’rental as the security deposit,that is RMB------。
乙方向甲方缴纳的保证金应作为其履行本合同所规定义务的担保。
如果乙方的行为违反合同规定的义务或者导致对厂房的损害,甲方有权从保证金中扣除相应数量的金额作为补偿。
在合同终止日期后30天内,甲方在从保证金中扣除乙方违反任何合同义务应承担的的补偿、赔偿或违约金后应将保证金的余额无息返还给乙方。
The securitydeposit shall betakenas thewarranty for Party B’s due performance ofits obligations under this Contract. If Party Bcarriesout acti vitiesthatare against its obligations orresult inanydamage to the Premises,Party A is entitled to deductcorresponding amount of compensation from thedeposit. Within30 days from the expiration of the Contract,Party A shall return thebalance ofthe security deposit to Party Bwithout interest after making deductions from the security deposit for compensation for anybreachof the contract by Party B.第七条ﻩ维修养护责任Chapter 7 Maintenance Responsibilities甲方向乙方和新公司陈述和保证厂房和用于建筑的材料应符合中国有关法律法规关于消防、安全和环保事宜的所有要求。
且该厂房已获得所有所需的政府强制性证书(包括,但不限于环保证书,防火证书及防雷证书)PartyArepresentsand warrants to Party B andNewCo thatthe Premises and the materials used for the construction shall comply withall the requirements of the relevant Chinese laws and regulations concerning fire, safetyand environmental issues. Party A hasalsoobtained all the required mandatory certificatesbythegovernment (including,but not limited to EnvironmentalProtection Certificate,FireProtectionCertificate and Thunder Strike Preve ntion Certificate) for the Premises.租赁期间,甲方对厂房及其附属设施每隔半年检查一次,乙方予积极配合,正常的厂房维修费由乙方承担。
