PREAMBLE
This Annex B is prepared in accordance with the simplified procedure whereby the Parties agree that the terms of the Main Agreement and Annex
A of the SGHA of January 1998 as published by the International Air
Transport Association shall apply to this Annex B as if such terms were repeated here in full. By signing this Annex B, the Parties confirm that they are familiar with the aforementioned Main Agreement and Annex A.
本附件B系根据承运方和服务方达成一致的由国际航空运输协会于1998年1月公布的标准地面服务协议的主协议和附件A的简化程序所拟定的。在签订此附件B前，双方应确认熟悉以上所提及的主协议和附件A。
航空地面服务有限公司（以下简称甲方）和航空有限公司（以下简称乙方），就乙方在天河国际机场起降的定期航班或非定期航班所必须的航空地面服务及相关费用结算达成以下协议。
Airports Aviation Ground Service Co., Ltd. (hereafter refer to Party A) and ( hereafter refer to Party B) have reached the agreement below on the settlement of the
fee for the ground services and its relevant items for the scheduled or non-scheduled flights via the international airport..
第一条总则

为了保证飞行安全、正常，提高运输服务质量，甲乙双方本着互相支持的原则，共同认真做好地
面服务工作，使旅客对协议双方产生良好的印象。
In order to ensure the safe and normal flight operations, improve the transportation service quality, on the basis of mutual support, Party A and Party B jointly carry out the ground handling services to produce a good image for the passengers.

2.2.1.根据需要，利用乙方的始发者代码或双重签字程序，编辑、发送和接收与甲方所执行服务有
关的一切信息包括到达、出发、延误信息。向乙方的代表通报此种信息的内容。发送信息的费用
可向乙方收取。
2.2.1 Compile、despatch and receive all messages in connection with the services performed by the Part A including arrival\departure\delay messages, using the Party B’s originator code or double signature procedure, as applicable. Inform the Party B’s representative of the contents of such messages. Charges for transmitting messages may be recharged to the Carrier.
2.2.2.对每次航班的所有上述电报集中保存90天。
1.2.2.2Maintain a message file containing all above mentioned messages
pertaining to each flight for ninety days.

(g) Other services, as mutually agreed. 其他；依相互协议为之。
第4条.乘客和行李服务

4.1.一般服务
4.1.General services
4.1.1.将乙方飞机及地面运输车辆的到达时间和出发时间通知旅客和公众。
4.1.1 Inform passengers and public about time of arrival and departure of the Party B’s aircraft and surface transport.
4.1.2.安排中途停留、换机和过境乘客及其行李，并通知他们机场上可以提供的服务。(服务方暂未开通此项服务)
4.1.2. Make arrangements for stopover, transfer and transit passengers and their baggage and inform them about services available at the airport.
4.1.3.在乙方提出要求时，提供或安排特殊设备、设施和经过专门培训的工作人员，根据需要，协助没有成人陪护的未成年人、残疾乘客、被遣送出境者，其间增加的费用可向乙方收取。
4.1.3. When requested by Party B, provide or arrange for special equipment, facilities and specially trained personnel, as available, for assistance to
unaccompanied minors、disabled passengers、transit without visa passengers (TWOVs)、deportees、others, as specified。Additional costs may be recharged to the carrier. 4.1.4.在航班中断、延误或取消时，根据乙方的要求照顾好乘客。如未提要求，则按服务方的习惯做法处理此类事宜。
4.1.4. Take care of passengers when flights are interrupted, delayed or cancelled, according to instructions given by Party B. If instructions do not exist, deal with such cases according to the practice of the Handling Company.

5.如可能，在必要时安排将行李存在海关保税仓库中（费用应由乘客支付）。

5. If applicable, arrange storage of baggage in the Customs' bonded store if required (any fees to be paid by the passenger).
4.1.6.向乙方通报由乙方的客户提出的投诉和索赔，并按照双方当事人的相互约定处理这些索赔。
4.1.6. Notify Party B of complaints and claims made by the Party B’s clients
and, process such claims, as mutually agreed.
4.1.7.按照双方当事人的相互约定，处理丢失的、找到的和损坏的财产。
4.1.7Handle lost, found and damaged property matters, as mutually agreed.
4.1.8.向乙方通告在为乘客和行李提供服务过程中发现的所有不符合规定的事项。
4.1.8. Report to Party B any irregularities discovered in passenger and baggage handling.
4.1.10.提供或安排行李搬运服务的人员和/或设施。
4.1.10. Provide or arrange for personnel and/or facilities for porter service.

4.2.1.检查并确保乘客出示的客票对其所乘的航班有效，但不包括对票价的检查。
4.2.1. Check and ensure that tickets are valid for the flight(s) for which they are presented. The check shall not include the fare.
4.2.2. 根据双方，为乙方航班检查有关航班的旅行证件（护照、签证、接种疫苗和其他证明），但不负任何责任。
4.2.2 By mutual agreement, check travel documents (passports, visas, vaccination and other certificates) for the flight(s) concerned for the Part B’s flight, but without the Part A having any liability.
4.2.3.为乙方航班称重和/或测量（按照需要）和加标签于已经检查和未检查的行李。并将
已通过安检的行李从交运处向行李分拣处传送。需要特殊服务的行李的其他费用可以向乙方收取。
4.2.3.Weigh and/or measure (as applicable), and tag checked and unchecked baggage
for the Part B’s flight.Effect the conveyance of checked baggage from the baggage check-in position to the baggage sorting area. Additional costs for baggage
requiring special handling may be recharged to the Part B.

Party B shall also notify Party A immediately after L/C is opened, so that Party A can get prepared for delivery. 6. 佣金（Commission） 在本协议期满时，乙方完成了第二款所规定的数额，甲方当按装运货物所收到的 全部发票金额付给乙方_____%的佣金。 Upon the expiration of the Agreement and Party B's fulfillment of the total turnover mentioned in Article 2, Party A shall pay to Party B_____% commission on the basis of the aggregate amount of the invoice value already paid by Party B of the shipments affected. 7. 市场情况报告（Reports on Market Conditions）
EXCLUSIVITY DISTRIBUTOR AGREEMENT 1. DEFINITION 1.1Worldwide Agent: 指外贸公司（代理工厂全球市场） 1.2Distributor: 国外客户（国家或者地区）独家经销商 1.3Manufacturer: 工厂 1.4Commodities: 产品 1.5Territories: 独家经销地区 1.6Customers: 产品的分销商或者最终用户 1.7Agreement: The Agreement drawn hereby between the AGENT and the DISTRIBUTOR and the MANUFACTURER, hereinafter refers to as the AGREEMENT. 2.ASSIGNMENT 2.1The AGENT hereby agrees to grant the sole distributorship of the COMMODITIES to the DISTRIBUTOR in the Territories for a period stipulated in Section 4.
2.2The DISTRIBUTOR has the exclusive right to sell the Commodities within the TERRITORIES. 3.TERMS AND CONDITIONS 3.1The DISTRIBUTOR shall exclusively distribute ZXMCO made COMMODITIES.
