5. Constru ction Time, d elay and Post 期

(2) 40% of the Tota l Contract Va lue will be p aid by T/T wi thin 10 worki ng days after the construc tion complete d and accepte d by Buyer.*
施工完成经甲方验收合格1额0个工作日内支付合同总金额的40％。

剩下的10%作为质保清金，设备正常运行1年后付清。
(4) In cas e of the site construction in Iran, Buy er will be re sponsible for visa, round-trip fares an d traveling e xpense, food and accommoda tion, and 30 US Dollar dai ly subsidies for each of S eller’s const ruction perso nnel on Iran Site. All of the cost will be paid by T/T within 10 working days after the con m struction com pleted and Bu yer received related bills provided by Seller and ac cepted these 前bills..
若需乙方前负往伊朗项目现场施工，甲方负返责乙方施工人员的签证、往返每车旅费、食宿，并补助乙方每于人30美金/天。以上费用于相现场施工完毕后，乙方提交相无关票据，甲方收到票据核实无误10个工作日内结算。
8. Delay and 任Penalty 违约责任：
(1) If th ere is any de fect or mista ke of constru ction quality, Seller shal l repair and replace immed iately at its own cost. If Seller fails to solve def ect or mistak e could not b e , Buyer sha ll have right to return th e Goods and c laim to Selle r for loss th如ere caused.
如乙果乙方施工质量出现问题，乙如方需无偿即时修复或更换，如退再不能解决，甲方可向乙方退货、索赔。
(2) In’case Seller’s constructio n can not acc omplish as pe r Buyer’s pro ject schedule, and failed to keep up wi th the schedu le, thus to s eriously infl uence the who le schedule, or Seller’s p oor quality o f constructio n resulted Bu yer’s whole p roject qualit y could not s’atisfy Owner’s quality sta ndard, Seller shall compen sate all Buye r’s loss ther e caused in a ddition to th e normal dela如y penalty..
如工因乙方的原因使该项目的施工成不能按照甲方的进度计划完成影，并经甲方纠偏无效且实际影或响了甲方的整个工程进度，或方因该项目的验收质量导致甲方质整个工程的质量达不到业主质延量标准，除扣除正常的工期延方期罚款外，经业主认定后乙方失应赔偿由此给甲方造成的损失。
9. Contrac t price and a同djustments 合同价款及调整：
(1) Contra ct price:
Th e contract pr ice is FFP (F irm Fixed Pri ce), include tender docume nts, technica l requirement, drawings, s ite inspectio n, risk premi um, etc. The contract pric e will not be adjusted at settlement an d during the whole project, if Buyer wo uld not chang e the design and sign site visa. Contra ct price will not be adjus ted and neith er party coul d change it d uring contrac t execution. except the fa ctor listed i n Sub article款2.
合同价款：合同价款定采用固定合同总价的方式确定纸，招标文件、技术要求、图纸部、现场考察、风险费等等全部，包干，甲方不提出设计变更，不现场签证，结算时合同价款不它予调整。合同执行过程中其它下任何一方不得擅自更改，除下需列第2条中规定的调整因素需价在结算时进行调整外，合同价款均不予调整。

材料变更：对于甲方在，招标文件中认定的浇注材料，，如因甲方技术原因需要变更，方经市场核实材料价格后，甲方变与乙方协商对合同总价进行变M更和确认。
10. M aterial Inspe ction 材料检验：
(1) Inspecti on of Materia l and Facilit y:
All the material and facility for this project shall be samp led and teste d by Seller u nder supervis ion and witne ss of Buyer b efore putting into use , t he sampling a nd testing sh all be in str ict complianc e to laws and regulations, related stan dard and code s, and contra m ct’s requirem检ent.
材料和设备的检用验：本工程一切材料设备在用律于本工程之前，均应按照法律规、法规和有关标准、规范的规方定以及本合同的约定，在甲方责的监督、见证下，由乙方负责取样并做试块。
(2) Program of Te st:
The progr am of test, i ncluding test time, place, method of sa mpling, and t est frequency test items s hall be prepa red by Seller according to laws and reg ulations, rel ated standard and codes, a nd contract’s requirement, submitted to Buyer for co nfirmations, and performed after accept ed by Buyer.
时检验内容：材料设备的检验时频间和地点、取样办法、检验频法次和内容由乙方根据法律、法以规和有关标准、规范
的规定以方及本合同的约定提出，报甲方N确认后施行。
(3) N ormal Check:
Buyer will en ter the const ruction site to supervise the construct ion quality a t any reasona ble time, and Seller shoul d provide all the convenie nce assistanc e when Buyer ：enters.
随时检查：内甲方代表在一切合理的时间内质均应能进入施工现场对工程质进量进行监督，乙方应为他们进协入上述场所提供一切便利和协助。
11. Settl ement of Disp utes: 争议解决
All disputes in connectio C n with this C ontract or th e execution t hereof shall be settled by friendly neg otiation. If no settlement can be reach ed, either Pa rty may be re ferred to ins titute legal proceedings t o the court l ocated at the prosecutor’s address, or at the place where the Pur chase Contrac t was execute出d.
解决合同纠纷方式如出，现质量问题和工期延后问题，。按合同执行或双方协商解决。通协商不通，可在甲方所在地通过法律手段解决。
12.项others其他约定事项：
(1) This Pu rchase Contra ct is in both Chinese and 同English.
本合同语为中英文双语合同，如果双语为之间出现任何矛盾，以中文为准。
(2) This Purchase Cont ract shall be made in four originals, o ne for Seller and three fo r Buyer. All have the same legal force.份
